A partir d'un échantillon composé de 13 banques françaises, 13 allemandes et 20 japonaises cotées durant la période 2005 - 2012, nous essayons de détecter l'impact des caractéristiques de gouvernance bancaire, à travers les conseils d'administration et leurs différents comités, en premier lieu sur le risque du crédit, et en deuxième lieu sur la performance bancaire. Nos résultats montrent que les mécanismes internes de gouvernance affectent certes, le niveau des crédits non performants et la performance financière des banques, mais avec des effets plutôt mitigés. Ils révèlent également des divergences entre les banques des pays étudiés.

Compte tenu de l'importance du rôle du conseil d'administration nous voulons étudier la relation entre le conseil d'administration et la performance bancaire. Il s'agit donc de se poser la problématique qui porte sur la mesure de la performance de la banque. En d'autre terme dans quelle mesure la structure du conseil d'administration peut influencer la performance de la banque ? Une étude est menée sur 24 banques commerciales Libanaises durant la période allant de l'année 2006 jusqu'à l'année 2011. Les informations sont obtenues à partir des bilans des banques, rapport annuels et de leurs web sites. Les informations recueillies ont été analysées, et entraîné dans les implications suivantes: - Pas de relation significative entre la « Taille » du conseil d'administration et la performance bancaire mesurée par les ratios de rentabilité ; - Pas de relation significative entre la «Composition » du conseil d'administration et la performance bancaire mesurée par les ratios de rentabilité ; et - Pas de relation significative entre la « Dualité » et la performance bancaire mesurée par les ratios de rentabilité.

Les mécanismes de gouvernance sont plutôt issus des règles légales que délaissés aux forces du marché. Les entrepreneurs organisationnels, qui sont principalement les dirigeants des banques, peuvent influencer les institutions, afin d'élargir l'ensemble de choix stratégiques issu de la perception des opportunités offertes. Cette perception est fonction de leur schéma mental individuel différent du schéma collectif. Le changement institutionnel résultant est souvent de nature progressive et rarement radicale. Le cas du changement institutionnel du secteur bancaire syrien depuis 2001 est étudié par une étude de cas multiple d'un échantillon de 8 banques syriennes. Les résultats montrent que ces banques adoptent désormais deux stratégies : la diversification et l'introduction de nouvelle technologie. Leur performance est mesurée en termes de résultats financiers, critère de choix dans une économie de marché.

Book excerpt: Written by an international team of authors, this book provides the first systematic account of the control of corporate Europe based on voting block data disclosed in accordance with the European Union's Large Holdings Directive (88/627/EEC). The study provides detailed information on the voting control of companies listed on the official markets in Austria, Belgium, France, Germany, Italy, the Netherlands, Spain, Sweden, the United Kingdom, and, as a benchmark comparison, the United States. The authors record a high concentration of control of corporations in many European countries with single blockholders frequently controlling more than fifty per cent of corporate votes. In contrast, a majority of UK listed companies have no blockholder owning more than ten per cent of shares, and a majority of US listed companies have no blockholder with more than six per cent of shares. Those chapters devoted to individual countries illustrate how blockholders can use legal devices to leverage their voting power over their cash-flow rights, or how incumbents prevent outsiders from gaining voting control. It is shown that the cultural and linguistic diversity of Europe is (almost) matched by its variety of corporate control arrangements.

This paper constructs a new database on the ownership of banks internationally and then assesses the ramifications of ownership, shareholder protection laws, and supervisory/regulatory policies on bank valuations. Except in a few countries with very strong shareholder protection laws, banks are not widely held, but rather families or the State tend to control banks. We find that (i) larger cash flow rights by the controlling owner boosts valuations, (ii) stronger shareholder protection laws increase valuations, and (iii) greater cash flow rights mitigate the adverse effects of weak shareholder protection laws on bank valuations. These results are consistent with the views that expropriation of minority shareholders is important internationally, that laws can restrain this expropriation, and concentrated cash flow rights represent an important mechanism for governing banks. Finally, the evidence does not support the view that empowering official supervisory and regulatory agencies will increase the market valuation of banks"--NBER website

When banks efficiently mobilize and allocate funds, this lowers the cost of capital to firms, boosts capital formation, and stimulates productivity growth. So, weak governance of banks reverberates throughout the economy with negative ramifications for economic development. After reviewing the major governance concepts for corporations in general, the author discusses two special attributes of banks that make them special in practice: greater opaqueness than other industries and greater government regulation. These attributes weaken many traditional governance mechanisms. Next, he reviews emerging evidence on which government policies enhance the governance of banks and draws tentative policy lessons. In sum, existing work suggests that it is important to strengthen the ability and incentives of private investors to exert governance over banks rather than to rely excessively on government regulators. These conclusions, however, are particularly tentative because more research is needed on how legal, regulatory, and supervisory policies influence the governance of banks. Even in the United States, noncapitalist firms play a vital role in many sectors. Employee-owned firms have long been prominent in the service professions--law, accounting, investment banking, medicine--and are becoming increasingly important in other industries. The buyout of United Airlines by its employees is the most conspicuous recent instance. Farmer-owned produce cooperatives dominate the market for most basic agricultural commodities. Consumer-owned utilities provide electricity to one out of eight households. Key firms such as MasterCard, Associated Press, and Ace Hardware are service and supply cooperatives owned by local businesses. Occupant-owned condominiums and cooperatives are rapidly displacing investor-owned rental housing. Mutual companies owned by their policyholders sell half of all life insurance and one-quarter of all property and liability insurance. And nonprofit firms, which have no owners at all, account for 90 percent of all nongovernmental schools and colleges, two-thirds of all hospitals, half of all day-care centers, and one-quarter of all nursing homes. Henry Hansmann explores the reasons for this diverse pattern of ownership. He explains why different industries and different national economies exhibit different distributions of ownership forms. The key to the success of a particular form, he shows, depends on the balance between the costs of contracting in the market and the costs of ownership.
