Book excerpt: La société est un bien sous la forme d'une universalité, organisée par un contrat, représentée par des titres, soumise au pouvoir de propriété des associés et confiée par eux, le cas échéant, à une personne morale mandatée pour la gérer. Cette proposition ramène à l'alternative irréductible entre personne et bien. La personnalité juridique de la société interdit a priori une nature réelle, sauf à admettre la personne morale comme une fiction. En ce cas, la société n'est pas intrinsèquement une personne. N'étant pas une personne, c'est donc un bien. Ce bien constitue une universalité en raison de la nature d'ensemble complexe et ordonné de la société - Cette universalité contient les apports des associés. Si la personne morale de la société est majoritairement désignée comme la propriétire de ces apports, aucun transfert de propriété à son endroit n'est vérifié. Les associés en demeurent donc les seuls propriétaires indivis - Leur propriété sur les biens apportés se reporte sur l'universalité. Leurs droits et obligations constituent des obligations propter rem qui grèvent l'universalité. La vente massive de titres redevient celle de l'objet véritable de la transaction, à savoir la société. La notion de groupe de sociétés est enfin renforcée par l'exercice des pouvoirs de propriété. Si la société est un bien, propriété des associés, le titre ne peut rester un bien en remplacement de l'apport. Le tite n'est pas l'instrumentum du droit de propriété de l'associé mais celui de l'objet de ce droit : l'universalité. Il en est une parcelle indéterminée, soumis au même régime. - Le droit de propriété que l'associé exerce sur le titre est en réalité celui qu'il exerce sur l'universalité sociétaire. Laliénation du titre est donc celle d'une parcelle de cette universalité. Son droit de jouissance comprend celui de percevoir les fruits du bien qu'il possède. Le vote n'est que l'expression de ses droits. Le titre, représentation de l'universalité, peut ête indivis ou grevé d'usufruit.
