We find a sharp asymmetry between corporate policies that mitigate the firm's exposure to environmental risk and those that enhance its perceived environmental friendliness (“greenness”). Institutional investors shun stocks with high environmental risk exposure, which we show have lower valuations as predicted by risk management theory. These findings suggest that corporate environmental policies that mitigate environmental risk exposure create shareholder value. In contrast, firms that increase greenness do not create shareholder value and are also shunned by institutional investors.

But beyond what the law requires-beyond bare compliance with regulations-do firms have additional social responsibilities to commit resources voluntarily to environmental protection? How should we think about firms sacrificing profits in the social interest? Are they permitted to do so, given their fiduciary responsibilities to their shareholders? Even if permissible, is the practice sustainable, or will the competitive marketplace render such efforts and their impacts transient at best? Furthermore, is the practice, however well intended, an efficient use of social and economic resources? And, as an empirical matter, to what extent do firms already behave this way? Until now, public discussion has generated more heat than light on both the normative and positive questions surrounding corporate social responsibility (CSR) in the environmental realm. In Environmental Protection and the Social Responsibility of Firms, some of the nation‘s leading scholars in law, economics, and business examine commonly accepted assumptions at the heart of current debates on corporate social responsibility and provide a foundation for future research and policymaking.

Available in PDF, EPUB and Kindle. Book excerpt: The role of stakeholders is integral to corporate sustainability as society increasingly demands that corporations play a role in achieving environmental objectives in addition to building shareholder wealth. In the first book to gather cutting-edge research on the interactions between stakeholders and organizations within the context of corporate sustainability, the contributors to this volume provide a diversity of perspectives from North America, Europe, and Oceania. The authors examine the role stakeholders play in influencing regulations on global issues such as climate change and national and regional problems. Stakeholder selection of companies and the sustainability issues they choose to target are explored, as are the ways in which organizations motivate them to participate in the evolution of holistic sustainable solutions. The interactions between stakeholder pressures, organizational characteristics and corporate sustainability practices are also covered. Finally, the volume provides an examination of the dynamic structure of organizational fields in the European automobile industry in order to analyze the factors that foster or hinder ecological modernization. Academics, environmental consultants, sustainability managers, NGOs, and international development institutions will find this timely volume of great value.

Available in PDF, EPUB and Kindle. Book excerpt: Business organizations have recently been encouraged by investors, regulators, and communities to define their purposes, values, and fiduciary duties of creating shared value for all stakeholders. Public companies have traditionally operated under the corporate model of “shareholder primacy” with the primary purpose of generating returns for shareholders and thus corporate activities are managed toward creating shareholder value. The stakeholder primacy system encourages directors and executives to focus on managing corporate activities toward creating shared value for all stakeholders. The role of the board of directors under stakeholder primacy/capitalism as opposed to shareholder primacy/capitalism is to oversee the managerial function of focusing on the long-term sustainability performance, effectively communicating sustainability performance information to all stakeholders. A shift away from the shareholder primacy model and toward the stakeholder primacy model has been gaining momentum worldwide in recent years as investors demand, regulators require, and companies define the “profit-with-purpose” mission in creating shares value for all stakeholders. This book offers guidance to organizations for considering both shareholder primacy and stakeholder primacy in defining their mission of “profit-with-purpose” and in creating shared value for all stakeholders. It also highlights how people, business and resources collaborate in a business sustainability and the stakeholder primacy model in creating shared value for all stakeholders. Anyone who is involved with business sustainability and corporate governance, the financial reporting process, investment decisions, legal and financial advising, audit functions, and corporate governance education including directors, executives, investors, and auditor will be interested in this book.

This book was released on 2009 with total page 140 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper argues that "enlightened shareholder value" ("ESV") offers a "third way" between the shareholder primacy and stakeholder theories of the corporation; one that maintains the creation of shareholder value as the corporation's primary function, but requires directors to take into account the environmental impact of the corporations' operations. ESV requires directors to "have regard to", among other things, "the impact of the company's operations on...the environment." The obligation to "have regard to" should be interpreted as a procedural duty requiring directors to inform themselves as to the environmental impact of the corporation's operations, which may in itself cause directors to reallocate corporate resources to environmental protection. ESV may also improve corporations' environmental disclosure and impact social norms of corporate behaviour with respect to the environment. Any negative impact of ESV on present shareholder returns is justified by the obligation to avoid imposing foreseeable severe or irreparable environmental harm on future generations.

Specifically, we conduct an event study around the announcement of corporate news related to environment for all U.S. publicly-traded companies from 1980 to 2009. We find that companies that are reported to behave responsibly towards the environment experience a significant stock price increase, whereas firms that behave irresponsibly face a significant stock price decrease. When we examine how the stock market reaction has evolved over the past three decades, we find that punishment for corporate irresponsible behavior has increased, while the reward for responsible behavior has decreased. These results indicate that, over time, shareholders have become more conscious of the environment and also more demanding towards companies' environmental responsibility.
