It is part of an ongoing programme examining trust law as applicable in Scotland. The definition of "trust" and "trustee" is derived from the Trusts (Scotland) Acts 1921 and 1961, it covers the appointment of a "trustee" by a court to administer and manage property when there is no other available person to do so. Breaches of trust by the trustee cover: acting outside their authority; failing to carry out their duties by omission, or what they owe as fiduciaries to their beneficiaries. The paper also examines what constitutes personal liability in these areas. The "dual patrimony" theory is adopted for the purposes of the discussion of these issues. It emphasises the separation of the trust property and personal property held by the trustee. Trust law relates to voluntary trusts, both public and private. The Commission states that trust law is not in need of comprehensive or radical reform, with most trust law resting on common law. Despite this view the Commission, in an earlier report, recommended the repeal of the Trustee Investments Act 1961, and further examination of the need for the 1921 Act , which reflects the practice and customs of Victorian times.

The role of the history is essential to understand the way both fiduciary figures developed in the Common and Civil law, hence it is integrated with the comparison in this study. Issues such as transplanting law or rules from one system to another are mentioned, since the institution of English trust has been developed in many Hispanic-American countries - including Colombia - despite of coming from a Roman legal tradition. An important part of this study, will be the differences of the fiduciary figures as a result of the significance of equity in the English law and its strong influence in trust law, which explains the distinct elements with the Colombian equivalent. For this reason, the latin "fiducia" is not exactly as the English trust, it has been adopted clinging on the legal traditions country-specific. However, understanding the way they have developed is fundamental, with the globalisation it has become a need to find the unification of business instruments in the Commercial Law that has become increasingly towards the unification.

Book excerpt: This book defends the view that an award of an account of profits (or 'disgorgement damages') for breach of contract will sometimes be justifiable, and fits within the orthodox principles and cases in contract law. However there is some confusion as to when such an award should be made. The moral bases for disgorgement damages are deterrence and punishment, which shape the remedy in important ways. Courts are also concerned with vindication of the claimant's performance interest, and it is pivotal in these cases that the claimant cannot procure a substitute performance via an award of damages or specific relief. The book argues that disgorgement damages should be available in two categories of case: 'second sale' cases, where the defendant breaches his contract with the claimant to make a more profitable contract with a third party; and 'agency problem' cases, where the defendant promises the claimant he will not do a certain thing, and the claimant finds it difficult to supervise the performance. Moreover, disgorgement may be full or partial, and 'reasonable fee damages' for breach of contract are best understood as partial disgorgement rather than 'restitutionary damages'. Equitable bars to relief should also be adopted in relation to disgorgement damages, as should allowances for skill and effort. This book will be of interest to contract and commercial lawyers, and will be especially valuable to anyone with an interest in contract remedies and restitution. It draws on case law in a number of common law jurisdictions, primarily England and Wales, and Australia.
