This ideal situation may find, in practice, obstacles within the internal characteristics of the cooperative as well as in the nature of relationship with other actors in the socio-economic environment. Building on evidence from the literature, the paper systematises and highlights some of the potential problems in the governance of cooperative firms concerning the accomplishment of cooperative mutualistic aims. In exploring the internal conditions that may affect cooperative performance, we focus in particular on the role of rules and incentives towards such aims. In synergy, when analysing the external conditions that may affect cooperative performance, the paper addresses possible sources of external control, such as those related to the nature of the business relationships between the cooperative and its production network. In taking into account both internal and external conditions, we consider an extended notion of governance, whereby those who impact on strategic decision-making are not to be searched only within the internal governance bodies, typically the board of directors or managers, but also outside the cooperative, as in the extended network of production relationships in which the organisation is embedded.

This study entitled conducted to address the general objective "To assess the determinants of the management practices in Cooperatives". The research was conducted in Ethiopia, Oromia regional State, and west Shoa Zone. In the research process the purposive selection of Ambo Farmers’ Cooperative Union was followed by the simple random sampling to select 48 primary member Cooperatives of the Cooperative Union and 96 member respondents. Both primary and secondary data were taken for this study. Descriptive statistics such frequencies, percentages, charts, cross-tabulations were used to analyze the institutional, legal and external determinant factors affecting the management practices of Ambo Framers’ Cooperative Union. Primary data was collected from selected respondents by using semi-structured interview schedule from the members, FGD and KIIs. The secondary data was also collected to evaluate bylaw and internal bylaw of the Union and its capital strength. As a result of descriptive analysis they were leaders (BODs and a Manager) possessing the qualities of good leaders in the cooperative Union. The result of the data analysis illustrated that BODs of the Cooperative Union played their leadership roles poorly but the manager of the Cooperative Union played his leadership roles well. As a result managing the general and functional areas of the Cooperative Union found lay on the shoulder of the manager of the Cooperative Union. Binary Logistic regression model was employed to identify the Institutional and legal factors affecting the management practices of the Cooperative Union that was under the study.

Book excerpt: This paper presents a study of the economic organization of systems of financial cooperatives (FC). The first part presents a theoretical framework rooted in principles of transaction cost economics (TCE) that seeks to explain empirical regularities observable in systems of FC worldwide. The second part is an empirical study that compares X-efficiency between members of the Quebec Desjardins movement (DM) and the United States Credit Union system (USCU), the first organized as a tight network of institutions and the second composed largely by independent institutions with few ties. The fundamental proposition is that networks are a superior form of governance mechanism (over markets and mergers) for relatively wide and relevant ranges of contractual hazard and size of the institutions. Further, that networks provide substitute, hierarchy based, control mechanisms when size of the institution dilutes internal governance mechanisms, discouraging subgoal pursuits and expense preferences by agents, both occurring in large FC. The theory allows us to generate a set of testable hypothesis of which we highlight three: i) For small FC, differences in efficiency will be relatively small, if any. ii) Large institutions should display systematically lower efficiency than similar sized FC members of strategic networks. iii) Networks should display lower variance in the size as well as in performance indicators. Throughout, empirical results are consistent with our central theoretical proposition.

Companies and banks, particularly those in emerging markets that are focused on improving their corporate governance can look to a growing body of evidence that such efforts matter, yielding bottom line benefits, reputational enhancements, and competitive differentiation. In one study of note, the Emerging Market Investor Survey, 100 percent of the investors interviewed said they will pay a higher premium for good governance in an emerging market firm than what they would pay for a similar firm in a developed market. As companies and banks in Europe and Central Asia find their place on the world's economic stage, efforts to enhance governance practices are helping them reduce their business risks, improve performance, and set the course for long-term success and profitability.
