It has been thought best to confine the cases to those illustrating the general principles of the subject, rather than run the risk of confusion by entering too largely into detail or devoting too much space to exceptional cases. The general doctrines of a subject are all that the student should be expected to master and he will do this the better by not attempting too much detail. Generally recent cases have been selected as more accurately reflecting the present state of the law. The object has been to present the American Law of Suretyship and Guaranty as it is now administered by our courts. The very recent development of the business of indemnifying employers of labor, and guaranteeing credits and titles seemed to justify including those subjects here, although they might, with equal propriety, be treated under the title of insurance. The hope of lessening the labors of those who teach, as well as those who study, a subject of growing importance in the courts and schools, furnished the motive for this volume. Book excerpt: Excerpt from A Treatise on the Law of Suretyship and Guaranty In the preparation of this edition it has been the purpose of the editor to follow out the general plan and scope of the first edition of the work which was published in 1901. Since that date there has been much litigation involving questions as to con tracts of suretyship and guaranty. Also, while these contracts were formerly assumed by individuals, such obligations are at the present time to a great extent undertaken by corporations which have been organized for the express purpose of securing, or it may be said insuring, the performance of duties and obligations by others. This new phase of the subject has been fully treated by the editor, both as regards the contract so entered into and as affected by legislative act. All cases bearing upon the general principles of the subject decided since the first edition have, it is believed, been included. Also lths notes have been greatly enlarged, both by decisions prior to 1901, which were not cited in the first editions and by appropriate illustrations of the application of gen eral rules. Another feature which is of importance at the present time is that relating to sureties for the performance of building contracts. This subject the editor has endeavored to treat fully and yet in the same concise and thorough manner which met with so favor able approval in the first edition. The Corporate Surety is rapidly replacing the Personal Surety. Business men prefer the promise of a Corporate Surety of recognized solvency to that of the individual of doubtful responsibility. Federal, State and Municipal laws require contractors engaged in the construction of public buildings and improvements to furnish bonds to secure their performance. The amounts involved are such that no one other than the Corporate Surety cares or is able to undertake the risk. Probably more contracts of suretyship have been written in the last ten years than in the century preceding, and of these, approximately seventy-five per cent. have been signed by the Corporate Surety. Chartered for the business of taking risks, preparing its own contract, exacting a premium for its undertaking, the Corporate Surety is not "the favorite of the law" which the Personal Surety is. Defenses and remedies available to the latter are sometimes curtailed or even denied when sought by the former. The consideration shown by the courts to the Personal Surety in the construction and application of his contract is seldom found when the contract of a Corporate Surety is the subject of litigation. It is for the purpose of acquainting the student with this departure from the old principles of the law of Suretyship that the author seeks to justify the publication of this selection of cases. It is not to be understood, however, that the cases selected concern the Corporate Surety only. A very large majority of the cases relate to the contract of the Private Surety. Very little abridgement of the opinions of the court has been made. Statements of facts, where the opinion is sufficiently explanatory, have been omitted, and some have been revised. Arguments of counsel have sometimes been set forth where they are of value in illuminating the processes of reasoning leading up to the decision of the court. Editorial notes and annotations are few, the author believing that professors prefer to make their own references to their classes from more recent current decisions. An acknowledgment is due Professors Ames, Stearns and Henning, from whose books the author has derived much assistance.
