Book excerpt: Being able to predict a merger or acquisition before it takes place could lead to an investor earning a premium, if they owned shares of the targeted firm before the merger or acquisition attempt is announced. On average acquiring firms pay a premium when acquiring or merging with a targeted firm. This study uses publicly available financial information for 7,267 attempted takeover targets and 52,343 non-targeted firms for the period January 3, 2000 through December 31, 2007 to estimate (using logit) predictive models. Financial ratios are constructed based on six hypotheses found in the literature. Although statistical evidence supports a few of the hypotheses, the low predictive power of the models does not indicate the ability to accurately predict targeted firms ahead of time, let alone with any economic significance.

This study attempts to bring out the issues involved in implementing the models and theories of prediction studies from west in India. The study analyzes the prediction studies in India and explains that borrowing and implementing western models and theories in India may lead to biased results and thus points the need for developing new prediction models in India. This study also aims at giving ideas for future research in predicting takeover targets in India.

This paper analyzes the accuracy of two leading methods of predicting merger outcomes - stock market event studies, and a market-structure/Merger Guidelines approach - as well as the accuracy of antitrust agencies' decisions whether or not to challenge mergers. The basis for these evaluations of accuracy is a data base of actual price effects of some forty mergers compiled from published merger retrospectives. This paper finds that event studies systematically underpredict the incidence of anticompetitive outcomes, while market structure criteria overpredict competitive problems. Since market structure serves primarily as an initial screen for agency analysis,initial over-inclusiveness may be the optimal first stage of the process of policy determination.

Even though existing research finds acquisitions, on average, do not improve firm performance, the dominant explanation for why firms pursue acquisitions is that they seek increased performance. There is a recognized need to model post-acquisition performance to help distinguish between acquisitions that will fail and those that will succeed. By addressing methodological shortcomings in existing post-acquisition performance research, the present research develops a model for predicting when acquisitions of high-technology targets result in improved performance. Implications for both theory and managerial practice are identified.

Book excerpt: Modern corporations utilize mergers and acquisitions as strategies to develop shareholder value today more than ever before, yet the need for understanding firms’ rationale and strategy is critical in predicting post-merger stock performance for all investors. I apply the interpretive power of textual analysis and regression to a corpus of SEC mergers and acquisitions public company filings between 1994-2017. Not only do I challenge the statistically significant correlation between word content and post-transaction abnormal stock returns, but I also characterize the effects of time segments, transaction size, and industry variation across time. As a final application, I consider sentiment analysis using Diction software packages across the corpus, and measure correlation across economic cycles to assess post-filing stock performance.
