Vi erano trattate la definizione di commerciante (oggi sostituita, seguendo l’insegnamento della moderna scienza economica, da quella, più lata, d’imprenditore, e particolarmente d’imprenditore commerciale); i principali contratti commerciali (che all’epoca avevano una disciplina speciale, diversa da quella civile, allorché ne fosse parte un commerciante), le società; la cambiale e l’assegno; il fallimento. Tutte materie che oggi sono regolate unitariamente dal codice civile e dalle principali leggi collegate, la cui disciplina costituisce ancora, per tradizione, oggetto dell’insegnamento universitario del diritto commerciale. Purtroppo la materia, specie negli ultimi decenni, in corrispondenza con l’evoluzione dell’economia, l’irrompere delle nuove tecnologie, la progressiva accresciuta importanza dell’appartenenza dell’Italia all’Unione Europea e la tendenza del legislatore ad ispirarsi (se non ad imitare) le normative dei paesi a capitalismo più avanzato, appare sovrabbondante e complicata. Non solo gli studenti, ma anche gli esperti del diritto vorrebbero evitare che questo fenomeno, comune a tutti i principali ordinamenti moderni, ma acuito in Italia dal numero eccessivamente elevato di leggi che riguardano l’argomento, nonché dal loro rapido mutamento (spesso ancor prima che se ne capisca l’effettiva portata), confonda il quadro d’assieme, riducendo tutto ad una somma di fredde regole mnemoniche. In realtà esistono tre «anime», tre chiavi di lettura, del diritto commerciale.

Yet the role of law in the neoliberal story has been relatively neglected, and the idea of neoliberalism as a juridical project has yet to be considered. That is: neoliberal law and its interrelations with neoliberal politics and economics has remained almost entirely neglected as a subject of research and debate. This book provides a systematic attempt to develop a holistic and coherent understanding of the relationship between law and neoliberalism. It does not, however, examine law and neoliberalism as fixed entities or as philosophical categories. And neither is its objective to uncover or devise a ‘law of neoliberalism’. Instead, it uses empirical evidence to explore and theorise the relationship between law and neoliberalism as dynamic and complex social phenomena. Developing a nuanced concept of ‘neoliberal legality’, neoliberalism, it is argued here, is as much a juridical project as a political and economic one. And it is only in understanding the juridical thrust of neoliberalism that we can hope to fully comprehend the specificities, and continuities, of the neoliberal period as a whole.
