Book excerpt: Defining real property rights and creating the conditions for free and fair competition and efficient exit of firms are perhaps the most contentious and confused areas in Hungary's current legal landscape - largely because they tread so heavily on vested interests. Other areas of law - including intellectual property, company, foreign investment, and contract law - are less problematic.

Book excerpt: This report assesses the corporate governance policy framework and enforcement and compliance practices in Hungary. Hungary has already invested considerable resources in upgrading its legislation to meet European Union Directives, and the legislative and regulatory framework dealing with corporate governance issues is robust. The major issues identified by this review include: (1) the general weakness of the supervisory board, which causes some non-compliance with several OECD Principles; and (2) a conflict between law and practice in the area of share registration, particularly the problems related to the ability of all shareholders to attend meetings and exercise their voting and other rights. Strengths and weaknesses are highlighted, and the policy recommendations made may be grouped under three categories: legislative reform, institutional strengthening, and voluntary/private initiatives. The report recommends creating a "share registration working group" to synchronize law and practice in the area of shareholder record keeping and voting. It also makes recommendations to be implemented as part of a Company Law update. Finally, the report promotes private sector initiatives and capacity building to build on legislative progress on corporate governance reform. It recommends developing a Hungarian corporate governance code of best practice, which would address key issues to include supervisory board roles and institutional investor responsibilities. The report also proposes that an Institute of Directors be created train supervisory board members, disseminate best practice, and promote dialogue between the public and private sectors. Together, these measures give issuers the choice to implement best practice and investors a benchmark against which to measure corporate governance in Hungary.

The authors realize that a comprehensive overview of the entire legal system of period would go well beyond the scope of this book, and in fact could be too detailed to interrest prospective readers unfamiliar with the topic. Based on this understanding the book focused on each major branch of law separately (constitutional law, administrative law, criminal law, civil law, etc.), while aiming to describe all major aspects of these changes.

Book excerpt: When communism fell in 1989, the question for most Eastern European countries was not whether to go to a market economy, but how to get there. Several years later, the difficult process of privatization and restructuring continues to concern the countries of the region. The Transition in Eastern Europe, Volumes 1 and 2 is an analysis of the experiences of various countries making the transition to market economies and examines the most important challenges still in store. Volume 1, Country Studies, gives an in-depth, country-by-country analysis of various reform experiences, including historical backgrounds and discussions of policies and results to date. The countries analyzed are Poland, Czechoslovakia, Hungary, eastern Germany, Slovenia, and Russia. Written by leading economists, some of whom helped shape local and national reforms, this volume identifies common progress, common difficulties, and tentative solutions to the problems of economic transition. Volume 2, Restructuring, focuses on specific issues of transition, including how to design labor market institutions, privatization, new fiscal structures, and bankruptcy laws; how to reorganize foreign trade; and how to promote foreign direct investment. The articles, written by experts in the field, will be of direct help to those involved in the transition process. These volumes provide a standard reference on economic transition in the region for policymakers in Eastern Europe and in western countries, for international agencies concerned with the transition process, and for anyone interested in learning about the dramatic changes that have recently occurred in Eastern Europe.

Book excerpt: Much attention has been focused in recent years on the transformation of the economies of Eastern and Central Europe and the former Soviet Union. However, a growing demand for policy advice, technical assistance and expertise is also coming from Asian reforming countries such as China, Mongolia, Vietnam, Laos and Cambodia. In addition, business communities abroad are increasingly interested in exploring investment and marketing opportunities in these reforming countries. Such developments are too important to overlook or ignore. The transformation of socialist economies towards market-based systems entails an unusually wide range of problems. Studies of related topics are complicated by the speed of the changes and the lack of clear historical precedents. Although the structural features of Asian reforming economies are in important ways different from those of the Eastern European economies, all socialist economies share similar fundamental conditions on the eve of economic reform which raise a similar set of reform issues. This volume brings together a rich collection of expertise and information in an attempt to shed some light on the transitional process in Asia. The contributions are by no means exhaustive. However, they provide the reader and analyst with an excellent starting point to the problems and prospects which are specific to Asian transforming economies.

Book excerpt: This book analyses the opportunities and barriers for youth entrepreneurship amid systemic change in Central and Eastern Europe. The authors cover different aspects of youth entrepreneurship and its contribution to the debate on youth unemployment in transition economies. The book discusses the wide-spread over-optimism regarding youth entrepreneurship, self-employment, and its impact on economic innovation and job creation, resulting from a disregard of critical contextual features and the characteristics of young entrepreneurs themselves. The authors give due acknowledgment of the importance of both factors and so fully understand the impediments to youth entrepreneurship, especially in a transition context. Furthermore, they seek to assess the opportunities and constraints of promotion policies in transition economies. Most importantly, the book provides the first empirical contribution to youth entrepreneurship in Central and Eastern Europe by offering a representative number of case studies. The book will be invaluable reading for scholars and students of transition and developing countries, particularly those with an interest in entrepreneurship.
