Il volume si propone di inquadrare dal punto di vista sistematico l'istituto della scissione societaria, cercando al tempo stesso di coglierne le sue peculiarità e di ricostruirne la disciplina, al di là del tenore letterale delle norme in materia, spesso contorte ed inquinate da una tecnica legislativa non impeccabile. In particolare l'opera è aggiornata tra l'altro con: - il D.Lgs. 4 agosto 2008, n. 142 in attuazione della direttiva 2006/68/CE del Parlamento europeo e del Consiglio del 6 settembre 2006, che modifica la direttiva 77/91/CEE, in materia di conferimenti senza perizia di stima, azioni proprie ed assistenza finanziaria; - il D.Lgs. 13 ottobre 2009 n. 147, recante l'attuazione della direttiva 2007/63/CE, che modifica le direttive 78/855/CEE e 82/891/CEE per quanto riguarda l'obbligo di far elaborare ad un esperto indipendente una relazione in occasione di una fusione o di una scissione di società per azioni - la direttiva 2009/109/CE del Parlamento Europeo e del Consiglio del 16 settembre 2009 che modifica le direttive del Consiglio 77/91/CEE, 78/855/CEE e 82/891/CEE e la direttiva 2005/56/CE per quanto riguarda gli obblighi in materia di relazioni e di documentazione in caso di fusioni e scissioni. Una particolare attenzione è stata prestata agli studi elaborati dal Consiglio Nazionale del Notariato ed alle massime societarie emesse dalle apposite commissioni costituite in seno ai principali Consigli Notarili, di grande utilità per gli operatori della materia.
