Growing interconnectedness of global economies facilitates the spread of the effects of the financial crises. Financial crises cause severe difficulties for persons to fulfill their contractual obligations. During the financial crises, performance of contractual obligations may become excessively onerous or may cause an excessive loss for one of the contracting parties and consequently destroy the contractual equilibrium and legitimate the governmental interventions. Uncomfortable economic climate leads to one of the most controversial dilemmas of the contract law: whether the binding force of the contract is absolute or not. In other words, unstable economic circumstances impose the need to devote special attention to review and perhaps to narrow the binding nature of a contract. Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises. In this book, all these theoretical bases are analyzed with special focus on the available remedies, namely renegotiation, rescission or revision and the circumstances which enables the revocation of these remedies. The book collects the 19 national reports and the general report originally presented in the session regarding the Effects of Financial Crises on the Binding Force of Contracts: Renegotiation, Rescission or Revision during the XIXth congress of the International Academy of Comparative Law, held in Vienna, July 2014.

Book excerpt: International law is not derived from static sets of rules or mutually exclusive sources, but is the manifestation of a complex decision-making process in which different forms of legal authority interact. The cornerstone of international law is the consent of states. This may be explicit, as in the case of signed international treaties, or it may be implicit, as in the case of customary international law. Law-making through multilateral treaties is a protracted process involving consent, ratification and often reservations by state governments. The interpretation and application can be complex because of different language versions. Customary law, on the other hand, is difficult to prove conclusively. Increasingly, the decisions of courts, tribunals and international organizations, as well as scholarly writings are becoming non-traditional sources of international law and its interpretation. These traditional sources and tools with their shortcomings, are inadequate, especially in dealing with new areas that do not fit the traditional mold, such as human rights, international criminal law and international economic law, all of which transcend state barriers. International investment law, is one obvious field where legal principles such as 'sanctity of contract' conflicted with 'state sovereignty,' and alternative sources such as customary law and bilateral treaties were inconclusive and had to contend with socialist ideologies and nationalist decolonization doctrines. Obviously, fresh thinking and new legal techniques are necessary to meet the challenges.

Le long mouvement historique est une prise en charge toujours améliorée des victimes, entendues comme des sujets de droit qui subissent des dommages. Cela est d'abord vrai pour la responsabilité proprement dite, lorsque les dommages sont causés par l'administration et ses agents du fait de l'importance prise par la protection de la personne humaine et le renforcement de l'État de droit. La jurisprudence, pour l'essentiel, a progressivement assoupli les conditions de mise en jeu de la responsabilité, par exemple en supprimant les domaines d'irresponsabilité ou en étendant la notion de préjudice indemnisable. Ensuite, les victimes des différents risques de l'existence ont également été prises en charge par la puissance publique sur le fondement de la solidarité, alors même que celle-ci n'a qu'un faible degré de responsabilité dans la genèse des dommages (mécanismes de garantie sociale). Du fait de la priorité donnée aux victimes, le droit de la responsabilité administrative a été profondément renouvelé. D'une part, on constate que la fonction d'indemnisation a pris le pas sur celle de sanction, qui est devenue résiduelle : le droit se préoccupe moins de faire oeuvre moralisatrice que de protéger les requérants. Cependant, plutôt qu'une disparition de la fonction de sanction, il s'agit plutôt d'un déplacement vers la responsabilité pénale : des citoyens ne tolèrent plus que l'administration ne réponde pas de ses fautes et saisissent le juge répressif. D'autre part, le droit de la responsabilité administrative connaît des similitudes croissantes avec la responsabilité civile : la victimisation pousse la Cour de cassation et le Conseil d'État à adopter des points de vue identiques. Mues par les mêmes objectifs, les deux responsabilités rencontrent également les mêmes problèmes elles nécessitent des réformes pour mieux appréhender notamment l'indemnisation des dommages de masse, ou les atteintes à l'environnement."

Elle propose de montrer que le recours aux droits fondamentaux vise essentiellement à hiérarchiser les différents intérêts en présence dans le procès en responsabilité civile. Le droit français de la responsabilité civile a pour particularité d'énoncer des règles très générales, qui soumettent les différentes catégories de victimes et d'auteurs de dommages à un traitement uniforme sans distinguer selon la nature des intérêts en jeu. En l'absence de réforme législative, les droits fondamentaux apparaissent aux yeux des requérants et des juges comme des instruments rapides et efficaces de hiérarchisation des intérêts, dans la mesure où ils protègent des intérêts perçus comme supérieurs. L'invocation d'un droit fondamental sert ponctuellement à remettre en cause une règle de responsabilité existante, au profit d'une solution plus protectrice de l'intérêt protégé par le droit considéré. Dans les autres cas, elle apporte une justification supplémentaire à une solution établie en rendant visible la prise en compte de l'intérêt qui mérite une protection accrue. Si l'aspiration à une meilleure prise en compte des intérêts respectifs des victimes et des auteurs de dommages apparaît légitime, le recours aux droits fondamentaux pour parvenir à un tel objectif présente cependant des limites. Ces derniers constituent en effet des arguments en faveur de la protection de tel ou tel intérêt, mais ne fournissent pas d'indication sur la manière précise dont cette protection doit être assurée. A cet égard, la présente étude propose certaines pistes de réflexion afin d'améliorer la prise en compte des intérêts en présence dans le cadre du procès en responsabilité. On constate en outre que l'invocation croissante des droits fondamentaux n'est pas neutre en droit de la responsabilité civile, car elle aboutit à transformer en profondeur le raisonnement des juges. En effet, l'application et l'interprétation des règles ordinaires de responsabilité sont désormais subordonnées au respect des droits fondamentaux, dont le nombre ne cesse de s'accroître et qui sont énoncés en termes très généraux. La solution du litige dépend alors de la manière dont le juge interprète et concilie au cas par cas les exigences, souvent contradictoires, qui découlent des droits fondamentaux des victimes et des auteurs de dommages. Le modèle syllogistique de la règle est ainsi remis en cause au profit de la méthode de la balance des intérêts, qui repose sur une conception délibérative de l'acte de juger. Une telle évolution génère un risque d'insécurité juridique. La présente thèse propose dès lors d'encadrer le recours aux droits fondamentaux, en distinguant les cas dans lesquels l'invocation d'un droit fondamental est nécessaire et mérite être encouragée de ceux dans lesquels elle est au contraire inutile ou préjudiciable, et doit donc être évitée.
