One such deregulation essentially eliminated the outsider audit mandated by the Sarbanes-Oxley Act of 2002 (“SOX”). There are strong justifications for and against this law. However, one significant interest is missing from the discussion -- corporate governance. Corporate governance is important because it furthers Congress's goals of job creation and economic growth. Because the outsider-audit requirement improves corporate governance practices, this Note proposes a different approach for regulating the controversial outsider-audit requirement. Instead of backpedaling on SOX section 404(b)'s outsider-audit provision, the JOBS Act should retain section 404(b), provide a limited exception for businesses that are both small and young (businesses that make less than $75 million and are less than ten years old), and encourage businesses to voluntarily strengthen their corporate governance frameworks.

With the President's signing of the JOBS Act in April 2012, however, there is a new exemption under the securities laws that will permit the sale of securities via crowdfunding, thus opening the doors to those businesses that have been unable to utilize existing crowdfunding methods. While the concept of crowdfunding securities offerings through the Internet is very 21st century, the regulatory regime that will govern these offerings is the same 80 year-old framework that governs the sale of all securities, no matter how small the offeror. This essay introduces this complex regulatory regime and is intended as a rudimentary roadmap for the start-up or its counsel. It will, hopefully, help to illuminate the traps for the unwary while providing an overview of the regulatory universe in which securities crowdfunding will operate.

Book excerpt: We examine the effects of Title I of the Jumpstart Our Business Startups Act for a sample of 312 emerging growth companies (EGCs) that filed for an initial public offering (IPO) from April 5, 2012 through April 30, 2015. We find no reduction in the direct costs of issuance, accounting, legal, or underwriting fees for EGC IPOs. Underpricing, an indirect cost of issuance that increases an issuer's cost of capital, is significantly higher for EGCs compared to other IPOs. More importantly, greater underpricing is present only for larger firms that are newly eligible for scaled disclosure under the Act. Overall, we find little evidence that the Act in its first three years has reduced the measurable costs of going public. Although there are benefits of the Act that issuers appear to value, they should be balanced against the higher costs of capital that can occur after its enactment.
