The study is based on a survey of sample of 155 companies having completed mergers and acquisitions deals announced during January 2003-December 2008. The paper analyzes the relationship between corporate governance practices of the acquiring firms and abnormal returns during event windows around the announcement of M&A and post-M&A financial performance of the acquirers. The results reveal a positive relationship between corporate governance standards and the performance of the acquiring firms in short-run as well as long-run.

Book excerpt: This thesis focuses on the impact of corporate governance on the M&A performance in Switzerland measured by the stock market reaction over a 21-day window around the acquisition announcement in the period from 2003 until 2012. Using the event study methodology on a sample of 148 Switzerland-based firms, it is shown that significant abnormal announcement returns exist. Key results are statistically significant abnormal acquisition announcement returns at the 1% level of the overall data sample on the day of the announcement and the following day. Additionally, abnormal acquisition announcement returns of sub-samples such as by payment type, by time period (reflecting boom, crisis, and recovery), and by corporate governance factors are reported. The OLS regression outputs obtained in the second part of the empirical analysis reveal the influence of corporate governance factors such as board size, board independence as well as CEO duality. Additionally, payment type and transaction value were used as control variables. The author finds a significant negative relationship for board size (t-value of -2.04), and positive relationships for board independence and CEO duality, even if not at a significant level. The results partially give both, individual as well as aggregated insight into how corporate governance factors impact the M&A performance in Switzerland.

In this paper, we use the incidence of 24 different provisions to build a 'Governance Index' for about 1,500 firms per year, and then we study the relationship between this index and several forward-looking performance measures during the 1990s. We find a striking relationship between corporate governance and stock returns. An investment strategy that bought the firms in the lowest decile of the index (strongest shareholder rights) and sold the firms in the highest decile of the index (weakest shareholder rights) would have earned abnormal returns of 8.5 percent per year during the sample period. Furthermore, the Governance Index is highly correlated with firm value. In 1990, a one-point increase in the index is associated with a 2.4 percentage-point lower value for Tobin's Q. By 1999, this difference had increased significantly, with a one-point increase in the index associated with an 8.9 percentage-point lower value for Tobin's Q. Finally, we find that weaker shareholder rights are associated with lower profits, lower sales growth, higher capital expenditures, and a higher amount of corporate acquisitions. We conclude with a discussion of several causal interpretations

Book excerpt: While strong shareholder control benefits the firm by preventing Free-Cash-Flow problems in the good state of business cycles, it is costly to the firm in exacerbating the Conflict-of-Interest problem between shareholders and creditors in the bad state. Investigating how firm financial policies change within business cycles in firms with different degrees of shareholder rights, I find an array of significant and robust empirical evidences supporting the above hypotheses with respect to firm value, debt maturity, external financing, payout and investment policies. The economic effects of these agency conflicts are significant as well. Firms with stronger shareholder rights lose significantly more investment options from the good to the bad state in business cycles. While stronger shareholder rights are associated with better accounting and equity performance in the good state, the reverse is true in the bad state of business cycles. In addition, it does not seem that market fully recognizes these varying agency effects of shareholder rights over time. An investment strategy based on the alternating benefits and costs of shareholder rights earns a significant 9.2% annual abnormal return in business cycles. Moreover, the significant abnormal returns are not explained by the existing asset pricing models. Providing a comprehensive study on the policy and economic effects of shareholder control over business cycles, this paper suggests that strong shareholder rights in governance contracting have both benefits and costs due to their varying agency implications.
