Book excerpt: Contracts: The Law of Promises is a casebook for first-year contracts courses. Its emphasis is on presenting contract law in an easily understandable way so students can spend most of their time mastering the application of the rules, rather than seeking to discover the rules. The casebook includes an appendix with the most important black letter rules and over 600 examples throughout the book showing how the rules are applied. Before each case, textual material explains the law and its application, with further emphasis on explaining each of the elements of the doctrine being discussed. Key points and chapter "takeaways" are included to help students know if they are recognizing which principles are particularly important. Cases have been chosen based on the clarity of the court's analysis and have been abridged to exclude irrelevant material. The cases included provide for interesting classroom discussions, but classic cases have been retained as well. Numerous problems are included, typically based on real cases, so that professors can use them in class to further students' understanding of how the rules are applied. Common student mistakes are also highlighted. Theory is covered, but kept to a minimum. Contracts: The Law of Promises will enable students to come to class with a firm grasp of the black letter law and a general understanding of how the rules are applied, enabling professors to devote more class time to discussion and less time to lecturing. The second edition includes expanded coverage of electronic contracting and explanations of the 2022 amendments to Article 2 of the Uniform Commercial Code and the 2022 Restatement of Consumer Contracts. Core Knowledge for Lawyers content for this book will be available in Fall 2024.

The ConsensusDocs forms replace many of the forms previously issued by the Associated General Contractors of America (AGC). Now completely revised, this invaluable resource offers a topic-by-topic comparison of these forms by providing: - An easy-reference guide to how the AIA, ConsensusDOCS and EJCDC forms treat the most significant issues in owner/contractor/subcontractor and owner/design professional agreements - Proposed alternative language for situations where the form contract approach may not provide the best solution - List comparing the most significant provisions from each of these forms (on the CD-ROM)

Political dialog takes place as the cold war heats up before Daniel secures Combine support to defend mankind from the Telshean Symbiote protocol. Fulfilling the deal with his new technology he leads combine forces in the retaking of anothers home world lost to the Telshar and leaves the Symbiotes undergoing reversion to find the war surrounds Earth. Earths emerging Terran Council is born as Union and Combine forces are destroying each other in the system. Mankinds first leader Althea Jefferson is elected from the American organization and rises to be the first Terran Chancellor. As war engulfs Earth, hopes lay with a Telshean prophet and a former Telshean politician.

This new book revises, and adds new foci, to the authors' predecessor casebook Government Contract Law: Cases and Materials (2d ed. 2004). It retains the core chapters for a syllabus on the basics of government contracting law. The authors update the core chapters with short, student-friendly, tightly-edited cases. Many cases date from the 2000s, with most of the rest from the 1990s. These present current understandings of issues and doctrines in this rapidly evolving field. As new foci, the authors have greatly expanded the number of specialized chapters treating increasingly important topics. New chapters cover such fast-changing specialties as commercial and IDIQ contracting, intellectual property, health care, construction, government and contractor workforce, false claims and defective pricing, and government takings. Also, the book treats new procedures including protests of task order awards and claims for government breaches of contract. Dozens of fresh notes by the authors cover recent developments such as government acquisition of property rights in software, and contracting in the Afghan and Iraq wars. Tiefer and Shook bring academic and practitioner experience and expertise to their treatment of government contract law.

Book excerpt: This Understanding treatise is designed for first-year law students enrolled in Contracts. The text explains common law principles of contract law using cases and examples that students commonly encounter in this first-year course. It draws illustrations from the Restatement (Second) of Contracts, and from Article 2 of the Uniform Commercial Code as it has been adopted in all fifty states. This edition includes expanded material on the United Nations Convention on the International Sale of Goods, and the UNIDROIT Principles of International Commercial Contracts, appropriate to a basic course in Contracts, and on modern statutes regarding electronic contracting. Understanding Contracts was written with the understanding that Contracts will be one of the most challenging courses first-year law students will take. It explains how key concepts apply in several recurring basic fact patterns. It then builds on those fact patterns to explain how the law is more difficult to apply in business transactions with more complex facts. A key feature of Understanding Contracts that is not found in other similar books is its conscious incorporation of basic explanations of the common business practices to which the law of contracts applies. The feature helps students, many of whom have not had any background in the business world, understand contract law in the business settings in which it frequently applies. The book also provides detailed topic headings that students can use to develop their own comprehensive course outline.

Available in PDF, EPUB and Kindle. Book excerpt: In the second edition of Labor-Based Grading Contracts, Asao B. Inoue refines his exploration of labor-based grading contracts in the writing classroom. Drawing on antiracist teaching practices, he argues that labor-based grading contracts offer a compassionate approach that is strongly grounded in social justice work. Updated with a new foreword and revised chapters, the book offers a meditation on how Inoue's use of Freirean problem-posing led him to experiment with grading contracts. The result is a robust Marxian theory of labor that considers Hannah Arendt's theory of labor-work-action and Barbara Adam's concept of "timescapes." The heart of the book details the theoretical and practical ways labor-based grading contracts can be used and assessed for effectiveness in classrooms and programs. Inoue concludes his exploration of labor-based grading by moving outside the classroom, considering how assessing writing in the socially just ways he offers in the book may provide a way to address the violence and discord seen in the world today.

Book excerpt: Drafting and Analyzing Contracts (called Drafting Contracts in its first two editions) is organized around the topics that are studied in the first year Contracts course. The purpose of this book is to apply the principles of contract law to the drafting of agreements. Each chapter discusses the substance of contracts as applied to drafting and suggests language that may be employed to accomplish the purpose. Drafting and Analyzing Contracts uses drafting to: exemplify the principles of contract law illustrate the principles in a planning context develop the skills of a lawyer Part I (How the Principles of Contract Law are Exemplified in Drafting) contains 14 chapters that illuminate the substantive law. For example: Chapter 7 demonstrates the problems that can arise from ambiguity and how to cure them; and Chapter 10 makes clear how drafters can use the concepts to accomplish different goals. Part II (How the Principles of Drafting are Exemplified in Contracts) teaches techniques for contact drafting, including Drafting in Plain Language and Drafting with a Computer. Part II reinforces the substantive law and is particularly useful for classes that teach drafting. New in this edition is Part III (How to Read and Analyze a Contract). Attorneys rely on forms and models and often employ form contracts where there is no opportunity for drafting. Therefore, attorneys must first read a contract before drafting or explaining it to a client. Students who follow the "5 passes" process for reading contracts will develop and deepen their analytical skills. A thorough Teacher's Manual (available only to professors) provides guidance on teaching drafting, commentary on all parts of the book, solutions to all the problems, additional problems, and a bibliography.

Book excerpt: How to Get Government Contracts demystifies the process of how a company can enter the government market, win its first and subsequent contracts, and then grow itself into a multi-million-dollar government contractor within a couple of years. It offers an insider’s view into the latest best practices that government contractors use to succeed in an increasingly competitive market, and it shows exactly how your company can apply these techniques to build a strong business. Many companies venture into the government market with a certain naiveté and pay a hefty price to find out that there is much more to winning a contract than writing last-minute proposals in response to publicly posted solicitations. To stop the bleeding of precious resources, they need to step back to learn how professionals win business in the federal arena. This book shows you how to find, for example, the best potential customers and opportunities for your company. It also explains the secret to winning consistently by conducting pre-proposal preparation (also called "capture") and practicing a disciplined, process-based approach to proposal development. This book provides a recipe for winning government contracts over and over again, the way seasoned government contractors do it. After reading this book, you will know exactly what to do to position your company to win a government proposal before a solicitation becomes public, including building customer relationships, gathering intelligence, developing a "win strategy," performing competitive analysis, selecting the best teammates, and developing a solution. As a result, you will apply professional techniques to organizing your proposal effort, outlining a proposal document, and writing RFPs that persuade evaluators to award the contract to you.

Book excerpt: This concise paperback, which will be a valuable supplementary text to any traditional contracts casebook, combines cases and actual contracts to bring a real-world practical perspective to the first-year contracts classroom. Contracts: A Transactional Approach fills the long-felt need by professors, students, and practitioners for a teaching approach to contracts that focuses on practical and transactional skills.and Contracts: A Transactional Approach introduces business contracts and transactions to the first-year contracts class in a unique fashion: Actually executed agreements between sophisticated parties give students exposure to the sort of agreements they will encounter in practice as either a litigator or a transactional attorney. Agreements are lightly edited and are presented as whole documents unbroken by discussion to force the student to read and analyze contracts in their entirety. Focus points and, where appropriate, practitioner comments before each agreement help focus the student's attention on important concepts. The authors begin with the simplest agreement and iteractively build on the same lessons. The discussion is tailored to basic provisions and their interaction with contract law, enabling students to build familiarity with once seemingly foreign contractual provisions and concepts. Lessons focus on the building block provisions (e.g., recitals, representations, warranties, indemnities, limitations of liability, restrictive covenants, liquidated damages) typically found in sophisticated contracts, including the judicial treatment of those provisions. Practitioner comments from experts in the field provide insight and advice on relevant topics to give a real world and practical perspective and to drive home the relevance of these concepts to students. This book teaches students how to read and understand contracts (and to anticipate how judges may read and understand contracts) so that the student can better draft contracts. Drafting tips are sprinkled throughout the book.
