Pese a que desde entonces ha transcurrido prácticamente una década, estamos ante un delito que genera muchas dudas interpretativas. Tantas que su articulado ha sido sufrido modificaciones -hasta el momento- en dos ocasiones más: mediante la Ley Orgánica 1/2015, de 30 de marzo, y la Ley Orgánica 1/2019, de 20 de febrero, respectivamente. La obra pretende dar respuesta, de esta manera, a las múltiples cuestiones que presenta la "corrupción en los negocios": desde la doble perspectiva de la responsabilidad penal de las personas físicas y jurídicas. Su objetivo es promover una interpretación restrictiva del delito, congruente con los motivos político-criminales que han dado lugar a su tipificación, y con los principios inspiradores del Derecho Penal. Pero sin perder de vista el horizonte práctico, pues la discusión central gira en torno a la determinación de las concretas conductas que prohíbe esta tipología delictiva, y de cómo afectarían las últimas reformas a la interpretación y aplicación del delito.

Después, ofrece un marco general desde el que reinterpretar dicho sistema, a la luz del régimen de atenuación de las sanciones corporativas. Por último, analiza cada una de las circunstancias atenuantes en concreto, incidiendo en las implicaciones prácticas de su implementación. Uno de los principales méritos de la presente obra es que en todo momento el análisis está guiado por la experiencia de Derecho comparado. La autora profundiza en el Derecho federal de Estados Unidos y en los ordenamientos alemán, italiano y chileno, como referentes inexcusables con los que atender a la novedad que la responsabilidad penal de las personas jurídicas ha supuesto para nuestro Derecho penal. En esa categoría incluyó el delito denominado commercial bribery. Esta expresión es utilizada en EE. UU. para referirse al delito que conocemos como «corrupción entre particulares» o «corrupción privada». Esta forma de corrupción sucede en el ámbito de las organizaciones comerciales o mercantiles y se trasluce en transacciones comerciales en las que una empresa realiza pagos (normalmente en secreto) a un directivo, agente o empleado de otra empresa para beneficio personal del mismo y éste, a su vez, dirige los negocios en favor de la compañía que realiza el pago indebido con exclusión de otras entidades. Generalmente, ello concluye con la obtención de un contrato comercial por parte de la entidad que hace el pago al directivo, agente o empleado. La corrupción, en su concepción tradicional, se identifica con las acciones de los funcionarios públicos, que se valen indebidamente de tal condición para obtener un beneficio material, para sí o para un tercero. Esta concepción, propia de los Códigos penales del siglo XIX, ha sido superada por otras manifestaciones del fenómeno, por lo que el concepto de corrupción se amplía para incluir toda actuación de una persona, dotada de poderes de decisión, que es contraria a las normas que rigen su actividad, con el objetivo de lograr una ganancia ilícita. Todos estos elementos permiten afirmar que los delitos de corrupción han superado su tradicional naturaleza de delitos contra la Administración (basados en el quebrantamiento de deberes por los empleados públicos) para ser conceptuados como delitos de esencia y contenido económico. El punto de inflexión en esta modificación de la perspectiva lo marca la Foreign Corrupt Practices Act (FCPA) de 1977. Este cambio de concepción -de delito referido a funcionarios a delito que protege bienes de naturaleza económica- es fundamental para justificar el castigo penal de la corrupción privada. Son los efectos económicos de esta forma de corrupción los que permiten acudir al Derecho Penal. Ahora bien, la conclusión de que estas actuaciones merecen un reproche penal ha recibido críticas importantes, basadas en la idea de que se trata de una «forma de hacer negocios», que, a lo sumo, deben ser entendidas como comportamientos poco éticos, pero tolerables porque se realizan para conseguir oportunidades de negocio entre personas privadas; o en la idea de que si se castiga este tipo de corrupción se equipararía indebidamente la corrupción pública con la privada...

Lying has been with us from time immemorial. Yet today is different-and in many respects worse. All over the world, people are circulating damaging lies, and these falsehoods are amplified as never before through powerful social media platforms that reach billions. Liars are saying that COVID-19 is a hoax. They are claiming that vaccines cause autism. They are lying about public officials and about people who aspire to high office. They are lying about their friends and neighbors. They are trying to sell products on the basis of untruths. Unfriendly governments, including Russia, are circulating lies in order to destabilize other nations, including the United Kingdom and the United States. In the face of those problems, the renowned legal scholar Cass Sunstein probes the fundamental question of how we can deter lies while also protecting freedom of speech. To be sure, we cannot eliminate lying, nor should we try to do so. Sunstein shows why free societies must generally allow falsehoods and lies, which cannot and should not be excised from democratic debate. A main reason is that we cannot trust governments to make unbiased judgments about what counts as "fake news." However, governments should have the power to regulate specific kinds of falsehoods: those that genuinely endanger health, safety, and the capacity of the public to govern itself. Sunstein also suggests that private institutions, such as Facebook and Twitter, have a great deal of room to stop the spread of falsehoods, and they should be exercising their authority far more than they are now doing. As Sunstein contends, we are allowing far too many lies, including those that both threaten public health and undermine the foundations of democracy itself.
