Available in PDF, EPUB and Kindle. Book excerpt: The essentials of mergers and acquisitions (M&A) practice can best be examined from a buyer's perspective. In a corporate transaction, it is the buyer who typically faces the more substantial risks. In many instances, legal problems exist of which the buyer must be aware before deciding to purchase the target company. The ongoing internationalization of the M&A market must also be taken into consideration. The integration of foreign concepts into local legal systems not only leads to a multitude of new questions, it also creates a challenge for any lawyer practicing in this area. Clients expect their professional advisors to handle legal problems likely to arise abroad and to communicate and cooperate efficiently with foreign counsel. The book features a collection of reports by experienced young practitioners from seventeen different jurisdictions, along with a general report for a working session organised by the Corporate Acquisitions and Joint Ventures and Tax Law Commissions of l'Association internationale des jeunes avocats (AIJA) for the AIJA Annual Congress in Lisbon in August 2002. Each national report follows the same structure as the general report, but from a local perspective. While the working session also covered tax issues (a whole other volume in itself!), this publication concentrates on such practical matters of legal risk as: powers of local authorities;determination of relevant market;conflict between antitrust authorities;time limits for negotiation and clearance;avoidance of multiple filings;standard notification clauses;protection of confidential information; andchallenge of competition authority decisions. A useful introduction on warranty and indemnity (W&I) insurance offers an insider's comprehensive outline of the latest developments in this field. The practical information in this book will be of great value to any lawyer dealing with M&A transactions, not only in the countries covered but in any country where M&A transactions occur, as these reports often contain valuable information and suggestions that hold true for other jurisdictions as well. Available in PDF, EPUB and Kindle. Book excerpt: European capital markets law has developed rapidly in recent years. The former directives have been replaced by regulations and numerous implementing legal acts aimed at ensuring a level playing field across the EU. The financial crisis has given further impetus to the development of a European supervisory structure. This book systematises the European law and examines the underlying concepts from a broadly interdisciplinary perspective. National experiences in selected Member States – Austria, France, Germany, Italy, Spain, Sweden and the United Kingdom – are also explored. The first chapter deals with the foundations of capital markets law in Europe, the second explains the basics, and the third examines the regime on market abuse. Chapter four explores the disclosure system and chapter five the roles of intermediaries, such as financial analysts, rating agencies and proxy advisers. Short selling and high frequency trading is described in chapter six. Chapter seven deals with financial services and chapter eight explains compliance and corporate governance in investment firms. Chapter nine illustrates the regulation of benchmarks. Finally, chapter ten deals with public takeovers. Throughout the book emphasis is placed on legal practice, and frequent reference is made to the key decisions of supervisory authorities and courts.

Available in PDF, EPUB and Kindle. Book excerpt: It is my hope that this publication of a "lost" work by Galiani will interest scholars of many nations and disciplines. Few writers could make a more compelling claim upon such a cosmopolitan audience. An Italian with deep roots in his homeland, Galiani achieved celebrity in the salons of Paris. An ecclesiastic, his most notable concerns were worldly, to say the least. An erudite classicist, Galiani was passionately concerned about economics and technology. A philosophe and ostensibly something of a subversive, he was enthralled by power and he served for many years as a government agent and adviser at home and abroad. Galiani embodied many of the preoccupations and paradoxes of the Enlightenment. His torians and literary analysts devoted to the study of the lumie'res through out Europe are bound to find Galiani's work important. In recent years there has been an efflorescence of interest in the history of political economy and its relationship not only to the history of ideas but also to the history of social structure, economic development, admin istrative institutions, collective mentalities, and political mobilization. Galiani's work helps to crystalize many of these connections which scholarly specialization has tended to obscure. Galiani had a leading voice in one of the most significant debates in the eighteenth century on the implications of radical economic, social, and institutional change.

Book excerpt: In The Path Not Taken, Jeff Horn argues that—contrary to standard, Anglocentric accounts—French industrialization was not a failed imitation of the laissez-faire British model but the product of a distinctive industrial policy that led, over the long term, to prosperity comparable to Britain's. Despite the upheavals of the Revolution and the Napoleonic Wars, France developed and maintained its own industrial strengths. France was then able to take full advantage of the new technologies and industries that emerged in the "second industrial revolution," and by the end of the nineteenth century some of France's industries were outperforming Britain's handily. The Path Not Taken shows that the foundations of this success were laid during the first industrial revolution. Horn posits that the French state's early attempt to emulate Britain's style of industrial development foundered because of revolutionary politics. The "threat from below" made it impossible for the state or entrepreneurs to control and exploit laborers in the British manner. The French used different means to manage labor unruliness and encourage innovation and entrepreneurialism. Technology is at the heart of Horn's analysis, and he shows that France, unlike England, often preferred still-profitable older methods of production in order to maintain employment and forestall revolution. Horn examines the institutional framework established by Napoleon's most important Minister of the Interior, Jean-Antoine Chaptal. He focuses on textiles, chemicals, and steel, looks at how these new institutions created a new industrial environment. Horn's illuminating comparison of French and British industrialization should stir debate among historians, economists, and political scientists.

Book excerpt: In the 1789 Declaration of the Rights of Man and of the Citizen, French revolutionaries proclaimed the freedom of speech, religion, and opinion. Censorship was abolished, and France appeared to be on a path towards tolerance, pluralism, and civil liberties. A mere four years later, the country descended into a period of political terror, as thousands were arrested, tried, and executed for crimes of expression and opinion. In Policing Public Opinion in the French Revolution, Charles Walton traces the origins of this reversal back to the Old Regime. He shows that while early advocates of press freedom sought to abolish pre-publication censorship, the majority still firmly believed injurious speech--or calumny--constituted a crime, even treason if it undermined the honor of sovereign authority or sacred collective values, such as religion and civic spirit. With the collapse of institutions responsible for regulating honor and morality in 1789, calumny proliferated, as did obsessions with it. Drawing on wide-ranging sources, from National Assembly debates to local police archives, Walton shows how struggles to set legal and moral limits on free speech led to the radicalization of politics, and eventually to the brutal liquidation of "calumniators" and fanatical efforts to rebuild society's moral foundation during the Terror of 1793-1794. With its emphasis on how revolutionaries drew upon cultural and political legacies of the Old Regime, this study sheds new light on the origins of the Terror and the French Revolution, as well as the history of free expression.

Book excerpt: “The richness, clarity and nuances of the structure and methodology followed by the contributors make the book a very valuable tool for students... seeking to obtain a general understanding of the market and how it is regulated.” – Ligia Catherine Arias Barrera, Banking & Finance Law Review The fully updated edition of this user-friendly textbook continues to systematise the European law governing capital markets and examines the underlying concepts from a broadly interdisciplinary perspective. The 3rd edition deals with 3 central developments: the project of the capital markets union; sustainable finance; and the further digitalisation of financial instruments and securities markets. The 1st chapter deals with the foundations of capital markets law in Europe, the 2nd explains the basics, and the 3rd examines the regime on market abuse. Chapter 4 explores the disclosure system and chapter 5 short-selling and high-frequency trading. The role of intermediaries, such as financial analysts, rating agencies, and proxy advisers, is described in chapter 6. Chapter 7 explains compliance and corporate governance in investment firms and chapter 8 illustrates the regulation of benchmarks. Finally, chapter 9 deals with public takeovers. Throughout the book emphasis is placed on legal practice, and frequent reference is made to the key decisions of supervisory authorities and courts. This is essential reading for students involved in the study of capital markets law and financial law.
