Book excerpt: In this article we offer an empirical test of the critical mass arguments in the discussion of women on corporate boards. The literature in the women on corporate board debate concludes that there must be at least three women on a board before the women really make a difference. These arguments are frequently used in the public debate about the understanding the impact of women on corporate boards, but they have never really been empirically tested on a large sample. In this paper we use a sample of 317 Norwegian firms. Our dependent variable is board strategic involvement. The findings support the critical mass arguments. This study offers useful insights to policy-makers interested in defining legislative measures mandating the presence of women directors in corporate boards by showing that “at least three women” may be particularly beneficial in terms of contribution to board strategic tasks.

Applying critical mass theory, we analyze whether behavioral differences manifest themselves in the decision-making of women directors when the board of directors consists of a certain percentage of women. We hypothesize that women, as a minority group of directors, engage in less discussion and debate on high risk strategic board decisions (and thus vote with the majority on such matters) in the absence of a critical mass of women directors. We conclude that the tipping point for critical mass is proportional at thirty percent, and having a critical mass of women on corporate boards of directors is generally important for women director discussions and debates in high risk strategic board decisions.

Book excerpt: In this Article, we report and analyze the results of forty-six wide-ranging interviews with corporate directors and other relevant insiders on the general topic of whether and how the racial, ethnic, and gender composition of corporate boards matters. In particular, we explore their views on the concept of “critical mass” -- that is, the theory that women and racial or ethnic minorities are unlikely to have an impact in the boardroom until they grow from a few tokens into a considerable minority of the board. In contrast to other recent qualitative research on corporate boards, we find more limited support among our respondents for critical mass theory. Though some female respondents expressed the view, consistent with critical mass theory, that having more women on the board increased their comfort level and eased some of the stresses associated with being the first and only female, this narrative is in tension with our respondents' apparent embrace of their first and only status. Moreover, with the possible exception of employee relations, our interviews largely fail to support the theory that a critical mass of female directors will produce different, and distinctly feminine, boardroom outcomes.

Book excerpt: This study examined the influence of demographic, functional, and cognitive diversities on firm performance of North American Biotech companies using a mixed method explanatory sequential approach. One-year cross-sectional data of 100 companies was analyzed followed by purposeful semistructured interviews with eight board members from the dataset. The combined results resolved several ambiguities present in the literature regarding board selection, composition, and the correlation of board diversity with firm performance. This study used the well-known market-based financial metric Tobin's Q to measure firm performance. The quantitative results showed a dichotomous relationship between gender ratio and Tobin's Q based on a theoretically determined shift in performance at 22% gender ratio. Firm performance or Tobin's Q was negative for gender ratio less than or equal to 22% highlighting that "tokenism" did not enhance performance and positive for gender ratio greater than 22%. The gender interaction effect analysis using the slope dummy variable approach indicated small to midsize firms with low Tobin's Q attracted more women, and vice versa, alluding to an endogenous relationship. The qualitative results complemented the quantitative findings with respect to rank ordering of the diversity attributes, board selection process, and strategies for a diverse and inclusive board. The preference for different diversity attributes was dependent on the complexity of the business, board size, and the life cycle of a company. The findings led me to conclude that a combination of diversity attributes is required to meet a board's objectives versus a single diversity attribute. Participants suggested that boards prefer all forms of diversity as it gains from different perspectives of members while avoiding the trap of "groupthink." Further, the board selection process varies according to the board size and is generally through a professional network with the CEO or a board member and in some cases search firms. The supply deficit of underrepresented groups can be mitigated through succession planning and grooming the next set of executive leaders. Central to this strategy is the willingness of the executive leadership to change the board dynamics and power structure to enable a more diverse and inclusive board.
