Book excerpt: This paper discusses new data on regulatory competition in European company law and the impact of national law reforms, using the example of English company law forms being used by German start-ups. Since 1999, entrepreneurs in the EU have been allowed to select foreign legal forms to govern their affairs. The data show that English limited companies were very popular with German entrepreneurs in the first few years of the last decade but have experienced a sharp decline since early 2006. This decline casts doubt over the claim that the German company law reform from November 2008 'successfully fought off' the use of foreign company forms. Moreover, by contrasting the German data with the corresponding developments in Austria, the paper further demonstrates that the latter jurisdiction is also seeing a similar decline, and without having reformed its company law. Instead of exclusively seeing law reform responsible for the declining number of foreign incorporations, this paper offers a number of alternative or complementary explanations for the striking developments. These findings are important for our understanding of (defensive) regulatory competition and successful lawmaking.

The Treaty on the Functioning of the European Union grants the freedom of establishment to both individuals and legal entities. Nevertheless, companies still have to face several legal and cultural barriers when deciding to move their offices and undertaking cross - border activities: the exit taxation system and differences both in the criteria used to determine a company's nationality and in the languages and traditions of each of the Member States constitute serious constraints to the development of a European market for corporate charters. This work focuses on the troubles and pitfalls companies face when relocating cross - border and demonstrates how the ECJ has fairly balanced the companies' demand for corporate mobility with the Member States' need of control over companies incorporated under their laws.

Book excerpt: Starting from the right of primary and secondary establishment embedded in the EC Treaty, and the presence, throughout the Member States of the European Union, of two possible connecting factors that have equally been recognized in the EC Treaty, this paper aims at analysing and systematizing the current understanding of the concept of "corporate mobility" on the basis of European legislation and the case law of the European Court of Justice. Such analysis shows in the very first place that a lot of confusion still exists about the various applications of the right for a company to be mobile throughout the European Community. We have therefore rigorously set out all possible scenarios. This, in turn, leads to the conclusion that the case law of the European Court of Justice only covers very few of these scenarios, that it does so in a much more consistent manner than is generally perceived, and that it continues to scrupulously respect the connecting factors accepted in the EC Treaty, as they are embedded in the national law of the individual Member States. On the one hand, the Court rigorously accepts the expansionism of the incorporation doctrine states; on the other hand, the Court also respects the more conservative cautiousness of the real seat doctrine states. It is therefore not predictable how the Court will rule if other scenarios are submitted to it, since its position will largely be influenced by the national law involved. In fact, this clearly demonstrates the void in European legislation: apart from a few - recently introduced - regulations with regard to corporate mobility that cover one specific situation, i.e. a cross-border merger of an SE or of any other corporate form that is allowed by its own corporate law to merge cross-border, the Commission does not seem to have a clear view where it wants to end up with corporate mobility. Two options seem possible: either the European Union evolves towards the interstate competition model that already exists in the United States; or a choice is made for one single connecting factor and its consequences. In both cases, further harmonization in the field of company law as well as in neighbouring fields, e.g. tax and insolvency law, would considerably facilitate the process.

More specifically, we seek an answer to a simple question: Has the increased mobility which arose from the implementation of the Societas Europaea (SE) and the path-breaking decisions of the European Court of Justice (ECJ) led to an outbreak of regulatory competition and the emergence of a Delaware-like member state in Europe? Two types of corporate mobility are distinguished: (1) the incorporation mobility of start up firms and (2) the reincorporation mobility of established firms. As to incorporation mobility, the Centros triad of cases makes it possible for start-up firms to incorporate in a foreign jurisdiction. Many entrepreneurs have taken advantage of this new freedom of establishment. However, recent data from Germany and The Netherlands indicate declining numbers of such foreign incorporations over time. Moreover, Centros-based incorporation mobility is a rather trivial phenomenon, economically speaking. The actors in question seek only to minimize costs of incorporation. National lawmakers have been responding, amending their statutes to lower these costs. But, because out of pocket cost minimization at the organization stage operates as only a secondary motivation of 'choice-of-business-form' decisions, there arise no competitive pressures that cause national legislatures to engage in thorough-going reform addressed to corporate governance more generally. As to reincorporation mobility, which concerns the migration of the statutory seat of a firm incorporated in one member state to another member state, the SE has opened the door, but not widely enough to serve as a catalyst for company law arbitrage. Reincorporation mobility is still far from generally available in the EU. As a result, competitive pressures do not yet motivate changes in the fundamental governance provisions of national corporate law regimes.

The aim of this book is to study the current European health care market and discuss the hypothesis of a European right of citizenship with reference to health-care services. It examines patients' mobility from several perspectives: determinants of patient mobility, governance of cross-border mobility at EU level as concerns patients and health-care professionals, policy implications, and case studies.
