Available in PDF, EPUB and Kindle. Book excerpt: This book is the first to present research-based data, rather than opinion, on the subject of executive mobility. J. Benjamin Forbes and James Piercy have brought together ten years of research on various topics, including backgrounds of chief executive officers, early intra-organizational mobility, and backgrounds and placements of female executives, then integrated the results to form an accurate picture of management mobility in today's corporate world. In gathering data on the entire careers of CEOs, Forbes and Piercy looked at a variety of industries, including manufacturing, utility, transportation, banking, insurance, and retailing, as well as the socio-economic backgrounds of these industries' executives. Throughout the work, the authors deal with specific issues, such as early promotions versus the late bloomer, changing firms or industries to move up more quickly, and the greatest opportunities for women executives. Following an introductory chapter that provides an overview of the current environment and conventional wisdom, Forbes and Piercy offer detailed discussions of starting a career and the importance of early movement; the early competition; and mid-career issues including alternate routes to the top. Subsequent chapters deal with profiles of and projections for female executives; origins and formative years of the chief executive, including education, social status and personal characteristics; and industry differences and changes over time. The work concludes with a discussion of the careers of CEOs in different industries, and a practical look at reforming development and selection and strategically planning an individual career. This work will be a valuable tool for human resource professionals as well as for professionals and students in the management field. Public, academic, and business libraries will also find it to be an important addition to their collections.

Book excerpt: Business travel has become indispensable to the global economy, not only due to its necessity in the maintaining of corporate networks, but also because of the associated economies that cater to the daily requirements of the business traveller. Underlying these developments are concerns over the environmental impact of increasing air travel, which are likely to generate new challenges for the future of business travel. From a team of international experts comes this analysis of the role, nature and effects of modern business travel. Issues addressed include the relationships between airlines and business travellers, the role of mobility in business, and the opportunities and challenges created by mobile workforces. The study combines theoretical advances with comprehensive analysis, and will provoke debate across the social sciences on the nature, organization and space of work in the twenty-first century.

This book was released on 2012-03-29 with total page 334 pages. Available in PDF, EPUB and Kindle. Book excerpt: Freedom of establishment is one of the four fundamental freedoms of the European Union. The principle is that natural persons who are European Union Citizens, and legal entities formed in accordance with the law of a Member State and having its registered office, central administration or principal place of business within the EU, may take up economic activity in any Member State in a stable and continuous form regardless of nationality or mode of incorporation. This book examines the way in which EU law has influenced how national courts in Europe assert jurisdiction in cross-border corporate disputes and insolvencies, and the mechanism which allows them to decide which national law should apply to the substance of the dispute. The book also considers the potential for EU Member States to compete for devising national corporate and insolvency legislation that will attract incorporations or insolvencies. Central to the book is the concept of national choice of law. In considering the impact of freedom of establishment on private international law for corporations, the book uniquely analyses both corporate and insolvency law together, presenting the topic in the broadest possible sense. Importantly, the doctrine of abuse in corporate and insolvency law is covered, raising the question of 'forum shopping' and regulatory competition which underpins the intersection between freedom of establishment and private international law. Through examination of the most recent and leading judgments of the European Court of Justice in Centros and Cadbury Schweppes, the book derives certain conclusions as to the operation of the doctrine of abuse and the limits thereof in the context of freedom of establishment. Being the first in the field to examine the leading ECJ cases of Inspire Art, Sevic and Cartesio regarding the real seat doctrine, the book makes the judgment that there is no incompatibility as such between the doctrine and the freedom of establishment. Ultimately, the book analyses to what extent diversity in the corporate and insolvency laws of the Member States should be preserved, so as to encourage competition between jurisdictions in Europe.

Available in PDF, EPUB and Kindle. Book excerpt: Rising defaults in the financial market in 2007, the current widespread economic recession and debt crisis have added impetus to existing doubts about companies’ governance, and cast new light on future trends in shareholder-oriented corporate practice. Taking account of these developments in the field and realising the current need for changes in governance, this book offers a thorough exploration of the origins, recent changes and future development of the corporate objective—shareholder primacy. Legal and theoretical aspects are examined so as to provide a comprehensive and critical account of the practices reflecting shareholder primacy in the UK. In the wake of the financial crisis, this book investigates the direction of future policy, with particular attention to changes in governing rules and regulations and their implications for preserving the objective of shareholder primacy. It examines current UK and EU reform proposals calling for long-term and socially-responsible corporate performance, and the potential friction between proposed legal changes and commercial practices. This book will be useful to researchers and students of company law, and business and management studies.

Available in PDF, EPUB and Kindle. Book excerpt: This monograph provides a comprehensive analysis of corporate opportunities doctrines from a comparative perspective. It looks at both common law and civil law rules and relies to a large extent on a law and economics approach. This book broadens the conventional view on corporate opportunities, a vital step in light of the adoption of corporate opportunities rules in civil law jurisdictions and in light of investors' ever-changing strategies. This approach considers institutional complementarities and especially industrial complementarities. The book thus explores several jurisdictions and their economic and industrial environments, whilst also assessing the impact of globalisation onto legal reform. Furthermore, it analyses the problems related to the application of corporate opportunities rules to cross-border venture capital. In normative terms, the book advances one main stance, articulated in three points: first, it proposes different sanctions for undisclosed and disclosed misappropriations, supporting the core idea that sanctions should be set against disclosure and not authorisation. Secondly, it advances the idea that sanctions against undisclosed misappropriations should be more severe than the ones presently applied. Thirdly, it considers the possibility of a more flexible treatment of disclosed misappropriations. This study is positioned at the intersection of several fields, providing a lens into a much broader range of dynamics that will be of interest to a varied international readership, and offering a window into the broader institutional dynamics at work in centres of innovation (eg Silicon Valley and industrial districts in other jurisdictions). It is rooted in law and economics, but the emphasis is placed on how corporate opportunities rules fit within a broader set of institutional dynamics that affect innovation, industrial efficiency, and economic competitiveness.

Book excerpt: Family in all its aspects Familienbande International experts provide an overview of the current state-of-the-art of European family research and outline the multiple formations, structures and configurations of family in Europe. Four aspects are discussed in depth: family images, sex/gender roles, globalisation and family development processes. Influenced by globalisation, European countries experience processes which still have greatly varying consequences. Cultural differences, reflected in a range of family schemes and national family policies, are one reason for the continued existence of differences in the scope and speed of change processes. Quite generally, images and concepts of family have become more heterogeneous and flexible. The flip side of this coin is that family members are increasingly faced with the challenges of achieving a satisfactory work-life balance – a task aggravated by globalisation. We therefore need to ask how family policy can help families enjoy adequate freedom of action and latitude for their decision-making. To summarise: a read well worth the effort for all experts working in family research and family policy.
