Book excerpt: This study examined corporate governance reforms in Nigeria: a study of shareholders' right of entry. The study explored corporate governance reforms in Nigeria right from the promulgation of the Corporate and Allied Matters Act of 1990, the introduction of the 2003 Security and Exchange Commission (SEC) Code of Best Practices in Corporate Governance to the 2006 Central Bank of Nigeria (CBN) Code of Corporate Governance for Banks in Nigeria. It used related literature to review and discuss the identified challenges in the corporate governance reforms with particular reference to shareholders' right of entry. It discovered that some of the challenges to corporate governance reforms in Nigeria vis-a-vis shareholders' right of entry stem from the country's culture of institutionalized corruption and political patronage which is characterized by weak regulatory frameworks and refusal of government agencies to enforce and monitor compliance. The complexity of these challenges are compounded by the wide spread poverty and high unemployment which discourages a culture of whistle blowing. The study found that shareholder right of entry has been largely neglected in the few available studies on corporate governance in Nigeria.

In this chapter, we review the development of the corporate governance discourse in Nigeria, paying attention to the challenges of promoting good governance standards through reforms. Relying on institutional theory as against the widely-engaged agency framework, we account for the institutional determinants of corporate governance reforms in Nigeria. We analyse the intricacies of the institutional context in developing countries and their complementarity (or deviance) with the prevailing corporate governance regulatory system.

Book excerpt: Since her political independence from the British government in 1960, Nigeria has gone through different phases in the effort to develop the corporate sector. The intention was to drive the economy through corporate enterprises; however, the absence of effective corporate governance structure and conducive investment environment has no doubt been a source of concern for investors and successive governments. Meticulously researched and organized, this book takes the global view on corporate governance to provide insight into the corporate governance conundrum in Nigeria. Against the background of international standard, Author, Olusola A. Akinpelu proposes a number of reforms to the existing governance structure and delves into the history of corporate development from the 1960s through the present. In addition, Akinpelu offers an in-depth analysis of the philosophical foundations for corporate governance and compiles the theories, models, statutes, reforms, international standards, guidelines, and legal cases on corporate governance in the United Kingdom, Germany, the United States of America, and elsewhere to show how no country is completely immune from corporate collapse. Book excerpt: Masterarbeit aus dem Jahr 2018 im Fachbereich BWL - Unternehmensforschung, Operations Research, , Sprache: Deutsch, Abstract: Corporate governance refers to the system through which organization are directed and controlled. Following the experiences of failed companies in America and Europe in recent times and the resultant consequence on unemployment, wealth creation and shareholder value, corporate governance has taken a centre stage worldwide especially in emerging economies such as Nigeria that can ill-afford system failure. Typically, in public corporations directors are elected by shareholders to manage the affairs of the corporate on their behalf; which by implications imposes on the directors fiduciary responsibilities. A person with fiduciary duty is a person entrusted with the power or property with the understanding that the person is working for the benefit of the individual(s) who may have entrusted them with such responsibilities – therefore directors have fiduciary responsibilities to work in the best interest of shareholders and for the benefit of shareholders not in the interest of some other people or their individual interest. From all indications, the current global financial crises have revealed severe shortcoming in corporate governance across the global, there seems to be a common factor, an apparent lack of checks and balances needed by companies in order to cultivate sound business ethics bringing about the concern for improved corporate governance across all continents, this provides the needed motivation for this study. In Nigeria; for instance several public companies including local subsidiaries of western multinational companies have been criticized for various degrees of unethical practices. The case of Cadbury Nigeria PLC referred to as ‘Deliberate breaches of accounting system and controls’, are only a tip of the ice berg in Nigeria, a country that has for many years been sapped by widespread corruption. The choice of Cadbury Nigeria Plc for this study is because of their strategic importance as industrial giant in Nigeria that are presumed to be well established and respected for decades. It is expected that this study will contribute to knowledge on corporate governance as well as proffer some solution to the shortcomings and challenges of corporate governance issues with reference to Nigeria.

Book excerpt: Banking and corporate governance reform is an ongoing phenomenon which has received intense global attention after the 2008 global financial crisis. This is particularly true of Nigeria where banks constitute a dominant position of the financial sector. It has compelled many financial and non-financial regulators in Nigeria such as the Central Bank of Nigeria and the Securities and Exchange Commission to revise the codes of best practices for banks and other public companies overtime with a new single code of corporate governance [the national code of corporate governance] set to be released by the Financial Reporting Council of Nigeria. This paper makes a contribution to the existing literature on the state of corporate governance development in the Nigerian banking and non-banking sector, the impacts of the banking regulations and the efforts put in place at ensuring that banks are well governed. It also addresses the issue of compliance, disclosure and harmonisation of codes in Nigeria. It argues that while standards and codes are being enacted and revised by the CBN, the SEC and now FRCN, there is greater need for the Nigerian internal and external environments (such as the socio-political, economic and cultural systems) to support the reforms. There is also need for better enforcement, a renewed transparency and total compliance to the spirit and letter of the code in Nigeria.

Governance outcomes in developing and emerging economies often deviate from what theory predicts, due to a wide range of factors. Using insights from New Institutional Economics, Corporate Governance in Developing and Emerging Markets aims to explain the different issues and cultural and legal factors at play, and put forward an alternative governance framework for these economies. Structured in three parts, this text investigates different models of corporate governance; it explores the realities of corporate governance in ten nations, including the ‘BRICS’ (Brazil, Russia, India, China and South Africa) and ‘MINT’ (Mexico, Indonesia, Nigeria and Turkey) countries; and then considers corporate governance reform. This interdisciplinary text will be a valuable tool for students of corporate governance across Business, Economics and Law; and an equally useful resource for anyone working in or carrying out research in this area.

Book excerpt: While emerging market economies do not have a mature market structure yet, there is a need for research on corporate governance practices in these economies from different perspectives, including corporate social responsibility. Corporate Governance and Corporate Social Responsibility: Emerging Markets Focus fills the gap with a collection of high-quality research and policy-based papers addressing these issues, using various market cases as illustrations.Unlike previous books that often focused on one or several emerging markets, this book covers a much broader set of countries and tackles ethical, legal and societal aspects of corporate governance, beyond financial issues. It also discusses how companies work towards best corporate governance practices, particularly, in the aftermath of recent financial and economic crises. Readers will benefit from the wide range of theoretical, empirical, and case analyses, selected with care to reflect cutting-edge corporate governance and corporate social responsibility issues in countries with emerging markets.

This is particularly true of Nigeria where banks have an overwhelmingly dominant position in the financial system. More so, the effects of the global financial crisis on many emerging economies such as Nigeria which have re-echoed the importance of corporate governance have compelled the financial and non-financial regulators such as the central bank of Nigeria and the Securities and Exchange Commission to revise their codes of best practices for the banks and other public companies. This paper makes a contribution to the existing literature on the state of corporate governance development in the Nigerian banking sector, the impacts of the banking regulations and the efforts put in place at ensuring that the banks are well governed. It also addresses the issue on whether the banking reforms carried out by the central bank of Nigeria in relation to governance are enough or adequate for the survival of the Nigerian financial sector in the face of the global challenges. It argues that while standards and codes are being enacted and revised by the CBN and the SEC, there is need for the Nigerian internal and external environments (be it socio-cultural, political, economic, legal, religious etc.) to support the reforms.

Book excerpt: The corporate world over the past few decades has been plagued with instances of corporate mismanagement which resulted in the collapse of several companies. In Nigeria, several banks have collapsed, with the most recent being in 2018, and these failures have been largely credited to weak corporate governance practices. Banks are key in the development of emerging economies; therefore, good corporate governance of banks has far-reaching implications. To regulate corporate governance in Nigeria's banking industry, the principles-based approach is utilized. However, a critical examination would reveal that it has proven inadequate in achieving the regulatory objectives in light of the current challenges faced. This study proposes a restructure of the current system of regulating governance in the Nigerian banking industry. To achieve this, I engaged in a comparative analysis of the traditional principles-based and rules-based approach to governance regulation, using Canada and the United States as case study. Taking into consideration lessons from this cross-jurisdictional analysis, as well as the peculiarity of the Nigerian banking environment, the study explores new perspectives for regulating corporate governance within Nigerian banks and proposes the adoption of a unique approach.

Available in PDF, EPUB and Kindle. Book excerpt: This thesis analyses the adequacy of the corporate governance framework in the context of the legal relationship between the directors, shareholders and stakeholders and proffer suggestions for reform. The increasing economic power of corporations and the implications of the separation of ownership from control have thrown up a number of interrelated problems. These include the need to make the corporations fulfill the genuine expectations of shareholders and stakeholders. It was soon realized that corporate law and governance need to be better positioned in order to ensure a fair and sustainable balance between directors, shareholders and stakeholders interests. In Nigeria this is made worse by obsolete legislation, weak law enforcement mechanisms, lack of adherence to regulatory rules and weak monitoring systems. Primarily this research employed doctrinal legal research, which consist of analysis of rules, concepts and laws. The process involved primary and secondary information and knowledge gathering. The primary sources are relevant legislation and judicial decisions within and outside Nigeria. The secondary sources of information are journal articles, textbooks and learned papers. The research reveals the gaps in corporate law and governance in Nigeria in a number of areas which include: The corporate governance structure; the involvement and relationship between the directors, shareholders and stakeholders; the regulatory framework for corporate governance; the legal and practice regime for corporate governance. The study suggests that the regulatory framework in Nigeria needs to be improved upon in order to ensure that the interest of shareholders and stakeholders is protected. The study equally proffers the need for the legislature and the courts to do more to ensure that corporate law and governance in Nigeria are improved in line with global trends.
