Corporate governance is considered to be one of the most critical factors influencing firm performance and in banking sector it is particularly important as banks play a specific role in the economic system through the way it facilitates capital allocation and help minimize risk for businesses. This paper is aimed at filling the gap by presenting the issue of bank corporate governance in terms of both theoretical framework and empirical study. In the theoretical framework, the research provides readers with the fundamental aspects of corporate governance in general and bank corporate governance in particular with two popular frameworks. The empirical study presents a selection of banks for the sample and uses econometric models to test the effect of several corporate governance variables on bank performance. From the result of the research, it has been found out that the number of members in Board of Director and the ratio of Capital Adequacy have great influence on the performance of the Vietnamese commercial banks.

Regarding banking industry, the adoption of good corporate governance is much more vital, because a smooth and well-performed banking system lies at the heart of economic development in each country. This paper is to provide a deep look into the relationship between corporate governance and performance of banking sector, especially in two countries, namely Vietnam and Malaysia by presenting both theoretical framework and empirical study. The part of theoretical framework provides readers with profound knowledge about corporate governance in general as well as bank corporate governance in particular with two famous frameworks. In the empirical study section, a number of commercial banks in Vietnam and Malaysia have been randomly chosen as a sample to run econometric models which examine the effect of several variables of corporate governance on the bank performance. The overall result of study shows that board size, audit committee size, and capital adequacy ratio has a significant effect on both Vietnamese and Malaysian commercial banks and there exists the difference in the influence of some corporate governance proxies on the bank performance between Vietnam and Malaysia.

Noticeably, in the backward financial system and highly corrupted countries, the relationship-based firms become more common and better recognized phenomenon since political linkage may help firms reduce significantly external uncertainty as well as increase their competitive advantages in an intensively integrated environment like these days. This paper aimed at finding the relationship between political connection in corporate governance and performance of commercial banks in Vietnam with a view to filling literature gap and supporting policy makers as well as managers of banks. The paper shows that hard political connection has significantly positive relationship with bank performance. In addition, when political-connected and unconnected banks are compared, connected banks outperformed unconnected banks which were found to be less risky as a consequence.

Actual practices of the responsibilities of board of directors in the two selected banks are evaluated against OECD and Basel principles of corporate governance in this research. It is found that there is a significant gap between actual practices of the role of the board of directors and the international principles. There is also a noticeable deviation of actual practices of the role of board from the Vietnam central bank regulation. Lack of independence in the board, role of controlling shareholders and close relationships among a group of directors are found in the analysis. From qualitative analysis, there is a noticeable difference in the efficiency between the bank with better corporate governance and the other. This paper is constructed as follows: (i) the first session focuses on the introduction of the rational of the research, (ii) the second session briefs the previous research on the corporate governance in international practices, (iii) the methodology of the research is presented in the third session, (iv) the following session analyzes the current practices of corporate governance of the two selected banks and (v) the final session gives some conclusions and recommendations.

This issues has attracted a variety of researches worldwide, and become a popular buzz lately, however there is still limited researches on this topic in Vietnam. In this paper, we focus on manufacturing sector, one of the most important industries in Vietnam economy. By using stakeholder theory and Kitamura's paper as a corner stone, a model showing the relationship between some external factors and internal factors including corporate governance is built. From the result of the research, it has been found out that internal factors (corporate governance) significantly affect the firm's performance, whereas external factors (market share) do not really show any influence. In term of production function, this manufacturing sector still benefits from an increase of capital but not that of labor.
