Book excerpt: Chinese companies have been increasingly active in outbound investment in recent years, with Germany the third largest destination in Europe. Adopting an analytical approach and utilizing case studies and expert interviews, this book examines Chinese mergers and acquisitions (M&As) in Germany, with a focus on the companies’ business growth, particularly the integration process and subsequent growth after acquisition. The authors contend that Chinese investors take a different approach than their western counterparts, by fostering a long-term orientation toward their investments and placing greater emphasis on co-evolution with the acquired firms rather than transfer of knowledge back to China. This book offers readers a behind-the-scenes story of three separate M&A cases, shedding light on the growth models that ensue from mergers and acquisitions, and the endeavors of Chinese and German managers to grow the businesses together.

Book excerpt: Since the turn of the millennium Chinese companies have gradually increased their activities in the German M&A market. In 2012 Chinese companies acquired 23 German targets. This was the highest number reported for Chinese M&A in Germany since its first occurrence in 1996. Two central questions are most relevant for understanding this phenomenon: What factors influence Chinese M&A in Germany and how can the development be explained by these factors? The intention of the thesis is to comprehensively answer these questions. A number of selected macro- and micro-level factors are evaluated concerning their influence on Chinese M&A in Germany. Subsequently the results of the evaluation are verified by an analysis of the data of all the past 118 Chinese M&A deals in Germany. The most important factors influencing these M&A deals are China's economic policy, the technology and know-how of German companies, the financial situation of German firms and the specific motivation of the Chinese acquirer. The answer to the first question is then used as a basis for a typological analysis. The resulting evolutionary typology is capable of explaining the development of Chinese M&A in Germany. For this purpose Chinese M&A in Germany in each policy phase are characterized by four different types of acquirers and six types of underlying motivations.

Book excerpt: Bachelor Thesis from the year 2016 in the subject Business economics - Operations Research, grade: 1,3, Berlin School of Economics and Law, language: English, abstract: The following thesis deals with Chinese outward foreign direct investments (OFDI) in Germany and the effects of post-merger integration on labor relations. As a result of the economic reforms that have been taking place in China for the past four decades, the People’s Republic has become an economic giant, rapidly making cross-border investments across the globe. Backed by large amounts of currency reserves, China’s OFDI reached a record-breaking US$ 114 billion in 2014, making it one of the top three global investors. The impending acquisition of Swiss Syngenta by China’s state-owned enterprise China National Chemical (ChemChina), worth over US$ 43 billion dollars, illustrates the aggressive expansion into new markets. Germany has also received its share of FDI inflows from China. While investments have remained rather modest in comparison to other countries, the acquisition of KraussMaffei Gruppe or EEF Energy From Waste GmbH—worth billions of euros—have headlined Chinese M&A in Germany. Chinese have topped the M&A discussions in Germany due to the speed at which so-called "hidden champions" are being acquired. The process of M&A is particularly of interest to us, specifically the post-merger integration (PMI) and the effects it has on labor relations. This thesis will begin with a literature review on the current and past state of knowledge regarding PMI. Definitions of mergers, acquisitions and integration are given at the start of chapter two, followed in the second half by the various streams of literature pertaining to the topic. Chapter three will introduce the concept of Chinese FDI and the developments of the past 40 years; in the second half of the chapter, we will present the methodology of research we have chosen for the study and the various methods used. Chapter four consists of two case studies of German companies in the automotive sector that have recently been acquired by Chinese multi-national corporations (MNCs). From these case studies, we will make our analysis in chapter five and provide our conclusions in chapter six.

Available in PDF, EPUB and Kindle. Book excerpt: M&A transactions are significantly more complex processes than the mere purchase and sale of goods - SMEs can quickly find themselves in unfamiliar territory - especially when it comes to multi-layered activities with players from completely different cultures, especially from China, as Germany's largest foreign trade partner. The need for knowledge in practice is correspondingly great. This edited volume therefore brings together, on a theoretical basis, the practical knowledge needed for the successful planning, implementation and integration of German-Chinese corporate takeovers in the SME sector. After a compact presentation of the economic background, cultural aspects of negotiation and regulatory framework conditions, the course of corporate transactions and their German-Chinese peculiarities are dealt with in detail. The book concludes with a guide to the core aspects of such transactions and an exemplary presentation of case studies. In generally understandable language and well illustrated, the success factors as well as possible stumbling blocks are revealed. A clearly structured and cleverly formulated handbook that every player should have at hand.

Book excerpt: The importance of investments by emerging country multinationals to industrialised economies has risen continuously as illustrated by the growing number of Chinese merger and acquisitions (M & A) of German Mittelstand firms. This dissertation aims to analyse the effects of institutional distances on the M & A process. To this end, William Scott's concept of institutions is newly operationalized to investigate institutional distances on the intra-firm, regional and international level. Through interviews with involved firms, intermediaries and key persons with dual backgrounds, the effects on different dimensions of the subsidiaries' embeddedness as well as various mechanisms of institutional work during and after the M & A are evaluated.

The main motive for most of these acquisitions seem to be the seeking of know-how. This study is a first attempt to examine the effect of these Chinese acquisitions on non-listed German target firms. By using regression analysis this study tries to give more insight of the Chinese acquirers' influence of German companies and their impact on the targets' post-M&A performance. The study found that the post-M&A performance improved that the investment intensity and the number of employees increased post-M&A.

Book excerpt: Seminar paper from the year 2015 in the subject Business economics - Business Management, Corporate Governance, grade: 1,7, University of Applied Sciences Essen, language: English, abstract: Economic relations between China and Germany have a long historical tradition. However, during the last two decades trade has increased significantly. From a German point of view high potential growth opportunities and untapped market niches attracted companies to enter the Chinese market. Nevertheless, those entries did not occur without difficulties for business leaders and their workforce due to cultural differences and thus, diverging styles of doing business. As a result, channelling knowledge of the two leadership cultures has become a relevant field to discover helpful aspects of interaction when managing Chinese operations or negotiations as well as cross-border mergers, acquisitions and alliances in China. Against this background, this paper aims for a description of both Chinese and German business culture with a specific focus on leadership in order to improve current understanding of effective leadership in China. In this context, this paper builds on findings of the GLOBE study, which serves as the main scientific basis. First, it will be reasoned why GLOBE study establishes a reasonable fundament for the subject at hand. Second, German and Chinese business and leadership culture will be presented. Third, based on this description a comparison will be drawn in order to reveal applied learning potentials, which will be the fourth part of this paper preceding the conclusion.

Book excerpt: This book assesses Chinese acquisitions in developed countries, evaluates the drivers and opportunities and, above all, explores the major operational challenges. It discusses topics such as cross-cultural issues, integration strategies, risk and resilience, the influence of emerging technologies, servitization, impacts on reshoring, corporate social responsibility, branding strategies, knowledge management, and transfer of best practices. While emerging market multinational corporations’ (EMNCs) use of mergers and acquisitions as a strategic vehicle has received considerable attention, much less is known about their post-entry activities, such as the implementation of post-acquisition and integration strategies. It can be expected that, compared with their Western counterparts, EMNCs will face radically different challenges that may undermine the success of their products, brands and marketing. Addressing these issues by means of a case study approach, this book is an ideal teaching resource for a variety of courses at both undergraduate and postgraduate level. It also appeals to academics, researchers, and practitioners with a keen interest in manufacturing industry.

Book excerpt: In 2009, the PRC overtook the USA as the biggest automotive market in the world in production as well as in sales. With economic problems like stagnating real income, rising raw material prices and credit-driven consumerism in the industrial countries the importance of the Chinese market for car companies will even grow. Saturated passenger car markets in the USA and Western Europe and low rates of motorization in new automotive markets like China focus the attention of the market participants on these new, growing markets. The focus of this study is on the passenger vehicle market and lines out why the Chinese market is profitable and attractive for international manufacturers. Moreover, it shows how to deal with the problems and how to use the opportunities regarding the dimensions of internationalization. Firstly, the PEST-Analysis of the Chinese automobile market lines out the political-legal, economic, socio-cultural and technological factors. In such a rapidly changing and growing as well as culturally completely different country like the PRC, the framework conditions and circumstances are of big importance for foreign enterprises willing to do business there. The third chapter deals with possible internationalization strategies for China by showing possibilities of timing and market development strategies plus options for locating business markets. This is also further established in the fourth chapter, in which the internationalization strategies of two German enterprises are analyzed. Furthermore the fourth chapter analyses the internationalization strategies of VW and BMW. At the end of this thesis, the results are summarized in two SWOT-analyses of both firms including measures on how to deal with threats in the PRC and on how to benefit from strengths and opportunities.

Book excerpt: This book makes a timely and highly stimulating contribution to the discourse on emerging-market multinationals, (EMNCs), as Foreign Direct Investment (FDI) in Europe from emerging countries (especially from the BRICs - Brazil, Russia, India, China) continues to grow in significance. Unsurprisingly, the emergence of EMNCs from emerging economies raises a wide range of challenges and opportunities for scholars, business professionals, and policymakers alike. While explaining the sudden rise of these companies has become a major concern among scholars, we have very limited knowledge on drivers, motivations, strategies, and impact of these EMNCs in Europe and their policy implications. This volume provides fresh insights into EMNCs activities and their impact in Europe. The contributors argue that EMNCs combine various country specific advantages, existing firm-specific advantages (exploitation), and/or new FSAs (exploration) in their FDI, and that there is considerable heterogeneity across EMNCs, even those from the same southern economy. Highlighting the importance of considering this divergent behaviour when implementing future European FDI policies, this book will be of interest to students and scholars of European Politics, International Political Economy, International Business and European Integration.

Available in PDF, EPUB and Kindle. Book excerpt: As Europe finds itself once again caught between two superpowers – the USA and a rising China – little has been written about a relationship that will have a profound influence on the international order: the relationship between the People's Republic of China and Germany. In Germany and China, leading international relations expert Andreas Fulda looks critically at the increasingly interdependent relationship between the two countries. Drawing on examples from politics, industry, development aid and technology sectors and academia, the book explores how successive governments from Helmut Kohl to Angela Merkel have pursued ever-closer ties to China in the interests of short term economic gain. Fulda explores the danger of this increasing entanglement not just for Germany, but for Europe and the international world order.
