Contracts involving the protection of IP can be divided into four main categories: Technology development, transfer, consultancy and service contracts. Trade mark and copyright licence contracts. Manufacturing, distribution and sales contracts. Employment contracts. Using the right provisions and contracts for your specific IPR is key to protecting them. It is also essential to include provisions to protect confidential information and trade secrets in contracts with third parties. In China, 'trade secret' is defined as "any non-public technical or business information with commercial value that is guarded by confidentiality measures". 'Confidential information', on the other hand, generally refers to "any nonpublic information pertaining to a company's business", and is therefore broader in scope than 'trade secret'. However, no protection is afforded to 'confidential information' under Chinese law, unless it falls within the scope of trade secrets, or is otherwise specified in a contract. Since trade secrets and confidential information are critical to a company's business and operations, they must be carefully protected, as outlined in this guide. Your customers might tell you about competing products, you might find infringements for sale on the internet or you might see infringing products at a trade fair. You should follow-up this type of tip-off, for example, by hiring law firms or private investigators operating in accordance with the Chinese law in order to gather more information about the company marketing the product. The investigation can help you discover the following: is it a big company; what is its production capacity; how long has it been in the market; to whom does it sell; is it operating at its registered address? Once you have gathered sufficient information and decided to take action, then there are a few options to consider, as explained below.

A trade mark is essential to all kinds of companies, whether you are a producer, distributor or service provider, as it allows clients to distinguish you from your competitors and builds the image and reputation of your brand. International laws, including Chinese laws, grant legal protection to trade marks providing they comply with a few basic requirements: the mark must be distinctive; must not have previously been used by others in the same market; and must not describe the product, e.g. you cannot register 'apple' as a trade mark for apples. Trade marks are territorial in nature and therefore must be registered in every country. A trade mark registered in Spain, for example, is not automatically valid in China. If you want to obtain protection in China you must register with the Trade Mark Office (TMO) of the Chinese National Intellectual Property Administration (CNIPA) either by directly filing a domestic application or by filing an international extension through the Madrid System.
