Book excerpt: Excerpt from The Law of Contracts After teaching the law of contract for twenty years, I have consented, at the earnest and continued solicita tion of my colleagues in our Law Faculty, to formulate some of the results of this long experience, and to digest for publication the mass of notes and material gathered. The desire to treat this subject in my own way, and in accordance with my own ideas, has given me courage to continue my work. Book excerpt: Excerpt from Principles of the Law of Contract The purpose of this book is to give a complete and concise statement of the fundamental principles of the Law of Contract. Practically every principle, as applied by the courts generally in all States, is treated in this volume. It gives the starting point, with citations of the principal cases for further study and research work. The underlying principles of Contract Law are the same in all jurisdictions but the courts in different jurisdictions fre quently vary as to their application in particular instances. NO pretense is made to developing, harmonizing and dis cussing conflicting decisions. A discussion Of the contro verted questions will be found in the cases cited in the text. Their consideration in this work would defeat the very purpose for which it is prepared, - succinctness and a ready reference to leading authorities. Although in the citations a preference is given to New York cases, it is not to be inferred that the law as stated is applicable only to New York. The cited authorities will be found to con tain references to authorities in other jurisdictions. Num erous citations of cases are purposely avoided. The book is in no sense a digest Of contract law. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Law of Contract I have endeavored, in this revised edition of a book on the law of contract which was published some years ago, to set forth, with as much clearness and conciseness as I could command, the leading principles in all parts of the subject. The treatment of some matters, concerning which the authorities are conflicting, has been more elaborate than that of others where there is no difficulty for this reason. In dealing with Conditional Contracts, I have borrowed from the civil law a classification not used by English or American writers, but one which seems to me to aid greatly in simplifying an important subject where the rulings are confused and the terminology perplexing. Writers on the law of contract in this generation owe a debt of gratitude to the works of Sir W. R. Anson and Sir F. Pollock which I wish to acknowledge. Other books on the subject, both before and since these works, have successfully collected or digested the decisions of the Courts, but they lack the system and the steady grasp of principle of the writers I have named. By means of his classification of the subject. Sir W. Anson has effected both a quantitative and a qualitative simplification of the law of contract. The substance of the law as formulated in the decisions of the courts for several centuries is admirably adapted to promote justice, and is a part of the intellectual capital of humanity. But these decisions are so numerous, so full of refined distinctions, so difficult of access, that the problem is how to state this established law in such a form that its application in practice is simplified and facilitated. In a discussion of what he calls legal technique by that very suggestive writer. Von Ihering, it is said that, to the question of how to state the law, common sense has no other answer than this - by a clear, precise and detailed compilation of the laws. Book excerpt: Excerpt from The Law of Contracts, Vol. 2 The formal contract is an obligation which owes its validity not to consideration, nor in some cases, as in contracts of record, to the agreement of the parties, but solely to the form. Of the transaction. There is an inclination to explain the contract of record on the theory that the law implies an agreement and presumes a consideration.1 Such an explanation is of course a gross anachronism. The formal contract at Common Law antedated the executory simple contract, and was enforceable by reason of its form long before consideration was thought of as having any place in the law of contract.2 At Common Law primary rights were classed with reference to the form of actions by which they were enforced. Accordingly we find that as the action of debt would lie on a record and the action of covenant on a sealed contract, both were classed as contractsf' About the Publisher Forgotten Books publishes hundreds of thousands of rare and classic books. Authors may be tempted to sign the first version of a publication contract that they receive, especially if negotiating seems complicated, intimidating, or risky. But there is a lot at stake for authors in a book deal, and it is well worth the effort to read the contract, understand its contents, and negotiate for favorable terms. To that end, Understanding and Negotiating Book Publication Contracts identifies clauses that frequently appear in publishing contracts, explains in plain language what these terms (and typical variations) mean, and presents strategies for negotiating "author-friendly" versions of these clauses. When authors have more information about copyright and publication options for their works, they are better able to make and keep their works available in the ways they want"--Publisher.

Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from The Law of Contracts, Vol. 1 In a book of such scope, it is impossible, without ex ceeding proper limits, and if it were possible it would be undesirable, to cite all pertinent decisions. No attempt at this sort of completeness has been made. Especially, where a number of decisions in a single jurisdiction are merely cumulative, and the latest decision affords ready reference to the earlier, it has been deemed suffi cient to cite the latest case only. An exception to this rule has been made in favor of cases which for any rea son are of more than ordinarv importance. On the other hand, the editor has not confined his work wholly to the cases decided in the decade which has elapsed since the publication of the seventh edition, but, for the sake of making his notes complete, has frequently cited earlier cases. In spite of the endeavor to restrict the citation of cases to such as were of value, and the omission, on account of the citation of later decisions, of not a few cases cited in the last edition, the number of cases cited in this edition exceeds by about five thousand the num ber cited in the seventh edition. It affords me much pleasure to dedicate this book to you, as members of my own profession.
