Book Synopsis Best Practice in Corporate Governance by : Mr Adrian Davies
Download or read book Best Practice in Corporate Governance written by Mr Adrian Davies and published by Gower Publishing, Ltd.. This book was released on 2012-09-28 with total page 192 pages. Available in PDF, EPUB and Kindle. Book excerpt: An earlier book, A Strategic Approach to Corporate Governance (Gower, 1999), examined corporate governance from a philosophical and 'big picture' standpoint. This book digs deeper and explores the operational issues around corporate governance, giving examples of good practice. It is a 'how to' book, which focuses on processes and practical issues, making the case for corporate governance in terms of measurable business benefits and competitive advantage. The author explores a number of key themes: • How corporate governance has expanded in scope and importance worldwide. • How to engage with the wider range of stakeholders whose support is essential for success in a competitive world. • How to distribute power to those who need to use it to perform effectively at all levels in the organisation. • How to encourage the behaviours needed to effect good governance. • How to embed best practice in the daily routine of the organisation. • How to adapt best practice to meet the needs of different organisations. • How effective corporate governance can build sustainable business success. • How corporate governance may evolve to meet the needs of the future. Corporate governance should address the needs of people seeking to cooperate effectively in a shared endeavour. It should be adopted, not imposed and Adrian Davies provides an eloquent and authoritative guide to this process.

Block and published by Springer Science & Business Media. This book was released on 2013-04-17 with total page 188 pages. Available in PDF, EPUB and Kindle. Book excerpt: face. As myoid boss when I joined the discout market - who had worked as a "bond-salesman" on Wall Street during the "Great Crash" of 1929, through the Credit Anstalt crash, and served in British military intelligence during the Second World War - always used to say: "Remember! The telephone is not a secure instrument. " During the 1960s, foreign banks had flooded into London in pursuit of Eurodollar deposits. Arabs were spending their new found oil wealth in West End casinos. Ex change Control regulations were tight. In 1971, when our story begins, new "banks" on the fringe took advantage of the property boom, fuelled by Tory Chancellor Barber's first Budget. The discount houses (whose functions and special privileges at the Bank were soon arcane) became active traders in US dollar and foreign currency paper, and took stakes in the new money brokers (or "barrow boys," as the snobs called them, since the sharpest brokers were mainly Cockney Eastenders). While the "gentleman's club" was quickly being replaced by the fast growing "interbank swaps" market (now LIFFE), the discount houses had found a new role to pla- opening representative offices overseas (Gillett Brothers, where I was then chairman, in Southern Africa, UAE, Australia and Singapore, with brokering subsidiaries in Europe, Far East, and North America) - gathering market intelligence around the world, as the invisible "eyes and ears" of the Bank of England.

Book Synopsis Business Law in Europe by : Association Europpeene D'etudes Juridiques et Fisc
Download or read book Business Law in Europe written by Association Europpeene D'etudes Juridiques et Fisc and published by Springer Science & Business Media. This book was released on 2013-06-29 with total page 564 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book is intended to serve as a guide to businessmen and their advisers, either from outside the Common Market or from within, who seek basic information on questions in three main fields: company law and related legal matters, taxation, and labour law. For those who wish to establish an enter prise or form a holding or financing company in one of the Member States of the Common Market (including Greece, of course) or Switzerland this guide offers a unique opportunity to compare conditions in the various countries in the three fields. This is facilitated by the strict adherence to one format for each national chapter. Those who are already present in one or more of the eleven countries will find a global answer to a number of practical questions that may arise. For detailed answers the local lawyer or other consultant remains indispensable. The format is based on two different approaches the foreign investor may take: either he 'goes it alone', by way of establishing a branch, setting up a subsidiary or taking over an existing company, or he joins forces with another investor from within the host country or from outside. In the latter event there are a number of legal forms (jointly owned company, partnership, etc. ) which may be used.
