D'un côté, une personne morale de droit public supposée poursuivre des finalités d'intérêt général, de l'autre, un membre d'une société anonyme censé poursuivre la rentabilisation de son investissement. Un a priori d'inconciliabilité a souvent empêché la doctrine d'étudier la rencontre ces deux qualités. Pourtant, l'étude des participations étatiques et du gouvernement des entreprises publiques en France révèle que l'Etat s'approprie assez naturellement les mécanismes de la société anonyme. Les aménagements qu'il y apporte ont été perçus comme des dénaturations, alors qu'ils traduisent des phénomènes de pouvoir économique courants dans les sociétés de capitaux. L'Etat a ainsi joué un rôle précurseur, anticipant nombre d'évolutions du droit des sociétés. En revanche, l'Etat assume difficilement le rôle d'actionnaire. La poursuite de finalités d'intérêt général à travers les entreprises publiques l'a longtemps poussé à négliger les considérations de rentabilité. Les déboires du secteur public et un contexte de rigueur budgétaire ont toutefois conduit, depuis une dizaine d'années, à une institutionnalisation croissante de la fonction d'Etat actionnaire. Mais c'est le droit de la concurrence qui constitue le premier facteur d'émergence juridique de l'Etat actionnaire, dont il encercle progressivement le rôle. Si cet encadrement par le droit est de nature à améliorer l'efficacité de l'Etat actionnaire, il réduit la possibilité de poursuivre discrétionnairement les finalités d'intérêt général qui avaient motivé l'appropriation étatique
