Available in PDF, EPUB and Kindle. Book excerpt: A comprehensive guide to the world of mergers and acquisitions Why do so many M&A transactions fail? And what drives the success of those deals that are consummated? Robert Bruner explains that M&A can be understood as a response by managers to forces of turbulence in their environment. Despite the material failure rates of mergers and acquisitions, those pulling the trigger on key strategic decisions can make them work if they spend great care and rigor in the development of their M&A deals. By addressing the key factors of M&A success and failure, Applied Mergers and Acquisitions can help readers do this. Written by one of the foremost thinkers and educators in the field, this invaluable resource teaches readers the art and science of M&A valuation, deal negotiation, and bargaining, and provides a framework for considering tradeoffs in an effort to optimize the value of any M&A deal.

Available in PDF, EPUB and Kindle. Book excerpt: This book addresses synergy management, which poses an important challenge for firms, advisors and practitioners involved in mergers and acquisitions (M&A). Synergy plays a key role in M&A contexts, both in the decision-making process and, subsequently, in the integration phase. However, despite the fact that synergy value is commonly regarded as one of the key success factors in M&A, research shows that firms generally fail to achieve the expected synergy. The extant literature is characterized by a lack of comprehensive models of synergy management: the assessment of synergy value remains a “black box” for scholars and practitioners alike. The authors provide a comprehensive framework for synergy management by integrating findings from prior research and various disciplines. The framework highlights the main dimensions of synergy management in mergers and acquisitions, common pitfalls, and new models and tools for avoiding them. As such, the book enriches the M&A literature, offers new insights for scholars, and provides valuable guidelines for practitioners involved in synergy management.

Book excerpt: The creation of synergy, which is often illustrated as the "2+2=5-effect", is a dominant motive as well as a key success factor for Mergers & Acquisitions (M&A). Inadequate expectations with respect to the synergistic potential can however easily result in an overrated acquisition price. If the planned synergies later fail to materialize, it will be increasingly hard for the acquiring firm to achieve positive value gains for its shareholders. It is therefore vital to obtain a comprehensive understanding of the synergistic potential of a planned M&A project. This issue was addressed with a doctoral thesis investigating the underlying drivers of synergy realization, in particular the concept of business relatedness which describes the similarity of firm attributes, such as product-market presence, resource configuration and supply channel types. Using a quantitative hypothesis-testing survey design, more than 300 M&A consultants worldwide have been invited to evaluate past M&A transactions with respect to their synergistic effects. In contrast to earlier studies, the relatedness of the merging firms is established as a multi-dimensional concept considering various attributes of business relatedness simultaneously. The degree of relatedness is measured using managerial perceptions which is a comparatively new measurement approach transferred from diversification research to the field of M&A. The individual dimensions of relatedness show a different effectiveness concerning synergy realization providing further support to recent contributions which advocate a multi-dimensional conceptualization of business relatedness. The study identifies dimensions of business relatedness and their underlying drivers which are particularly relevant to predictions concerning the synergistic potential. The research project thus makes a valuable contribution to clarify the impact of relatedness on M&A performance and provides important implications for practitioners regarding the eval

Available in PDF, EPUB and Kindle. Book excerpt: This annual series presents fundamental research on the theory and practice of management. Volume 7 contains articles presented at the 2001 meeting of the International Conferences on Advances in Management (ICAM), held in Athens, Greece. ICAM's goal is to be truly comparative-in terms of the broad scope of management perspectives, in the broad-ranging locations of its research as well as its application, and in its comparisons of findings, methodologies, and operational definitions. This volume exemplifies ICAM's objectives. Part 1, "Organization Theory, Learning, and Effectiveness," revisits the management theory jungle, reports on the development organizational learning capabilities in Europe, encourages organizational learning through cultural diversity, and reviews the role of corporate parent . Part 2, "Behavior and Attitudes in Organizations," considers the relationships of religion to organizational citizenship and whistle-blowing behaviors, identifies antecedents of misbehavior among nurses and social welfare workers, and uses process framework as a method to depict encroaching processes and change in organizations. Part 3, "International and Cross-Cultural Management," looks at various issues of management abroad. Topics include the dimensions and levels of power bases and their relationships to subordinates' compliance and satisfaction in the U.S. and South Korea, the relationship between empowerment and quality of work life in Mexico, and case studies of organizational intellectual capital in China. Part 4, "Management in the Public Sector," turns attention to efforts to recognize and build on differences in public administration. Part 5, "Managing Human Resources," addresses the nature of researcher values in human resource management and considers recent publications in mainstream human resources in order to isolate the patterns of research. Part 6, "Role of Research in Management," discusses the need for processual thinking. It presents a list of factors contrasting two views of management: the classical view, and the "process view of management." This volume will be of particular interest to corporate executives, economists, and labor studies specialists.

Book excerpt: This book examines India’s relationship with Iran since the post-World War II period and its unique search for meaningful bilateral ties in the West Asian region in the context of the changing regional and international scenarios. The four chapters highlight the achievements and constraints on the development of Indo-Iranian relations during the Cold War era; opportunities and limitations in bilateral engagements between India and Iran in the aftermath of the Cold War; impact of the ‘US factor’ on the development of crucial Indo-Iranian energy ties and the limitation imposed by India’s relations with Israel and Saudi Arabia on the India–Iran ties. More specifically, the four chapters touch on the central drivers—energy imports, access to Central Asia, cooperation in Afghanistan, mutual trade and economic investments and security ties—of India’s Iran policy, and how they structure India’s interaction with the other countries of the region and impact on the articulation of national interests. Combining a rich interplay of facts and figures with nuanced analyses, this volume will be a valuable resource for scholars, policymakers, diplomats and any interested reader desirous of knowing more about Indo-Iranian relations in particular and India’s West Asia policy in general. Book excerpt: Marketing Green Building Services: Strategies for Success presents all the information key decision-makers need to respond to the fast-growing market for green buildings, design and construction services and products. Completely updated, revised and expanded from the author’s previous works, this book is the one resource you need to succeed in the green building marketplace. With a sound grounding in contemporary marketing theory and practice, the book assembles hard-to-find information to assist executives and partners in design and construction firms in crafting competitive strategies that build on their firm’ strengths, while shoring up their weaknesses. Since most design and construction firms specialize in particular market sectors, the book systematically examines the important market segments for green buildings. It also presents key business case justifications for green buildings that help architects, engineers and builders to understand client motivations and respond to them with appropriate marketing tactics and communications strategies. The book examines how the green building market is adopting certain new products and design approaches, information that will help manufacturers and product sales teams to craft appropriate marketing strategies. The book also helps owners and developers understand the green building business case and to find out what other leading-edge firms and projects have learned - how to market and sell green buildings and green developments in a highly competitive marketplace.
