Book excerpt: The CISG is now being applied extensively both by international arbitral tribunals and by domestic courts of its more than 70 contracting states. But do they also apply it in the same manner? Although Article 7 of the CISG underscores "the need to promote uniformity in its application", it gives little guidance as to how to achieve this goal. Each judge and arbitrator is influenced by the legal methodology of his home jurisdiction. Instead, securities such as shares or bonds are mostly held through intermediaries and transferred by way of book-entries on securities accounts. However, there are remarkable conceptual differences between the various jurisdictions with regard to the legal treatment of intermediated securities. It is widely agreed that this patchwork creates considerable legal risks, especially in cross-border situations. Two initiatives are in place to reduce these risks. In 2009, the UNIDROIT Convention on Substantive Rules for Intermediated Securities (the 'Geneva Securities Convention') was adopted, aimed at harmonisation on the international level. The EU Commission is also running a legislative project, to achieve harmonisation at the regional level. This book compares both initiatives and analyses their impact on the securities laws of selected European jurisdictions.

Short-time leases of cars, to both businesses and consumers, are perhaps the most striking example, but contracts for temporary use of another person’s goods in exchange for rent are common for a wide range of products, like industrial equipment, office machines, leisure boats, sports gear, etc. Long-term leases are often chosen as an alternative to other forms of acquisition of goods ("financial leases"). This book presents a set of Principles of European law on lease contracts within the framework of the Study Group on a European Civil Code.
