Silverstein, includes cases with notes and explanatory text, additional commentary, essay, and short-answer problems, and multiple-choice review questions for each chapter. Questions and problems provide opportunities to practice core legal skills and encourage students to explore the relationship between theory and practice. This successful book is well known for approaching contract law and theory from multiple perspectives and using a variety of contractual settings. Adaptable for instructors with different pedagogical philosophies, Problems in Contract Law can easily be used in teaching by traditional case analysis, through problem-based instruction, or using theoretical inquiry. The purchase of this ebook edition does not entitle you to receive access to the Connected eBook with Study Center on CasebookConnect. You will need to purchase a new print book to get access to the full experience, including: lifetime access to the online ebook with highlight, annotation, and search capabilities; practice questions from your favorite study aids; an outline tool and other helpful resources. New to the 10th Edition: Five new principal cases that reflect advances in or improved statements of contract law. One restored principal case (Oppenheimer & Co. v. Oppenheim, Appel, Dixon & Co.) that provides valuable perspectives on a fundamental area of contract law. Twelve new problems, including several shorter problems, to provide more review options for teachers and students and to add contemporary fact patterns. Eight new tables and flow charts to assist students with the conceptual structure of complicated legal subjects. Editing of note and text material to reduce length without affecting coverage and to capture new legal developments. Reorganization of text and comment material to focus comments primarily on historical developments, allowing professors greater flexibility in assigning or deleting comments. Student accessibility to deleted cases from prior editions through Casebook Connect, allowing professors the further flexibility of continuing to easily assign cases for which they have a particular preference. Professors and students will benefit from: The authors’ emphasis on making the material accessible for both students taking and professors teaching the course - rejecting a hide-the-ball approach. The continued appeal to professors with various teaching methodologies: traditional, problem-oriented, theoretical, and practical. The comprehensive nature of the contents allows professors the flexibility to teach their students the basics or conduct a more in-depth analysis of a given topic. The continued mixture of classic and contemporary cases. Review questions at the end of each chapter that are primarily designed for students to perform self-assessments of their grasp of the material. Answers with explanations are included in an appendix within the book.

Available in PDF, EPUB and Kindle. Book excerpt: This book tackles one of the most challenging fields of research and practice in the current global trade environment: integrating doctrines of private and public law for the purpose of international commerce and trade. Traditional concepts of obligatory and proprietary claims and rights reach their limits when placed within an international context of litigation funding, liability and securitisation. Across disciplines, scholars and practitioners are seeking new ways of expanding and reconnecting novel products and services such as data; and the use of international dispute settlement with indispensable constitutional values and democratic processes is also growing. This book combines contributions on current issues in commercial contract and contract law, making an important contribution to the areas of substantive contract law and arbitration procedure that connect issues across disciplines. Exploring both substantive and procedural laws, the book explores unfair terms in non-consumer contracts, which is complemented by a broader contextual discussion of the regulation of platform operators in the European Union; while a discussion of the procedural role of public reporting of investment arbitration awards by the International Centre for the Settlement of Investment Disputes (ICSID) expands on the procedural aspects of arbitration within the wider context of the rule of law debate. Debating policy issues in general private law reform, and including a juxtaposition of a traditionalist continuation-oriented approach and a call for radical reform of entrenched and outmoded private law concepts to suit global commerce, this book will be of interest to students, academics and practitioners working in the area of commercial contract law and arbitration.

Book excerpt: Since the Great Recession of 2008, the racial wealth gap between black and white Americans has continued to widen. In Predatory Lending and the Destruction of the African-American Dream, Janis Sarra and Cheryl Wade detail the reasons for this failure by analyzing the economic exploitation of African Americans, with a focus on predatory practices in the home mortgage context. They also examine the failure of reform and litigation efforts ostensibly aimed at addressing this form of racial discrimination. This research, augmented by first-hand narratives, provides invaluable insight into the racial wealth gap by vividly illustrating the predation that targets African-American consumers and examining the intentionally obfuscating settlement terms of cases brought by the U.S. Department of Justice, states attorneys, and municipalities. The authors conclude by offering structural, systemic changes to address predatory practices. This important work should be read by anyone seeking to understand racial inequality in the United States.

Available in PDF, EPUB and Kindle. Book excerpt: "This book reconsiders the foundations of contract law by clarifying the meaning of fairness and choice. It shows how these ideas were muddled with rise of voluntarism and conceptualism in the nineteenth century. Contract was defined in term of the will of the parties, even though often the parties are bound by terms to which they did not consciously assent and sometimes they are not bound by harsh terms to which they assented. Rules were formulated without regard to the purposes that contract law serves. Current theory and practice recognize these problems but cannot resolve them because they lack a clear idea of fairness in exchange. They approach them by manipulating the idea of choice, or by creating exceptions to previously accepted rules, or by introducing vaguely conceived policy considerations. Economic approaches disregard fairness entirely. This book revives a pre-nineteenth century idea of fairness in exchange. This idea is consistent with modern economic thought and can reconcile concerns about fairness, party autonomy, and the purposes that a contact serves for society and the parties themselves. This book presents an account of contract law that is principled, comprehensive, systematic, and operational in the sense that it explains or criticizes what courts actually do. It seeks to explain the enforceability of contracts, unconscionability, the effect of mistake, and changed circumstances, and problems of assent, interpretation, good faith, and remedies"--

Book excerpt: An invaluable supplement to any contracts law casebook (including the authors’ own K: A Common Law Approach to Contracts), this concise statutory supplement provides the materials necessary to keep your first-year contracts course completely up-to-date. Inside you will find the materials necessary to learn how to use the most important sources of law (other than the judicial opinions which fill your casebook): the Restatement (Second) of Contracts and the principal commercial statute—the Uniform Commercial Code—as part of the foundation course in contracts. The authors’ careful selection of sections and the judicious inclusion of comments and illustrations from the Restatement (Second) and the Uniform Commercial Code ensures students have access to resources which add helpful depth to the “black letter law” and avoids overwhelming students with dense and unnecessary detail. This statutory supplement aids students in the task of learning the essentials of contract law. Highlights of the 2024 Edition: Includes Article 1 and 2 sections as amended by the American Law Institute and the Uniform Law Commission in 2022 to respond to emerging technologies, including artificial intelligence, blockchain, and digital currencies. Provides an update on state legislative actions in response to the amendments. Article 1 includes an updated preface detailing the revision process and key changes to the UCC. Article 1 was substantially revised to change fundamental concepts that are present throughout the code (§1-201. “Definitions”). The supplement includes those revisions that are most relevant to first-year contracts: “conspicuous” (10) is condensed, “electronic” (16A) is added, “money” (24) is clarified, and send (26) and sign (37) are updated. Article 2’s scope provision (§2-102) expressly adopts the “predominant factor” test of “mixed” or “hybrid” transactions that involve both goods and services (§2-106(5)). Numerous sections (§2-201, §2-202, §2-203, §2-205, and §2-209) are modernized by to account for electronic signatures and digital documents.

Book excerpt: Bringing together leading commercial and contract law scholars from the United Kingdom and United States, Comparative Contract Law: British and American Perspectives offers an insightful and comprehensive assessment of the commonalities and divergences in the contract law of these two jurisdictions. Approaching the subject area from a variety of perspectives - doctrinal analysis, behavioral analysis, law and economics, and theoretical - the book examines familiar areas of contract law as practiced in the UK and US. Topics include contract theory and structure; contract formation and defects of consent; policing contracts and the duty of good faith; contract interpretation; damages; speciality contracts; and legal reform. The volume provides a thorough assessment of the current state of commercial contract law in the UK and US, and addresses the strengths and weaknesses of the national and European approaches to many issues of contract law. In particular it focuses on how commercial contract law should be improved, and whether harmonization of the different contract law regimes is a suitable, and appropriate, solution.
