The article recommends policies to the government and SOEs to enhance performance and foster the achievement of the reform, including the enhancement of the roles of the state in SOEs, the transparency procedure of the reform, the improvement of the government's control and inspection in the equitization and divestment of SOEs, the selection of appropriate methods for equitization and divestment, the exact assessment of SOEs' value, and the consideration of the particular characteristics of different sectors.

This paper examines existing challenges in the process of reforming the SOE sector in Viet Nam. The outcome of analysis indicates that SOE reform has made progress that has resulted in a significant reduction in the number of SOE, expansion in the production capacity, improvement of expertise and management ability, and enhancement of competitiveness. On the other hand, the reforming of SOEs has been confronted with a range of issues that require an overarching revised regulatory framework and legal enforcement to accelerate the speed of the privatization process combined with improving the accountability and transparency in evaluating SOE performance as well as applying formal and consistent measurement system to facilitate their reforming.

Recent studies by the World Bank and others have shown that despite progress, compliance with legal requirements for transparency remains a challenge across a wide range of public sector governance areas in Vietnam. However, the marginal benefit to increased transparency is very significant. Timely availability of credible economic data, and better communication of policy changes, can help reduce market uncertainty and perceptions of risk. Transparency of SOEs is particularly important given their large presence in Vietnam s economy. In a survey conducted in 2011 for the Vietnam Development Report (2012) entitled Market Economy for a Middle Income Vietnam , improving transparency was cited by respondents as the top reform solution for SOEs in Vietnam together with accelerating equalization. Prime Minister s Decision 929 (2012), which sets out an overall plan to restructure General Corporations and State Economic Groups, sets out several commitments to help improve the transparency of SOEs. The SOE transparency agenda is an important part of the program supported under the Economic Management and Competitiveness Credit (EMCC) budget support operation. It is with this background that this Policy Note was prepared to help promote a dialogue between the Government of Vietnam and Development Partners on ways to enhance disclosure of information by SOEs.

Chronic shortages of key staples had fanned hyperinflation and localised outbreaks of commercial activities contrary to central regulations had become endemic. In the face of these forces, a vigorous reform program known as quot;Doi Moiquot; was embraced by the Communist Party of Vietnam, the holder of exclusive political power. Privatisation and the creation of capital markets in which equity interests in privately owned enterprises could be traded represented key planks of the Doi Moi reform platform. This paper provides evidence on the impact of privatisation and listing of former state owned enterprises (SOEs) in Vietnam, by examining changes in the profitability and cost management practices of a sample of listed former SOEs. This evidence contributes to the literature by examining profit makeup at a component level, rather than on the aggregate basis which has been adopted in prior studies. This allows the development of richer insights than have previously been possible into the factors contributing to observed changes in post privatisation profitability.

The study is based on a sample of SOEs that had been privatized SOEs during the period from 2000 to 2012. This study investigates the changes by comparing the financial performance of firms one year before privatizing with the years after privatizing. Using a financially focused methodology and collecting data from audited financial statements, our analysis found that privatization did not guarantee improvement in financial performance in firms. Specifically, after privatizing firms exhibit universal increase in ROA and ROE caused by saving of selling and administrative expenses and an increase in net sales by lengthening credit terms. The analysis also indicated that former SOEs have lower debt and leverage, lower asset usage efficiency caused mainly by inefficient management of current assets. And another finding relates to the potential risk of paying short-term liabilities. Our lesson for the Vietnamese government and other governments is that privatization program should be continued. However, in addition to other changes, the government should focus on more sophisticated decision making and management skills of former SOE in privatization process.
