Aufgrund Basel II und der aktuellen Finanzkrise müssen sich immer mehr mittelständische Unternehmen nach Finanzierungsalternativen zum klassischen Bankdarlehen umsehen. Bei Basel II richtet sich die Kreditvergabepolitik u. a. nach der Eigenkapitalquote. Im internationalen Vergleich weisen kleine und mittlere Unternehmen (KMU) eine sehr geringe Eigenkapitalquote von 7,5 % auf. Um die Eigenkapitalquote zu erhöhen und damit auch die Bonität bzw. das Rating zu verbessern, eignet sich die Mezzanine-Finanzierungsform. Hierbei handelt es sich um eine Mischform, zwischen klassischem Fremdkapital und Eigenkapital, als Mittel zur Erhöhung der Eigenkapitalquote. Um eine langfristige Präsenz des Mittelstands auf dem internationalen Markt zu gewährleisten, sind Investitionen in Zukunftstechnologien unerlässlich. Daher gewinnt die Aufnahme von Mezzanine-Kapital bei dem zunehmenden internationalen Wettbewerbsdruck an Bedeutung. Das Mezzanine-Kapital eignet sich vorzugsweise für Wachstumsfinanzierungen. Interessant ist, dass diese Finanzierungsform, trotz des eigenkapitalähnlichen Charakters, steuerlich wie Fremdkapital behandelt werden kann. Hierbei ist zu berücksichtigen, dass zwischen Standard-Mezzanine und Individual-Mezzanine unterschieden wird.
