Book excerpt: Even though The Treaty on EU sets high standards for sustainable development, the Directive as it is today lacks the reference to this topic. Practical implications of this shortcoming are seen in praxis. In the current case of KPN, the Dutch telecommunications provider, who is fighting a bid by América Móvil, the Latin American mobile group, it can be seen that the offer memorandum does not contain any provisions on corporate social responsibility. The Directive's requirement, that the offer memorandum must include information necessary to enable the shareholders of the target company to reach a properly informed decision on the bid, does apparently not suffice in getting all relevant information out including information on the planet and people aspects of a certain business. These aspects are important for providing a full picture of the risks and opportunities of a business enterprise. The preparation of an offer memorandum entails a due diligence investigation into the target company's business risks and opportunities, including the risks in the worldwide operations and supply chains in relation to CSR issues and to be better prepared for the future. Offer memorandum typically only contains the information explicitly required by law, the drafters often follow a 'compliance approach'. The paper suggests that a change in the text of the Directive would be welcomed: a clear reference to CSR should be embedded in the Directive's articles.

Legislation mandating HRDD is now found in several European countries and across various national regulatory agendas. Many scholars, practitioners, and activists are actively calling for further legalisation, believing that this will broaden respect for human rights. Yet to date, there has been little sustained scholarly analysis from a labour rights perspective. Observing that HRDD, as originally articulated in the UN Guiding Principles on Business and Human Rights, is open to multiple interpretations, this book examines global debates on the role and status of the concept. It also considers the implications of HRDD's ascension for transnational labour law as a distinct field of law, scholarship, and activism. Combining insights from transnational governance and business regulation with empirical analysis, this book argues that HRDD is not being institutionalised at either the global or national level in a way that renders it a transformative or even robust mechanism of transnational labour law. It also draws attention to the important, but largely overlooked, ways in which the rise of HRDD is leading to subtle shifts in the configuration of actors and institutions in labour governance.

Despite this, the determination of its exact content has remained an enigma. International Law and the Principle of Non-Intervention: History, Theory, and Interactions with Other Principles solves this enigma by exploring what constitutes an 'intervention' in international law and when interventions are unlawful. These questions are approached from three different perspectives, which are reflected in the book's structure: historical, theoretical, and systematic. Through a comprehensive survey of primary documents and of over 200 cases of intervention from the mid-18th century to the present day, as well as an extensive literature search, this work provides an in-depth analysis of the principle of non-intervention which links it to fundamental notions of international law, including sovereignty, use of force, self-determination, and human rights protection.
