Book excerpt: This book examines the inter-firm networks created by interlock coordination through shared directors (inter-board) and managers (inter-department) at various levels: whole aggregate, core vs. peripheral companies, and distribution by country and sector. Presenting an empirical case study on all the limited liability or stock companies of the aerospace industry in the European Union and its interlock partners worldwide, the authors shed new light on these forms of coordination. Moreover, they reveal the relevance of shared managers’ coordination and hybrid manager-director interlocks. The book applies advanced statistical and social network analysis alike by combining firms’ attributes (e.g. standard economic-financial parameters) and topological indices for firms (e.g. centrality and cluster measures). By conducting the analysis at both the aggregate network level and the cluster or corporate group level, the authors show how extensive and intensive the interlock forms of coordination are, especially when dealing with shared managers. By testing seven hypotheses concerning the research stream on board interlocks and (more broadly) inter-firm networks, the study offers new insights into the role of the financial sector, on the relations between interlock coordination and firms’ performance, on the role of geographical, technological and organizational proximity, and on the relations between interlock coordination and firms’ size. As such, this book will appeal to scholars of organization studies, business and management studies, industrial and evolutionary economics, and economic sociology, as well as officers and policymakers at anti-trust regulation institutions.

The latter includes not only residual income rights of franchised outlets but also residual income rights of franchisor-owned outlets. Previous studies primarily examines the incentive, signalling and screening effects of fees, royalties and other contractual pro- sions from the point of view of organizational economics (see Dnes 1996 for a review) without taking into account the interactions between residual decision and residual income rights as interrelated parts of the governance structure. This paper fills this gap in the literature. According to the property rights view, de- sion rights should be allocated according to the distribution of intangible kno- edge assets between the franchisor and franchisee and ownership rights should be assigned according to the residual decision rights. Since ownership rights are diluted in franchising networks, the dilution of residual income rights of fr- chised outlets is compensated by residual income rights of company-owned o- lets. Under a dual ownership structure, company-owned outlets compensate the disincentive effect of low royalties for the franchisor, and low royalties strengthen the investment incentives for the franchisee.

METHODOLOGY: The article is descriptive in character; thus it is based on a literature review and its constructive critics. A narrative literature review was used to present the main assumptions and features of the network approach in strategic management, along with an indication of emerging trends and new directions. Also the identification of theoretical foundations for understanding the processes of strategic change in inter-organizational networks and the proposition of the way to understand network strategy were presented. FINDINGS: The research included in this issue shows that from a network perspective, business strategy plays an important role in guiding the development of individual relationships and networks. Exploring the network approach in strategic management allows one to adopt the category of network strategy, which can be described through the coexistence of cooperation and competition. IMPLICATIONS FOR THEORY AND PRACTICE: Considerations lead to the conclusion that the business strategy must be expressed in terms of potential changes in the network in which the company operates, taking into account its current and selected position in the network. Despite the fact that the current state of research on organizational networks in the theory of strategic management shows that this approach is already quite well established, on the basis of the analysis of research results concerning the conceptualization of strategic aspects of the network, the existing problems and limitations were identified. ORIGINALITY AND VALUE: The main problems related to the exploration of the network approach and the resulting consequences for the definition of the network strategy were indicated. Also, the combination of an organizational and economic approach with the logic of competitive advantage and relational annuity.
