Book excerpt: L’objet de cette thèse est de tester les hypothèses de la théorie de l’agence selon lesquelles l’attribution des stock-options aux dirigeants permet d’aligner leurs intérêts sur ceux des actionnaires et d’améliorer ainsi la performance boursière et comptable des entreprises qu’ils gèrent. Après avoir présenter le cadre théorique (théories de la firme et de l’agence) et pratique (gouvernance d’entreprise) de notre problématique, nous avons, ensuite, procédé à la synthèse et à la présentation des nouvelles approches sur les stock-options. Les hypothèses de ces approches émanent de l’observation ces dernières années de certains effets négatifs des stock-options. En effet, le krach boursier de 2000 a révélé de nombreuses affaires de manipulations comptables de la part des dirigeants de grandes entreprises. Ces derniers ont bénéficié, en même temps, des rémunérations très élevées sans rapport avec la performance de leurs entreprises. Afin de tester ces nouvelles hypothèses, nous avons mené deux tests empiriques sur les effets de l’attribution des stock-options aux dirigeants du CAC 40 sur la performance. Nos résultats montrent que ces attributions ne répondent pas parfaitement aux hypothèses de la théorie de l’agence. Elles peuvent être motivées par un pouvoir managérial au sein des conseils d’administration.

The study provides detailed information on the voting control of companies listed on the official markets in Austria, Belgium, France, Germany, Italy, the Netherlands, Spain, Sweden, the United Kingdom, and, as a benchmark comparison, the United States. The authors record a high concentration of control of corporations in many European countries with single blockholders frequently controlling more than fifty per cent of corporate votes. In contrast, a majority of UK listed companies have no blockholder owning more than ten per cent of shares, and a majority of US listed companies have no blockholder with more than six per cent of shares. Those chapters devoted to individual countries illustrate how blockholders can use legal devices to leverage their voting power over their cash-flow rights, or how incumbents prevent outsiders from gaining voting control. It is shown that the cultural and linguistic diversity of Europe is (almost) matched by its variety of corporate control arrangements.
