Book excerpt: Il Trattato si propone di approfondire i diversi ambiti del diritto civile classico, del diritto commerciale, dell’economia e del lavoro con un’attenzione rinnovata alla costruzione del sistema che consideri il diritto privato europeo come un imprescindibile architrave e riservi uno spazio trasversale alla rivoluzione digitale e ai suoi diversi “impatti” sull’ordinamento, in generale, e sul diritto privato, in particolare: molteplici saranno, quindi, le scelte di fondo innovative tra cui segnaliamo ancora quella di dare modernamente spazio nella disamina dei singoli istituti al profilo dei rimedi o ancora di collocare i contratti d’impresa all’interno dell’illustrazione del quadro normativo del relativo mercato, cogliendo il momento negoziale nell’ambito dell’attività d’impresa cui esso dà corpo. L’opportuno approfondimento, ove necessario, si è indirizzato alla globalizzazione e ai suoi riflessi sulla disciplina privatistica. L’analisi dei singoli istituti muove, infatti, dalla disciplina generale e, in primo luogo, dal codice civile, assunto come perno del sistema; ma, in pari tempo, ci si propone di allargare lo sguardo alla disciplina di settore e ai sottosistemi, con un duplice obiettivo. In primo luogo, si è reso necessario verificare se e in quale misura alcune rationes e soluzioni speciali, oppure proprie dei sottosistemi, si prestino ad essere generalizzate o, per lo meno, offrano indicazioni sia per rileggere alcune consolidate interpretazioni della parte generale sia per ridefinire categorie concettuali sperimentate o per elaborarne di nuove. In secondo luogo, si è perseguito l’obiettivo dell’istituzione di una certa misura di coerenza interna alle discipline speciali e ai sottosistemi al fine di offrire al lettore un ordine ricomposto, nel quale assumano un significato più profondo e arioso anche le normative secondarie, come quelle delle autorità amministrative indipendenti. Lo sforzo si è tanto più accentuato negli ambiti toccati dal processo europeo di armonizzazione e di uniformazione dei diritti nazionali giacché è tempo di offrire una visuale in cui il diritto privato europeo non si giustapponga a quello di origine nostrana, come per incrementi successivi, ma vi si amalgami. Fondamentale si è rivelata l’elaborazione di una tassonomia e di un quadro categoriale di respiro europeo, grazie al quale sottoporre a una nuova sistemazione l’intero patrimonio normativo italiano, senza attendere che un’operazione siffatta venga compiuta malamente dal legislatore, come avvenuto in Germania e in Francia. A tal fine, nonostante il taglio sostanzialmente compatto delle singole trattazioni, l’opera si prefigge di ricostruire in maniera puntuale il dibattito teorico sui singoli istituti, con un approccio non meramente descrittivo ma critico; nonché di evidenziare gli orientamenti giurisprudenziali consolidati più significativi tanto della Corte di cassazione quanto della Corte di giustizia, anche in questo caso privilegiando non la mera informazione ma l’analisi critica, in modo da offrire al lettore non già l’ennesima illustrazione pedissequa degli sviluppi del diritto applicato, ma una verifica della tenuta tecnica e sistematica delle principali soluzioni offerte dalla giurisprudenza. Lo sfondo giusfilosofico dell’opera è quello di un positivismo consapevole della sempre maggiore complessità dell’ordinamento nazionale e della sua strutturale interazione con gli ordinamenti sovranazionali, ma soprattutto conscio del ruolo imprescindibile delle disposizioni normative di vertice, sia costituzionali sia europee sia ancora internazionali, e dei giudizi di valore che esse istituiscono. Della maggiore discrezionalità in sede interpretativa che tali assetti determinano si è tenuto conto, nella consapevolezza che il compito istituzionale della dottrina consiste, per un verso, nel contenere questa discrezionalità, mettendo a disposizione dell’interprete un quadro categoriale e un reticolo di nessi sistematici in grado di orientarne le soluzioni applicative e di renderle tanto prevedibili quanto confutabili; e, per altro verso, nel vigilare costantemente sulla coerenza complessiva delle norme, avendo sempre di mira la ricomposizione del sistema. I destinatari dell’opera vanno identificati negli accademici, ai quali si propongono letture che mirano ad alimentare il dibattito scientifico, e nei protagonisti del mondo delle professioni, ai quali viene offerto un quadro ragionato, tecnicamente provveduto e critico del sistema del diritto privato, che anteporrà il tipo di problema e le possibili soluzioni alla rassegnata episodicità della ricerca dell’ultimo orientamento giurisprudenziale. L’estensione ragionevolmente contenuta dell’opera e il metodo dogmatico modernamente coniugato con l’apertura ai valori e l’attenzione alle prassi e alla giurisprudenza candidano il Trattato a divenire uno strumento di formazione superiore per i giovani giuristi che affrontano la preparazione in vista dei principali concorsi e dell’abilitazione forense.
