Da tempo l’osservanza dei valori intrinseci propri della RSI non rappresenta per le aziende una scelta volontaria, ma un approccio da adottare per poter competere sul mercato. È cresciuta, ormai, la consapevolezza da parte degli organi di governo della grande influenza che i temi “sociali” rivestono e dell’impatto che essi esercitano sui comportamenti degli stakeholder, come testimoniato, peraltro, dalla diffusione di strumenti di social accountability volti a rendere pubblici gli sforzi e le strategie social responsible attuate. È opinione diffusa, infatti, che il dibattito sulla RSI non vada separato da quello concernente la gestione e il governo delle imprese, in quanto, spesso, l’irresponsabilità delle imprese fa capo alle strutture e ai processi di corporate governance. L’analisi, pertanto, ha riguardato in modo specifico, le implicazioni e i riflessi che la RSI ha sulla governance e sui processi di rendicontazione. Ai fini dell’indagine è stato utilizzato l’approccio metodologico tipico dell’economia aziendale. In tal senso, la revisione della letteratura nazionale e internazionale viene arricchita dalla costruzione e visualizzazione di reti bibliometriche.

In questo quadro, i temi della responsabilità, dell’agire sostenibile, degli Obiettivi di Sviluppo Sostenibile, del purpose e dell’impatto hanno sempre più acquisito un crescente peso ed un ruolo di primissimo piano all’interno del dibattito accademico, imprenditoriale, regolatorio e politico. Anche alla luce di ciò, nuovi meccanismi comunicativi, più olistici e integrati, appaiono necessari a rendicontare gli impatti complessivi e le esternalità generate dal business, con l’obiettivo di offrire informazioni più complete, “materiali”, arricchite da dati di natura previsionale, ed efficaci. A livello europeo, la Direttiva 2014/95/UE sulla comunicazione delle Non-Financial and Diversity Information e le innovazioni previste dalla Corporate Sustainability Reporting Directive (CSRD) stanno contribuendo ad istituzionalizzare, su base normativa, un approccio integrato alla pianificazione, gestione e rendicontazione dei temi legati alla sostenibilità. In questo quadro, l’emergere di nuovi attori istituzionali nell’ambito della definizione dei criteri di rendicontazione ESG (la Commissione europea in collaborazione con l’EFRAG e la IFRS Foundation) ha ulteriormente animato il dibattito, rilanciando il c.d. Sustainability Reporting Momentum. All’interno di questo quadro di riferimento, obiettivo del presente lavoro, dopo un approfondimento sulle radici storiche della CSR con particolare riferimento al contributo di alcuni dei Maestri dell’Economia Aziendale italiani, è quello di offrire un’analisi dei processi normativi in atto volti ad armonizzare e regolamentare le pratiche di rendicontazione degli aspetti ESG, esaminando al contempo l’evoluzione delle pratiche di disclosure delle aziende e il punto di vista dei principali attori aziendali.
