L’auteur examine les principes de l’audit financier interne et externe, la nécessité de la coopération entre l’auditeur et le personnel, l’étude et l’évaluation du dispositif de contrôle interne, avant d’expliquer quand, pourquoi, et comment le réviseur effectue les différentes phases de l’audit. Il suggère l’adoption de procédures d’audit efficaces, telles la révision des assurances, la circularisation des comptes de tiers, l’observation de l’inventaire, le « cutoff statement ». L’ouvrage souligne l’apport procuré par l’auditeur au management par ses diverses recommandations, visant à améliorer les procédures et les systèmes en vigueur, pour renforcer le contrôle interne et intensifier la productivité. La deuxième partie du livre est consacrée aux formes évoluées de l’audit : audit opérationnel (appréciation critique de l’efficacité des fonctions d’exploitation), audit social et audit des ressources humaines.

The study provides detailed information on the voting control of companies listed on the official markets in Austria, Belgium, France, Germany, Italy, the Netherlands, Spain, Sweden, the United Kingdom, and, as a benchmark comparison, the United States. The authors record a high concentration of control of corporations in many European countries with single blockholders frequently controlling more than fifty per cent of corporate votes. In contrast, a majority of UK listed companies have no blockholder owning more than ten per cent of shares, and a majority of US listed companies have no blockholder with more than six per cent of shares. Those chapters devoted to individual countries illustrate how blockholders can use legal devices to leverage their voting power over their cash-flow rights, or how incumbents prevent outsiders from gaining voting control. It is shown that the cultural and linguistic diversity of Europe is (almost) matched by its variety of corporate control arrangements.

This article investigates the determinants of boards' financial expertise using a sample of 95 non-financial French listed firms. We construct a measure of financial expertise based on educational and career background data for 943 individuals occupying 1,140 posts in our sample and explore the determinants of average per-firm financial expertise using a Tobit analysis. We find that average financial expertise is negatively associated with board type (two-tier versus one-tier) and growth opportunities and positively associated with board independence, ownership concentration, and institutional ownership. These findings are robust to sensitivity analyses.
