Cette définition fonctionnelle permet d'appréhender tous les ensembles contractuels, à partir de trois modèles types : contrat-cadre et contrats d'application ; contrat et sous-contrat ; contrat d'origine et convention extinctive - transaction en particulier. L'étude concerne principalement la portée de la clause compromissoire au sein du groupe de contrats ; mais étant réalisée du point de vue de l'arbitre, à partir de sentences arbitrales publiées et inédites, elle comprend également le traitement du litige sur le fond. Elle montre que les arbitres recherchent l'harmonie entre l'étendue de leur compétence et les liens substantiels entre les contrats : sauf stipulation contraire, la clause compromissoire sera étendue aux contrats dépendants sur le fond et ceux-ci seront également affectés, le cas échéant, par la sanction prononcée (nullité, résolution, etc.). De façon symétrique, le contrat lié qui, pour une raison quelconque, est isolé sur le plan procédural, sera interprété dans le sens de son autonomie sur le fond. Cette harmonie des régimes procédural et substantiel du groupe de contrats constitue le droit commun des contrats liés devant l'arbitre du commerce international. L'étude des influences croisées entre l'étendue de la compétence et les liens substantiels entre les contrats se poursuit dans la seconde partie de l'ouvrage, consacrée aux hypothèses dans lesquelles il existe une contrariété entre le régime procédural du groupe de contrats et son régime substantiel, notamment lorsque les parties ont inséré des clauses d'arbitrage différentes dans un ensemble contractuel unifié sur le fond. L'arbitre pourra-t-il respecter et mettre en œuvre les liens de dépendance substantielle entre les contrats s'il n'est compétent que sur certains d'entre eux ?

Cette définition fonctionnelle du contrat lié ne préjuge pas de son régime juridique, qui sera tantôt unifié, tantôt séparé, selon la nature des liens qu'il entretient avec le contrat de base, c'est-à-dire selon la structure de l'ensemble contractuel dont il constitue un élément. Globalement, dès lors que les contrats liés unissent deux à deux des parties différentes, l'ensemble qu'ils composent est de type séparé, et ce, en vertu de l'effet relatif de la clause compromissoire investissant l'arbitre de ses pouvoirs. La solution de principe en matière de contrats liés devant l'arbitre est celle de l'harmonie des régimes procédural et substantiel du groupe de contrats : l'ensemble contractuel unifié l'est aussi bien sur la compétence (régime procédural) que sur le droit applicable et le fond du litige (régime substantiel) et, symétriquement, l'ensemble séparé l'est aussi bien sur la compétence que sur le droit applicable et le fond du litige. Ainsi, selon que l'ensemble contractuel est de type unifié ou de type séparé, la clause compromissoire, le droit et la sanction de fond qui s'appliquent au contrat de base, s'étendent ou ne s'étendent pas aux contrats liés.Le principe de l'harmonie des régimes procédural et substantiel de l'ensemble contractuel revêtant un caractère supplétif, les contractants peuvent librement y déroger. En stipulant contre l'harmonie, les parties créent un groupe de contrats pathologique, en ce qu'il ne répond pas au même régime sur le fond du litige et sur le plan procédural : unifiés sur le fond, les contrats liés sont séparés sur la procédure, ou inversement. Cette rupture volontaire de l'harmonie des régimes s'analyse en une contradiction entre deux stipulations - le régime procédural et le régime substantiel - insérées dans une même convention - le groupe de contrats pris comme un tout. L'arbitre réduit cette contradiction en considération de l'objet du litige, des limites de son investiture ainsi que des éléments qu'il est en droit de puiser dans les conventions qui ne relèvent pas de sa compétence. Ainsi, conformément au principe d'interprétation utile des conventions, il met en oeuvre simultanément les régimes contradictoires en les combinant, toutes les fois où cela est possible. Lorsque leur conciliation est impossible, l'arbitre fait prévaloir l'un des régimes sur l'autre en privant d'efficacité une stipulation expresse des parties. Ce faisant, il restitue au groupe de contrats l'harmonie de ses régimes procédural et substantiel, ce qui lui permet de retrouver les conditions d'un traitement harmonieux des contrats liés.
