Cette ambivalence du groupe est source de difficultés pour les partenaires des filiales et notamment pour ses créanciers. Pour la réalisation de leur objet social, les filiales sont amenées à conclure des contrats de biens ou de services avec différents fournisseurs. Ceux-ci sont les créanciers de telle ou telle filiale. Ils ne sont pas autorisés à demander le paiement de leurs créances à une autre société que celle avec laquelle ils ont contracté. Pourtant, la pratique montre que certains groupes abusent les créanciers, soit en entretenant une confusion sur le fonctionnement de leur structure, soit en malmenant les sociétés contrôlées. En dépit des principes du droit des sociétés, la jurisprudence a jeté les bases d'un statut protecteur des créanciers en faisant appel au droit civil (théorie de l'apparence, responsabilité civile). Elle a été relayée par la loi du 25 janvier 1985 qui bat en brèche la responsabilité limitée de l'associée. Enfin, certains créanciers organisent d'emblée leur protection en exigeant dès la conclusion des contrats la garantie de la société mère. Les intérêts des créanciers des filiales sont également menacés en d'opérations internes au groupe. Les sociétés d'un même groupe concluent souvent entre elles des conventions d'ordre financier ou commercial. Elles deviennent ainsi débitrices et créancières les unes des autres. En raison de sa prépondérance, la société mère peut dicter sa volonté à ses filiales et immoler certaines d'entre elles en leur imposant des conventions injustes. Ainsi, en cas de surévaluation ou de sous évaluation du prix de la transaction, le fisc peut souffrir d'un manque à gagner. Mais surtout, le patrimoine de la filiale est le gage commun des créanciers sociaux et s'il est entamé, ceux-ci subiront nécessairement un préjudice à retardement.

Toutefois, la notion d'autonomie pose un écran juridique très résistant qui protège la mère de toute action menée à son encontre du fait de ses filiales. Par principe, la responsabilité de la société-mère pour les faits de sa fille ne peut donc être recherchée.Par ailleurs, les groupes de sociétés présentent généralement la particularité d'être marqués par le sceau de l'extranéité, en raison de leurs activités qui se déploient bien souvent au-delà des seules frontières nationales, ce visage transnational de l'activité des sociétés rend plus difficile la responsabilisation de la société mère pour les actes commis par ses filiales, il faut, effectivement, dire que le droit international public, n'est pas en mesure de développer un système de responsabilité globale pour des cas de dommages trans-frontières.
