La doctrine souligne que la sous-traitance est considérée comme le mode le plus répandu de la substitution des contrats.Les entreprises se trouvent dans l'impossibilité d'exécuter l'opération contractuelle complexe à l'aide d'un seul contrat. Dès lors, elles ont recours à la sous-traitance. Si elles concluent ces contrats, ce n'est qu'en vue de réaliser l'opération globale en faveur du maître de l'ouvrage. Le contrat de sous-traitance n'a été créé que pour servir le contrat principal ; les sous-contrats concourent à la réalisation du même objectif du contrat principal et portent au moins partiellement sur les mêmes obligations.Par conséquent, on se trouve devant des contrats complexes. Des contrats qui sont juridiquement indépendants mais économiquement liés. Néanmoins, devant la sophistication croissante de ces figures contractuelles, les règles applicables aux contrats internationaux restent invariables. Le Règlement Rome I en Europe et surtout le droit international privé en Égypte ne tiennent pas compte de la complexité des droits du contrat. Les liens qui existent entre le contrat de sous-traitance et le contrat principal, n'ont aucun impact sur les règles de conflit.Le juge qualifie le contrat de sous-traitance comme un contrat d'entreprise et l'insère, indépendamment de son contrat principal, dans la catégorie de prestation de services selon le Règlement Rome I ou la catégorie d'obligations contractuelles selon le droit international privé égyptien. Cette qualification mène à l'application des règles distinctes sur le contrat principal et le contrat de sous-traitance. Chacun serait régi par sa propre loi et ses propres clauses contractuelles. Ce démembrement entre les règles applicables aux deux contrats liés risque d'aboutir à des contradictions et des injustices manifestes au sein de l'opération contractuelle.Comment parvenir à un ensemble cohérent en dépit de l'indépendance juridique des contrats ? Comment peut-on pallier les inconvénients de la vocation de plusieurs lois régissant l'opération contractuelle de sous-traitance ? C'est ce qu'on s'efforce à découvrir dans cette thèse.

Ces derniers, nous serviront en quelque sorte d’étalon. Il s’agit, en suite, de se consacrer à l’étude de la loi applicable au contrat électronique international. Cela se détermine suivant deux procédés : le premier, est celui du moyen à travers lequel nous allons aboutir à cette loi ; le deuxième, concerne les limites de cette loi. En premier lieu, nous avons analysé les éléments du contrat sur lesquels s’applique cette loi ; et en deuxième lieu, il est question d’écarter les cas où la loi n’a pas lieu de s’appliquer, il s’agirait par exemple, comme nous avons vu au cours de notre recherche, du cas où ce contrat rentre dans la catégorie des contrats de consommation.

Instead, criminalization of illicit enrichment continues to generate extensive debate and controversy. Against this background, this volume aims to provide an analysis of how illicit enrichment works, and attempts to shed light on any contributions that it has made to the fight against corruption and the recovery of stolen assets. Rather than delving into the theoretical and academic debates around illicit enrichment, this study focuses primarily on the analysis of current practice, case law, and existing literature to offer a new perspective to the on-going discussions. More specifically, the volume addresses the legal framework upon which the concept of illicit enrichment rests, and the resulting policy implications of that legal framework. It also focuses on illicit enrichment as an anti-corruption mechanism, from its roots as a response to the problems inherent to prosecutions involving corruption, to an examination of elements and inchoate offenses relating to illicit enrichment under international conventions. It examines illicit enrichment jurisprudence in the global context. An extensive survey was carried out to determine the countries where the offense exists, what form it takes, how often it is used, and for countries where it doesn't, what other measures are used in its place. The authors neither recommend nor oppose the adoption of illicit enrichment provisions, but rather aim to assist jurisdictions considering such steps by highlighting key questions that might arise during implementation, including how the offense is defined and enforced domestically by States. Similarly, the authors do not endorse nor criticize any practice carried out by States in the implementation of the criminalization of illicit enrichment. Ultimately, it is also hoped that this study provides a basis for further discussion amongst policy makers and practitioners, and fuels upcoming discussions by the Conference of State parties of the UNCAC and its Working Groups

The authors of the essays are a group of distinguished legal scholars from many countries and who hold widely diverse views. All of them had many ties with Professor Friedmann, including those of friendship and shared interest in problems that were of the greatest concern to him. The number of eminent jurists from countries around the world, and particularly from the United States, who would have wished to participate in this tribute to Wolfgang Friedmann is large; however, several important considerations made it necessary to limit the number of contributions.
