Book excerpt: We find that common equity firms pay lower D&O insurance premiums than income trusts, an alternative and riskier ownership form. This result has wide-ranging implications for investors insofar as the information provided by D&O insurers provides investors with an unbiased signal of the firm's governance risk. The signal is unbiased because it comes from an entity (i.e. the insurer) that has a direct financial incentive to correctly assess an organization's governance risk, in contrast to other ad hoc governance measures and indices.

Book excerpt: This sixth peer review of the OECD Principles of Corporate Governance analyses the corporate governance framework and practices relating to corporate risk management, in the private sector and in state-owned enterprises. The review covers 26 jurisdictions and is based on a general survey of all participating jurisdictions in December 2012, as well as an in-depth review of corporate risk management in Norway, Singapore and Switzerland. The report finds that while risk-taking is a fundamental driving force in business and entrepreneurship, the cost of risk management failures is often underestimated, both externally and internally, including the cost in terms of management time needed to rectify the situation. The reports thus concludes that corporate governance should ensure that risks are understood, managed, and, when appropriate, communicated.

Book excerpt: This study extends the current state of research on corporate governance and firm value determinants by introducing culture as a proxy for risk aversion. We focus on individuals' risk aversion and connect it to Hofstede's cultural dimensions of uncertainty avoidance. In a cross-country empirical analysis with 47 countries, we find that uncertainty avoidance is negatively associated with valuation of firms. Our findings suggest that cross-country variation in risk aversion as well as in corporate governance impact firm valuation. The results are robust to controlling for other determinants of firm value and using different datasets.

Book excerpt: Boards of directors are a central feature of any corporate governance regime. The role of directors and how they affect firm value and policies is examined in depth in academic literature. However, it is easy to get both lost and overwhelmed when searching through the literature review that investigates several characteristics, often one at the time. This book provides a careful and concise look at corporate finance literature, specifically with regard to the board of directors, summarizing the main findings and reconciling them. This book documents the pros and cons associated with the various attributes of the board and the directors as found in the current literature and provides sections geared specifically to practitioners in this space, as well, allowing for a better and more comprehensive description of this important corporate governance mechanism. The resulting book aims to facilitate the interpretation of changes in corporate governance through the lens of the recent academic literature.

The papers which have been selected present what the editor believes to be some of the best and most representative studies of the subjects covered. As a result the volume offers a rounded view of the contemporary state of the some of the dominant issues in corporate governance.

Book excerpt: Governance designates all regulations intended for organisation and centralisation of human societies on a global scale. The management of corporations organises the efforts of individuals in order to achieve aims and objectives using available resources inventively and efficiently. Risk management is a practice of steadily choosing cost-effective tactics for diminishing the consequence of threat realisation to the corporation which cannot be evaded for the reason that there are financial and practical limits, which means the acceptance of some degree of residual risks. Cyberspace strengthens national and global governance. E-business involves the total digitisation of value chains and business processes, and serving traditional organisations creates new value and reach up to that time unattained heights of operational and financial excellence. E-technology and e-commerce produce new challenges for both risk management and corporate governance which could be solved by effective utilisation of a continuous development of the means of risk management such as information technology, logistics, networks and a constantly improved ERM in order to comply with the new developments. A highly educated personnel controlled by an effective human resources management is a prime means for accomplishment of effective risk management and corporate governance in a 21st century digital economy.
