Book excerpt: How can you be sure you are buying the company you think you are? Are you sure it is as good as the seller says? How can you be certain unexpected costs and obligations will not suddenly appear once you are the owner and responsible for them? How best can you arm yourself for the negotiations? Have you worked out precisely what you are going to do with it once it is yours? How do you set the priorities for change to recoup the premium you have paid for it? The answer to all these questions, and many more, lies with effective due diligence. Due diligence is one of the most important but least well understood aspects of the acquisition process. It is not, as many believe, a chore to be left to the accountants and lawyers. To get the best from it, due diligence has to be properly planned and professionally managed. This book is a comprehensive manual on getting due diligence right. It is a uniquely comprehensive guide, covering all aspects of the process from financial, legal and commercial due diligence right through to environmental and intellectual property due diligence. There are also useful chapters on working with advisers and managing due diligence projects. It also includes a number of checklists to help ensure that the right questions are asked.

Available in PDF, EPUB and Kindle. Book excerpt: In 1999, MCI WorldComm and Sprint agreed to merge. Valued at $129 billion, this expected transaction was the largest in history. However, it fell victim to regulators in Europe concerned with the potential monopoly power of the merged firm. This M&A action was merely the latest in a growing trend of "blockbuster" mergers over the past several years. Once a phenomenon seen primarily in the United States, mergers and acquisitions are increasingly being pursued across national boundaries. In short, acquisition strategies are among the most important corporate-level strategies in the new millennium. The need for clear, complete, and up-to-date guide to successful mergers and acquisitions had never been greater. This book more than fills that need. Looking at successful--and unsuccessful--mergers and acquisitions in a number of different industries, Mergers and Acquisitions: A Guide to Creating Value explains how to conduct an acquisition and how to avoid pitfalls that have doomed many such ventures. The authors take the reader step-by-step through the process, starting with the elements of a successful merger, due diligence to ensure that the target firm is sound and fits well with the acquiring firm, and how mergers and acquisitions are financed. They move on to explore how firms find partners/targets for acquisitions that have complementary resources and how to find partners with which integration and synergy can be achieved. Finally, they discuss the potential hazards found in M&A's and how to avoid them, how to conduct successful cross-border acquisitions, and how to ensure that ethical principles aren't breached during the process. Based on 15 years of research, this essential guide goes beyond specific case studies to cover all aspects of these ventures, making it required reading for all managers seeking to build a successful strategy.

Book excerpt: More and more multinational companies are deploying key employees around the globe to serve the increasing international business needs of the multinational, its global markets, and its customers. The ability to relocate employees quickly from one location to another, and the ability of those employees to quickly focus on the business objectives of the company once they are relocated, can often determine the success of a new regional operation or an entire global strategy. It is crucial for employers to avoid unexpected barriers or difficulties in the form of employment-related issues. This enormously valuable handbook is the ideal solution to such problems, both in the anticipation and in the event. With 32 chapters each written by local experts, it provides a practical, country-by-country guide to employee relocation issues among the world?s most active or fast-developing economies. Each chapter offers a handy reference to relevant issues under each particular country?s laws regarding employment status, compensation and benefits, related tax issues, and more. With its reliable guidance, both employers and employees can proceed confidently with their cross-border plans and commitments. The writers of each chapter answer important questions on a wide range of employment issues. Among the many relevant matters covered?in the same order in each chapter, for easy cross-reference?are the following: types of employment visas and related qualification requirements; expenses and time frame for obtaining visas; income taxation of foreign nationals; employer?s tax withholding requirements; filing and reporting requirements; eligibility for employee or retirement benefits; continuation of home country benefits; wealth, capital, estate or death taxes; taxable presence of foreign corporate employers; vicarious liability for acts of employees; privacy laws relating to employees; employment termination provisions under local law; enforceability of non-competition and non-solicitation agreements; and protection of confidential or trade secret information. The Handbook has been meticulously produced under the auspices of member firms of the World Law Group, a leading network of 48 independent law firms located in most of the world?s major commercial centers. A peerless source of information and guidance to employers in expatriate relocation planning, it will greatly help to foresee potential pitfalls and benefit from local advantages, so both employers and expatriate employees will be free to concentrate on the business goals at hand.

Intelligent M&A looks at the full process of a merger or acquisition from start to finish, and identifies areas where business intelligence can improve the odds of a favourable outcome. Using techniques developed by governmental intelligence services and a wide range of case studies, quotations and anecdotes, the expert authors show how to build success into every phase of the deal.

This book was released on 2001-05-02 with total page 136 pages. Available in PDF, EPUB and Kindle. Book excerpt: Inhaltsangabe:Abstract: Near the beginning in Homer s Odyssey, the son of Odysseus, young Telemachus, had been advised by the goddess of wisdom, Athena, to ask old King Nestor about an important issue, relating to the residence of his father. Telemachus hesitated, explaining his doubts by introversion and insecurity. Telemachus behaviour lives on in the contemporary context of Mergers &Acquisitions where still the most inexperienced, unskilled professionals supposed and expected to know everything long before the process starts. Developing rules and principles for preparing and implementing acquisition projects attempts to provide a general idea about one of the most difficult, vast, complicated, and sometimes immeasurable growth strategies in management, M&A. While M&A activity had been an Anglo-American occurrence during the first merger wave, the process of concentration had changed to a global phenomenon. Financially driven acquisitions and corporate raiders had been popular during the 1980s, the 1990s and the present is faced with strategic M&A. The present research focuses especially on points that are problematical to measure. Part one comprises a basic approach to M&A, including corporate strategy in terms of its characteristics and the element of strategic management. Part two of the thesis is concerned with the entire M&A strategy. Therefore, the acquisition process had been divided into three components: 1. Pre-acquisition process. 2. The transaction-phase. 3. Post-merger Integration Management (PIM). The centralisation of this part and also the whole thesis, is the search and screen process for potential target companies, a marketing and cultural due diligence approach, and the post-merger integration management (in particular the integration of different organisational cultures). To be precise, the author considered these aspects as absolutely elemental, unquestionable and critical for M&A success. As a result, point four (Valuation techniques and financing methods) is only explained incredibly superficial. The final part of the present research - Part three - combines all the various aspects that had been evaluated during the study by providing some guiding principles for M&A success. Furthermore, the terms Mergers and Acquisitions are used interchangeably in the text because in many instances it is not clear whether one or the other is occurring. However, for certain purposes, it is necessary to distinguish the [...]
