Book excerpt: This filing, from the Tunney Act proceeding in the Microsoft antitrust case, assesses the legal, policy and economic implications of the DOJ-Microsoft consent decreed - the Proposed Final Judgment . We find that (a) the PFJ fails to address meaningfully the violations of law found by the U.S. District court and upheld by the U.S. Court of Appeals, and its entry by the court is not in the public interest; (b) the Competitive Impact Statement filed with the PFJ fails to meet the standard of analysis demanded by the law and occasioned by the magnitude of the issues involved; and (c) the public interest would best be served through imposition of a "hybrid" structural remedy or, if the court chooses not to impose a structural remedy, a conduct remedy modeled after the proposals of the remaining litigating states.

Available in PDF, EPUB and Kindle. Book excerpt: In 1998, the United States Department of Justice and state antitrust agencies charged that Microsoft was monopolizing the market for personal computer operating systems. More than ten years later, the case is still the defining antitrust litigation of our era. William H. Page and John E. Lopatka’s The Microsoft Case contributes to the debate over the future of antitrust policy by examining the implications of the litigation from the perspective of consumer welfare. The authors trace the development of the case from its conceptual origins through the trial and the key decisions on both liability and remedies. They argue that, at critical points, the legal system failed consumers by overrating government’s ability to influence outcomes in a dynamic market. This ambitious book is essential reading for business, law, and economics scholars as well as anyone else interested in the ways that technology, economics, and antitrust law have interacted in the digital age. “This book will become the gold standard for analysis of the monopolization cases against Microsoft. . . . No serious student of law or economic policy should go without reading it.”—Thomas C. Arthur, Emory University

Book excerpt: The action against Microsoft arose pursuant to a complaint filed by the United States and separate complaints filed by individual States. The District Court determined that Microsoft had maintained a monopoly in the market for Intel compatible PC operating systems in violation of s 2; attempted to gain a monopoly in the market for internet browsers in violation of s 2; and illegally tied two purportedly separate products, Windows and Internet Explorer ("IE"), in violation of s 1. United States v. Microsoft Corp., 87 F. Supp. 2d 30 (D.D.C. 2000) ("Conclusions of Law"). The District Court then found that the same facts that established liability under ss 1 and 2 of the Sherman Act mandated findings of liability under analogous state law antitrust provisions. To remedy the Sherman Act violations, the District Court issued a Final Judgment requiring Microsoft to submit a proposed plan of divestiture, with the company to be split into an operating systems business and an applications business. United States v. Microsoft Corp., 97 F. Supp. 2d 59, 64-65 (D.D.C. 2000) ("Final Judgment"). The District Court's remedial order also contains a number of interim restrictions on Microsoft's conduct.

Available in PDF, EPUB and Kindle. Book excerpt: The Organization of Industry collects essays written over two decades—pieces prepared especially for this volume, previously unpublished material, and reprinted articles drawn from numerous sources, many which include additional commentary by the author. The essays are unified by George J. Stigler's careful analysis and by his clear and witty style. In part one, Stigler examines the nature of competition and monopoly. In part two he discusses the forces that determine the size structure of industry, including barriers to entry, economics of scale, and mergers. Part three contains articles on a wide range of topics, such as profitability, delivered price systems, block booking, the economics of information, and the kinky oligopoly demand curve and rigid price. Part four offers a discussion of antitrust policy and includes Stigler's recommendations for future policy as well as an examination of the effects of past policies. "Stigler's writings might well be subtitled 'The Joys of Doing Economics.' He, more than any other contemporary American economist, dispels the gloom surrounding economic theory. It is impossible to confront the subject treated with such humor and verve and come away still believing that economics is the dismal science."—Shirley B. Johnson, American Scholar

Book excerpt: The true story behind the rise of a tyrannical genius, how he transformed an industry, and why everyone is out to get him.In this fascinating expos , two investigative reporters trace the hugely successful career of Microsoft founder Bill Gates. Part entrepreneur, part enfant terrible, Gates has become the most powerful -- and feared -- player in the computer industry, and arguably the richest man in America. In Hard Drive, investigative reporters Wallace and Erickson follow Gates from his days as an unkempt thirteen-year-old computer hacker to his present-day status as a ruthless billionaire CEO. More than simply a "revenge of the nerds" story though, this is a balanced analysis of a business triumph, and a stunningly driven personality. The authors have spoken to everyone who knows anything about Bill Gates and Microsoft -- from childhood friends to employees and business rivals who reveal the heights, and limits, of his wizardry. From Gates's singular accomplishments to his equally extraordinary brattiness, arrogance, and hostility (the atmosphere is so intense at Microsoft that stressed-out programmers have been known to ease the tension of their eighty-hour workweeks by exploding homemade bombs), this is a uniquely revealing glimpse of the person who has emerged as the undisputed king of a notoriously brutal industry.

Available in PDF, EPUB and Kindle. Book excerpt: A comprehensive account of the decades-long, multiple antitrust actions against Microsoft and an assessment of the effectiveness of antitrust law in the digital age. For more than two decades, the U.S. Department of Justice, various states, the European Commission, and many private litigants pursued antitrust actions against the tech giant Microsoft. In investigating and prosecuting Microsoft, federal and state prosecutors were playing their traditional role of reining in a corporate power intent on eliminating competition. Seen from another perspective, however, the government's prosecution of Microsoft—in which it deployed the century-old Sherman Antitrust Act in the volatile and evolving global business environment of the digital era—was unprecedented. In this book, two experts on competition policy offer a comprehensive account of the multiple antitrust actions against Microsoft—from beginning to end—and an assessment of the effectiveness of antitrust law in the twenty-first century. Gavil and First describe in detail the cases that the Department of Justice and the states initiated in 1998, accusing Microsoft of obstructing browser competition and perpetuating its Windows monopoly. They cover the private litigation that followed, and the European Commission cases decided in 2004 and 2009. They also consider broader issues of competition policy in the age of globalization, addressing the adequacy of today's antitrust laws, their enforcement by multiple parties around the world, and the difficulty of obtaining effective remedies—all lessons learned from the Microsoft cases.
