Book excerpt: La Guida si propone di illustrare le soluzioni giuridiche a disposizione del debitore per superare, con l’ausilio dei propri professionisti, lo stato di crisi in cui si è venuto a trovare. I rimedi adottabili sono differenziati, a seconda della natura del debitore, ovvero in ragione della propria assoggettabilità o meno alle norme della Legge Fallimentare. Nel primo caso, si pone l’alternativa tra il piano attestato di risanamento, l’accordo di ristrutturazione dei debiti ed il concordato preventivo, in cui la variabile fiscale – con peculiare riguardo al trattamento di plusvalenze da cessione dei beni e sopravvenienze attive da riduzione dei debiti – può diventare determinante, a favore del concordato preventivo, sebbene comporti l’assoggettamento del debitore al controllo giudiziale. Tale istituto è stato, inoltre, significativamente innovato – così come il ruolo del professionista attestatore, approfondito anche dalla Circolare Irdcec n. 30/IR – in tempi recenti, prima, dal D.L. n. 83/2012 e, ora, dal D.L. n. 69/2013 (c.d. Decreto “Fare”), con un serie di misure senza precedenti: ad esempio, la previsione della domanda “in bianco”, di una disciplina specifica per il concordato in continuità aziendale, la sospensione o lo scioglimento dei contratti pendenti, l’assunzione di finanziamenti prededucibili, il pagamento anticipato dei creditori anteriori e la sospensione degli obblighi civilistici di ricapitalizzazione. Il legislatore ha, inoltre, offerto – con la Legge n. 3/2012, successivamente novellata dal D.L. n. 179/2012 – alcuni strumenti per la soluzione della crisi del soggetto non fallibile, quali l’accordo di composizione della crisi da sovraindebitamento e la liquidazione del patrimonio del debitore, all’interno dei quali assume un ruolo rilevante il professionista, nella veste di organismo di composizione o di liquidatore. La Guida, oltre ad esaminare l’impatto contabile della soluzione della crisi, affronta altresì alcune specifiche tematiche di carattere tributario, come la formulazione della proposta di transazione fiscale e l’utilizzo dell’istituto della compensazione nelle procedure concorsuali, nonché la gestione fiscale a cui sono tenuti i creditori, con l’analisi della novellata disciplina delle perdite su crediti e dei presupposti del conseguente diritto all’emissione della nota di variazione Iva. That is: neoliberal law and its interrelations with neoliberal politics and economics has remained almost entirely neglected as a subject of research and debate. This book provides a systematic attempt to develop a holistic and coherent understanding of the relationship between law and neoliberalism. It does not, however, examine law and neoliberalism as fixed entities or as philosophical categories. And neither is its objective to uncover or devise a ‘law of neoliberalism’. Instead, it uses empirical evidence to explore and theorise the relationship between law and neoliberalism as dynamic and complex social phenomena. Developing a nuanced concept of ‘neoliberal legality’, neoliberalism, it is argued here, is as much a juridical project as a political and economic one. And it is only in understanding the juridical thrust of neoliberalism that we can hope to fully comprehend the specificities, and continuities, of the neoliberal period as a whole.
