The main concern regarding IR appears to be whether Japan can maintain the vitality and flexibility to cope with the changes in the industrial structure and technology in a stagnant world economy. The lack of opposition and dispute between labor and management may be the most important feature for summarizing labor-management relations in modern Japan when making international comparisons. Hypotheses for understanding Japanese IR have been postulated in regard to the following: unintended consequences, homogeneous structure, business community of management and labor, global competition and the needs for flexibility, adaptability in competitive markets, and transformation of the paradigm of IR. The historical development of labor relations in Japan shows a spirit of cooperation. By any measurement of cooperation, labor-management cooperation is strongest in Japan. A special feature of the corporate structure is management's role as referee between the employees and the stockholders. Other features include a continuous path of promotion, firm-specific training, built-in wage-profit system, and transit members of unions. A typical system for mutual communication is the "labor-management consultation system." In the future, unions must minimize adverse effects of competition among rival companies, individualization, and fragmentation of IR. Subsequent changes, however, may be seen as an adjustment and renewal of the post-war model of the Japanese firm. In adapting to global corporate governance standards, Japanese managers have also been reshaping them according to their own agenda of reform and restructuring of decision-making processes. The board's role is seen in terms of strategic planning rather than monitoring, and external directors are viewed as advisers, not as representatives of the shareholders. Managers have adopted a variety of defences against hostile takeovers, including poison pills in some cases. Although shareholder influence is more extensive than it was, central aspects of the Japanese 'community firm' remain in place. The commitment to stable or 'lifetime' employment for a core of employees, although coming under severe pressure, is still an important point of reference for Japanese management. Corporate Governance and Managerial Reform in Japan is based on detailed and intensive field work in large Japanese companies and interviews with investors, civil servants, and policy makers in the period following the adoption of significant corporate law reforms in the early 2000s up to the months just before the global financial crisis of 2008. The Japanese experience suggests that there are limits to the global convergence of company law systems, and that the widespread association of Anglo-American practices with the 'modernization' of corporate governance has been misplaced. This conclusion is unlikely to be altered - it may be reinforced - by reactions to the financial crisis.

He takes exception to the traditional view that policy bureaucrats in Japan are autonomous and insulated from societal pressures, arguing that the private sector in Japan has been actively involved in developing and implementing industrial policy. After carefully defining his conceptual framework, Uriu presents case studies of four industries: cotton spinning, steelmaking in minimills, synthetic fibers, and ship building, along with less detailed examinations of coal mining, aluminum smelting, paper, and steelmaking in integrated mills. These industries, he suggests, have sought public policies that enable them to manage competition domestically. In particular, they have fostered cartels to control production or capacity levels in an attempt to stabilize their industry's conditions. In textiles, steel, and ships, Uriu focuses on several of the industries most important to Japan's early postwar economic successes, the very ones first to confront the problems of decline and adjustment. Uriu also shows how Japan's policy choices more recently have become constrained by changes in the domestic antitrust environment and in Japan's external relations. In particular, pressures from Japan's trading partners have limited the policy tools available to Tokyo. As a result, industries have experienced increasing difficulties over time in managing competition in the domestic market. Analysts need to integrate domestic and international factors more carefully, Uriu argues, in order to trace more accurately the interactions between industry actors and the policy environment they face.

Concerns about deindustrialisation and large-scale job losses - 'the export of jobs' have generated a political backlash against multinationals and globalisation. Using detailed data from Japanese multinationals this book rigorously analyses the Japanese experience and compares and contrasts it with the experience of US manufacturing. The study finds no empirical evidence that expansion of multinational activities in foreign countries produces job losses in the home country. Indeed, when demand induced indirectemployment effects are taken into account the increased profitability of Japanese firms is likely to have increased overall employment in Japan. However, the shift of labour intensive activities to low wage economies associated with the international fragmentation of production generates adjustment pressures and a structural shift in favour of skilled workers in Japanese manufacturing.
