Following the configurational approach, Sascha Albers develops a comprehensive model of alliance governance systems. He identifies relevant structural and instrumental design parameters and analyzes major contingency factors, including member firms' cultures and alliance experience, number of alliance partners, and trust, which impact the design parameters' suitability. He finally deducts five configurations, or ideal types, of alliance governance systems which can be regarded as blueprints for the practitioner and as platform for further research for the alliance scholar. Book excerpt: When companies decide upon a strategy to achieve and sustain growth, they can choose between different options to reach this goal. If external growth is chosen, alliances and acquisitions are typically considered alternative governance structures that involve cooperative efforts on the inter-organizational level. Despite this similarity, each of the two governance types has its own strengths and weaknesses: alliances are based on contracts and offer the firm a substantial level of flexibility while acquisitions are ownership-based and imply a higher degree of commitment but also control. In the course of the governance decision, tradeoffs have to be made between flexibility and control. The challenge managers have to decide, which of the two governance modes suits a specific situation best and will achieve superior results for the company. Prior research shows that a company?s history in inter-organizational governance influences its future governance choices. Firms that have cooperated in an alliance in the past make different governance choices than firms who lack this experience. In general, companies tend to choose governance modes they are already familiar with for future transactions. In addition, whether the partner firms know each other and have worked together before also influences the choice between alliances and acquisitions. This book lays its focus on situations, where companies have allied in the past and are now deciding upon the appropriate governance form for yet another cooperation. Situations where no alliance experience exists and governance choices other than alliances and acquisitions are not considered here. For academics as well as practitioners, it is then of major interest to identify exactly how knowing the target firm from past alliances affects the decision between alliances and acquisitions. However, prior research on the influence of partner-specific alliance experience on governance choice yields mixed results. While it has been proven repeatedly that prior alliance experience with a partner influences the governance choice decision, research has reached a dead end concerning the direction of this effect. The purpose of this research is to contribute to the conversation concerning the effect of partner-specific alliance experience on the choice between alliances and acquisitions and help to close the literature gap by investigating the exact circumstances under which each effects prevails. Financial capacity, market uncertainty and rivalry are chosen as promising moderating variables that are expected to interact with the effect of prior ties and foster the choice for an alliance or an acquisition in a particular situation.

These partnerships have been studied in many different disciplines in the social sciences, in addition to many functional specialties within business schools, including marketing and to some extent in corporate finance. Within management, interest in alliances, and the contributions to understanding their rise and implications for firms, was first initiated in a significant way in international business studies. Early interest in this research stemmed from the cross-border character of the many collaborative agreements between multinational firms seeking market opportunities in emerging countries, many of which then had governmental policies suggesting or mandating a local partner. Since strategic decisions are made by individuals, it is worth analyzing to what extent personality phenomena such as hubris influence the choice between acquisitions and alliances. In fact, both governance modes are a necessary prerequisite for companies to remain healthy, gain competitive advantages and hence, become world leaders. First, this book provides a literature review of the current research status on governance modes, particularly laying an emphasis on acquisitions and alliances. Moreover, it is explored what hubris actually means, which different facets are underlying and how it is different from other related concepts, such as narcissism, overconfidence, and core self-evaluations. Subsequently, studies having dealt with the concept of hubris in general, hubris in investment decisions and hubris in governance mode decisions in particular are analyzed. Numerous of these studies on strategic and investment decision making have found managers infected with hubris to regularly overpay for acquisitions but none has yet analyzed whether hubristic decision-makers also prefer acquisitions over alliances and which decision making criteria they consider when making such governance choices. Therefore, data from students and executives are collected with the help of a policy-capturing approach - a method used to find out more about individuals’ underlying judgment and information-processing strategies. Moreover, measures to assess personality phenomena are adapted and developed. Thus, this study adds to the growing body of literature on acquisitions vs. alliances by including hitherto neglected personality variables and hence providing a richer explanation for governance decisions. Analyses are conducted with hierarchical linear modeling and logistic regression. This book closes by discussing important results, limitations and implications for both research and management.

Book excerpt: This paper explores a less-recognized aspect of alliance management capabilities, accommodation, which occurs when a firm refrains from applying its bargaining power, agreeing to terms that address their partner's concerns or interests to a greater degree than their own. Despite its potential importance, the strategy and marketing literatures provide few insights into when and how accommodation occurs in alliances. We propose that firms with greater alliance experience are more likely to accommodate their partner's concerns through the choice of governance structure, relying on their accumulated alliance capabilities to mitigate their own governance concerns. We find evidence to support our propositions in innovation alliances initiated between target and client firms in the biotechnology and pharmaceutical industries. In addition to formally introducing the concept of accommodation into the literature on the governance of alliances, we establish that there are boundary conditions for accommodation to occur; in our case, sufficient alliance experience. Moreover, we provide evidence in support of the transaction value perspective, which - while intellectually appealing - has been difficult to test empirically. Lastly, we demonstrate the value of considering the (possibly conflicting) concerns and preferences of all partners in the alliance, rather than focusing on the hazards faced by a focal partner.
