Book excerpt: Saudi Vision 2030 and the National Transformation Plan 2020 are governmental initiatives to diversify Saudi Arabia's economy and implement nationwide social changes. Media and scholarly attention often describe the success or failure of these ambitious visions. This book shifts the focus to instead examine and evaluate the actual processes of domestic policymaking and governance that are being mapped out to achieve them. The book is unique in its breadth, with case studies from across different sectors including labour markets, defence, health, youth, energy and the environment. Each analyses the challenges that the country's leading institutions face in making, shaping and implementing the tailored policies that are being designed to change the country's future. In doing so, they reveal the factors that either currently facilitate or constrain effective and viable domestic policymaking and governance in the Kingdom. The study offers new and ground-breaking research based on the first-hand experiences of academics, researchers, policy-makers and practitioners who have privileged access to Saudi Arabia. At a time when analysis and reportage on Saudi Arabia usually highlights the 'high politics' of foreign policy, this book sheds light on the 'low politics' to show the extent to which Saudi policy, society, economics and culture is changing.

Book excerpt: There is currently a debate in the Kingdom of Saudi Arabia is over how directors of publicly held companies can be held accountable. Before addressing this question, we should determine when it is that a director violates her or his duties. This study seeks to bring focus to the accountability system in Saudi Arabia. It investigates a legal defect in that system: the Saudi Companies Law incorporates standards of conduct but lacks standards of review. This study argues that although directors’ duties have been formulated so that there are areas left to be developed by courts, Saudi judges do not retain residual lawmaking powers which they could use to fill a regulatory vacuum. It builds upon empirical evidence to prove the underlying reasons that the context has changed, which ultimately has created the need to reform the Saudi fiduciary duties system. New cases in Saudi Arabia evoke some of the contours of Delaware corporate law. New cases have triggered standards of conduct violations that might be identical to fiduciary violations in Delaware. Therefore, this study proposes to transplant Delaware standards of review to Saudi Arabia. It argues that the contextual change in Saudi Arabia after the establishment of the Capital Market Authority would make this transplant more significant. Closer analysis suggests that both systems are consensus on the shareholder primacy model. This convergence on the shareholder model inevitably ensures a functional convergence in the long run.

Book excerpt: Change is an act of many small steps towards a brighter vision. The World Gate: Public Policy in Saudi Arabia introduces readers to the Saudi government's enormous reform movement since 2016. Aiming to reveal its treasures, Saudi Vision 2030 targeted three main pillars: a vibrant society, a thriving economy, and an ambitious nation. The changes Saudi Arabia has been executing draw an abundance of attention to the way in which that change happened. Surviving a challenging period, expanding the economy, empowering society and, finally, controlling the ramifications of the COVID-19 crisis in a short period while working on Vision 2030 were huge achievements for the country during 2020. Readers are invited to learn about Vision 2030, the progressive public policy changes, and sustainable Saudi Arabian growth. You will get an inside look at the education, business, media, and tourism sectors as they adapt to public policy changes and provide a new venue for Saudi Arabia's youth to shape their country. Whether you're familiar with the region or new to the topic, you will gain a deeper appreciation for Saudi Arabia, its people, its natural beauty, and its culture.

Book excerpt: Oil wealth facilitated Saudi Arabia's rapid modernization. Yet the resulting social changes produced tension in the kingdom between religious and state leaders, as well as between these two groups and the new elites. The Kuwait-Iraq crisis demonstrated both Saudi regional weakness and its importance to the U.S.-led West. It also increased the religious and socio-political tensions in the kingdom which threaten its stability. This work examines the contemporary tensions which form today's Saudi society and directs its path to the future.

Book excerpt: Good corporate governance ensures that companies use their resources more efficiently, protects minority shareholders, leads to better decision making, and improves relations with workers, creditors, and other stakeholders. It is an important prerequisite for attracting the patient capital needed for sustained long-term economic growth. This report provides an assessment of the Kingdom of Saudi Arabia (KSA) corporate governance policy framework. It highlights recent improvements in corporate governance regulation, makes policy recommendations, and provides investors with a benchmark against which to measure corporate governance in KSA. The corporate governance laws, regulations, and institutions that have been put in place generally reflect international good practice. In the wake of the market correction of 2006, market regulators focused on the need for better corporate governance via legal and institutional reforms. These included passing a Corporate Governance Regulation (CGR) for listed companies (2006), and further strengthening the supervisory functions across the financial sector. However, many of the laws and institutions are still relatively new and untested; awareness of the importance of good corporate governance is low, and implementation by companies in its early stages.

Available in PDF, EPUB and Kindle. Book excerpt: In April 2016, the Saudi Arabian government announced Vision 2030, a highly ambitious reform program designed to move the country away from its reliance on oil revenues and to liberalize its conservative social dynamics. Despite the monarchy's autocratic power, the kingdom has largely failed to employ citizens in the private sector, diversify its industries beyond hydrocarbon-related activity, and privatize the key drivers of its economy since adopting these goals in 1970. The majority of the population is under the age of 30, unemployment is high, and international energy markets are changing, so the country's leadership needs to make changes that provide opportunity for the people and make the economy more sustainable. This thesis examines why the Kingdom of Saudi Arabia (KSA) struggles to implement economic and social reform. Analyzing interconnected political, economic, and social causes that manifest in the structure of the state and society, the resource curse, and market inefficiencies, the ultimate barrier to reform is the kingdom's political dynamics. Without improvements to governance and modifications to the country's patronage policies, economic change will be limited at best. Elites' preferences for blocking political reform has hampered achievement of economic goals and will continue to prove problematic if not rescinded. I. INTRODUCTION * A. OVERVIEW * B.
