Book excerpt: "Colonial Adventures: Commercial Law and Practice in the Making addresses the question how and to what extend the development of commercial law and practice, from Ancient Greece to the colonial empires of the nineteenth and twentieth centuries, were indebted to colonial expansion and maritime trade. Illustrated by experiences in Ancient Europe, the Americas, Asia, Africa and Australia, the book examines how colonial powers consciously or not reshaped the law in order to foster the prosperity of homeland manufacturers and entrepreneurs or how local authorities and settlers brought the transplanted law in line with the colonial objectives and the local constraints amid shifting economic, commercial and political realities. This includes textbooks, casebooks, monographs and commentaries as well as at least one journal and huge number of journal articles. As the field has matured, so has its elaboration and analysis by scholars, though it remains a field replete with contested viewpoints and many controversies. This new work by one of Germany's most well-known and respected private law scholars, seeks to present a complete and coherent view of the subject from the perspective of the jurisdiction which has arguably had more responsibility than any other for influencing the shape and content of European contract law

Available in PDF, EPUB and Kindle. Book excerpt: In today's financial markets, investors no longer hold securities physically. Instead, securities such as shares or bonds are mostly held through intermediaries and transferred by way of book-entries on securities accounts. However, there are remarkable conceptual differences between the various jurisdictions with regard to the legal treatment of intermediated securities. It is widely agreed that this patchwork creates considerable legal risks, especially in cross-border situations. Two initiatives are in place to reduce these risks. In 2009, the UNIDROIT Convention on Substantive Rules for Intermediated Securities (the 'Geneva Securities Convention') was adopted, aimed at harmonisation on the international level. The EU Commission is also running a legislative project, to achieve harmonisation at the regional level. This book compares both initiatives and analyses their impact on the securities laws of selected European jurisdictions.

Available in PDF, EPUB and Kindle. Book excerpt: What are the underlying rationales for industrial policy? Does empirical evidence support the use of industrial policy for correcting market failures that plague the process of industrialization? To address these questions, the authors provide a critical survey of the analytical literature on industrial policy. They also review some recent industry successes and argue that only a limited role was played by public interventions. Moreover, the recent ascendance of international industrial networks, which dominate the sectors in which less developed countries have in the past had considerable success, implies a further limitation on the potential role of industrial policies as traditionally understood. Overall, there appears to be little empirical support for an activist government policy even though market failures exist that can, in principle, justify the use of industrial policy.

Available in PDF, EPUB and Kindle. Book excerpt: Globally, there has been a shift from securities being held directly by an investor, to a situation in which many securities are held via an intermediary. The existence of one or more intermediaries between the investor and the issuer has a potentially significant impact on the rights of the investor, the role and obligations of the issuer, and on the position and responsibilities of the intermediary. However, different jurisdictions have dealt with the issues arising from intermediation in a variety of ways. In the UK, for example, the concept of a trust is used to explain the different rights and obligations which arise in this scenario, whereas in the US the issues have been addressed by legislation, in the form of UCC Article 8. This variety is problematic, given that it is possible for an investor to hold securities in a number of different jurisdictions. A new UNIDROIT Convention on the issue of Intermediated Securities, the Geneva Securities Convention 2009, aims to create a common framework for dealing with these issues. This collection of essays explores the issues that arise when securities are held via an intermediary, and in particular assesses the solutions put forward by the new Convention on this issue. It will be essential reading for practitioners and academics.

Available in PDF, EPUB and Kindle. Book excerpt: In the spring of 1945, Fuhrer and Reich Chancellor Adolf Hitler, President Edvard Benes, and Marshal Josip Broz Tito stood as examples of the complete rupture between the Germans and Austrians on the one hand, and the Czechs, Slovaks, Slovenes, Croats, Serbs, and Bosniaks on the other. The total break that occurred in World War II with war crimes, crimes against humanity, and even genocides (particularly against the Jews and "Gypsies") had a long pre-history, beginning with violent nationalist clashes in the Habsburg Monarchy during the revolutions of 1848/49. Therefore, this monograph - based on a broad range of international primary and secondary sources - explores the development of the political, legal, economic, social, and cultural "communities of conflict" within Austria-Hungary, especially in the Bohemian and South Slavic countries, the making of the Paris Peace Treaties in 1919/20 by violating President Wilson's principle of self-determination, particularly in drawing new borders and creating new economic units, and the perpetuated ethnic-national conflicts between Czechs and Germans, Slovaks and Magyars, Slovenes and Germans, Croats and Serbs as well as Serbs and Germans in the successor states, deepening the differences between the nations of East-Central Europe. Although many kings, presidents, chancellors, ministers, governors, diplomats, business tycoons, generals, Nazi-Gauleiter, higher SS and police leaders, and Communist functionaries have appeared as historical actors in the 170 years of East-Central and Southeastern European history, Hitler, Benes, and Tito remain especially present in historical memory at the beginning of the twenty-first century.

Available in PDF, EPUB and Kindle. Book excerpt: The sale of public and social housing has been a major aspect of housing policies in recent decades. Privatisation and a general retreat by governments from the housing arena have pushed up sales; this has been particularly evident within Eastern European countries and China but is also taking place in many Western European countries and Australia. Wherever it occurs, such privatisation has lead to new challenges for housing management. Many estates are now a mix of public and private, raising questions about the division of responsibilities between different owners. Legislation to address this is not adequate and public managers are still hampered by the bureaucratic mechanisms within their organisations, while the new owners are not used to their responsibilities for maintenance. Added to this are the limited financial resources for renewal and maintenance among both public and private owners at a time when the need for investments is urgent, especially within the massive housing estates dating from the communist era. Experts from Australia, France, the Netherlands, UK, Switzerland, China, the Czech Republic, Moldavia, Russia, Serbia and Slovenia present their county's context and the policies and practice for managing privatised housing, together with case studies illustrating the issues described. How privatised public housing is managed is of international concern, which will benefit from an international exchange of knowledge and best practice. The comparative analysis offered in Management of Privatised Housing: International Policies & Practice makes a significant contribution to the literature on this important topic.

Book excerpt: This in-depth commentary and analysis on the three main EU regulations facilitating cross-border debt collection compares them amongst themselves and with the solutions relating to recognition and enforcement in the enacted but not yet enforced Recast Brussels I Regulation. In country-by-country analyses written by local experts, the implementation of these measures in 13 Member States is accompanied with evaluation of national summary procedures. Emphasis throughout is on the analysis of legal remedies safeguarding the rights of parties, as access to remedies is among the chief factors determining the speed and success of proceedings.
