Based on a large-scale survey distributed to board level employee representatives (circa more than 4,000 respondents), this study identifies the personal characteristics and industrial location of board level employee representatives, what they do and how they interact with other parties within and outside of the company. This study fills in a knowledge gap at a time when policy debates are considering stakeholder models of corporate governance as a means on the way out of the crisis and the achievement of sustainable economies. This book, the first to assess national differences between board-level employee representatives in their exercise of influence and power, examines coordination among board-level employee representatives, trade unions, representatives from other institutions of labour representation within the company, management and other board members. Drawing on a large-scale survey distributed to board-level employee representatives, eleven expert contributors analyse for seven European countries (Denmark, France, Germany, Hungary, Norway, Slovenia and Sweden) how such issues and topics as the following affect the participation of employee representatives at the board: – capacity of board-level employee representatives to exercise power over long-term strategic corporate decision making; – how changed circumstances impinge on the role of employee representatives; – how coordination of workers’ interests has been established and maintained, if at all; – how board-level employee representatives are selected; – influence of board-level employee representatives on corporate restructuring; – effect of corporate codes of governance; – impact of the establishment of groups of companies; and – protections against dismissal and discrimination of board-level employee representatives. Each country chapter reviews the legislation that underpins board-level employee representation, the timeliness and quality of the information provided, and the capacity of the representatives to apply information made available, with the purpose of establishing whether the legislation tends to constrain or facilitate the exercise of in uence and power. This book takes a giant step towards answering the question of how board-level employee representatives can fulfil their roles in a manner consistent with the intentions of the policymakers who framed the legislation. Moreover, it approaches the possibility of developing pan-European legislation on board-level employee representation that would accommodate national variations. Generally speaking, UK companies have a monistic governance structure with a board of directors. Theresa May (former prime minister) announced that in future workers were to have representatives on the board, but little of this promise seems to have been realised. Nevertheless, a revision of the British corporate governance code that came into force in 2019 makes the prospect of workers' representation on boards of directors more likely than at any time in the past 40 years. Listed companies will henceforth be able to choose between three options for involving the employees. In practice, only the occasional workers' representative has been appointed to a board of directors, but new life does seem to have been injected into the debate and the TUC is now calling for at least one-third worker representation on the board of directors.

Book excerpt: The aim of the current thesis is to show the weak points of the Hungarian regulation on employee representation at board level and to recommend possible solutions. The research focuses on the present law from a corporate governance perspective. The underlying hypothesis of this thesis is that although the Hungarian Business Association Act obliges all companies above a certain size to provide seats in the supervisory board for employee representatives, in practice the institution of EBLR is rather weak. The analysis shows that it is mainly for two reasons. First, the role of the Hungarian supervisory board is not strong enough. Second, the enforcement of the rules on EBLR is insufficient, because the legislator has provided too many and (vague) possibilities for opting out. Through a comparative analysis of the Hungarian and German system this paper concludes that in order to attain better corporate governance the monitoring system of the corporation shall be strengthened as a whole in Hungary.

Board-level codetermination is widely considered a distinctive feature of coordinated or nonliberal models of capitalism. Existing literature stresses three sets of explanations for codetermination rooted in corporate governance, union strength and political systems. The paper compares data from 22 OECD countries using the QCA method (Qualitative Comparative Analysis) and fuzzy sets approach to explore necessary and sufficient conditions for board-level codetermination. The results show two central pathways toward codetermination both rooted primarily in union coordination and consensual political systems, but with divergent implications for corporate governance systems in Scandinavia and Germany.

In line with the empirical literature, our model shows that low levels of employee representation may increase the shareholder value, even in the presence of a conflict of interest between employee representatives and other directors because employees hold specific valuable private information. We also show that a minority employee representation may cause the board to switch from a short-term to a long-term strategy. Such a strategy switch is always in the employees' interest and can be beneficial or detrimental to shareholders as well as top executives. Thus, employee representation can be beneficial to shareholders as well as other stakeholders. However, employee representation may be harmful for firms whose shareholder base has a short time horizon such as venture capitalists.
