Por tanto, la compraventa de una empresa no se trata de una simple transmisión de acciones, sino de la transmisión de un patrimonio en su conjunto. Sin embargo, las normas sobre la compraventa del derecho común no calzan con este tipo de operaciones mercantiles empresariales. Así pues, se expone una propuesta legislativa, que se introduciría en el Código Civil, para facilitar la tipificación del contrato de compraventa de la empresa, en el que no solo se transfieren derechos de propiedad, sino también cualesquiera otros derechos, como el usufructo, los créditos personales, los derechos sobre el título de crédito o los valores mobiliarios como intangibles o derechos intelectuales, así como los pasivos.
